2 Course/Module description: The Contract Law course comprises two integrated elements: general introduction to the law of obligations and contract law. The first element includes, among other things, discussion of the following issues: the definition and sources of obligations; obligation validity; transfer of obligations; termination of obligations; and the law of agency. The second element includes, inter alia: historical introduction to contracts and contract law; contract formation; the pre-contractual process; mistake, deceit, duress, and unconscionability; contract interpretation and supplementation; conditional contracts; exemption clauses and standard-form contracts; Illegality and contracts against public policy; contracts for the benefit of a third party; concurrent obligations; remedies for breach of contract. Throughout the discussion of these issues, the students will be exposed to a broad array of perspectives and methodologies, including comparative law, textual and historical analysis of legal sources; policy considerations (including economic efficiency, distributive justice, fairness considerations, and institutional aspects), and feminist analysis. Course/Module aims: The course aims at introducing contract law and the law of obligations to first year students; as well as to shape the way they analyze legal issues using an array of doctrinal, textual, normative, and policy tools. Learning outcomes - On successful completion of this module, students should be able to: On successful completion of this module,students should be able to: Identify and locate the totality of rules and doctrines (primarily legislation and case law) governing contracts and other obligations in Israel; Descriptively and normatively analyze complex issues in contract law, using various analytical tools, the doctrine, and legal policy considerations; Articulate textual, interpretative, and policy arguments (including economic efficiency, distributive justice, fairness, and institutional) for and against different legal propositions; Criticize extant contract law and make suggestions for its improvement; Use the tools acquired in the course to analyze other issues in private law and legal issues more generally; Use the concepts and doctrines studies in the course as a basis for advanced courses in private and commercial law, including torts, property, and corporate law. page 2 / 23
