4 of Southern Baptist churches organized to facilitate mutual encouragement and cooperation in fulfilling the Great Commission of Jesus Christ. Vision Statement: To become spiritually awakened churches encouraging, supporting and assisting one another for the honor and glory of God. Strategic Statement: The focus of the Northeast Florida Baptist Association is on the fellowship of churches and how that fellowship can facilitate mutual encouragement and cooperation in fulfilling the Great Commission. Specifically, the Association desires to focus on helping member churches to be spiritually strengthened by the fellowship relationship so that each church will be able to improve its ability to serve in God's kingdom. In light of the mission and vision of the association, it is imperative that the association be organized to focus on the Great Commission work of churches. This strategic plan seeks to do that through six objectives. I. Spiritual foundation of churches: To support and assist churches in developing a spiritual foundation and sense of God's vision for the life and ministry of their church. II. Leadership development for churches: To provide development opportunities for pastors, staff members, and lay leadership to mature as leaders for the fulfillment of the Great Commission through their church. III. Customized assistance to churches: To provide process assistance to churches to help them fulfill God's vision for the life and ministry of their church. IV. Ministries and Missions by churches: To support and assist churches as they meet the needs of people groups through various forms of ministry and the starting of new churches. V. Training and program resources in churches: To network training and resources needed by churches to carry out their ongoing programs and projects. VI. Associational systems development: To develop the organizational structure and systems necessary to fulfill the mission and vision of the association....this represents a significant refocusing of the direction of the association. The movement is away from asking the churches to serve the needs of an associational organization, to asking the churches to serve one another's needs using those associational systems that can facilitate this focus. Also, it is viewed that the ministry of the association is the ministry of the churches. This means that all ministries should have as strong as possible local church connection in order for the full spectrum of ministry to be able to occur....further, to encourage churches to pray for and support these ancillary services and ministries. ARTICLE III - DOCTRINE The doctrine of the Association, which shall be the basis for fellowship and cooperation, are those in The Baptist Faith and Message adopted by the Southern Baptist Convention in ARTICLE IV - AUTHORITY The Association shall not legislate for the churches, nor adopt any rules or regulations inconsistent with the independence and autonomy of the churches. It shall, nevertheless, be the duty of the Association to offer upon written request to the Association, fraternal counsel to any church in need of such assistance. The Association may withdraw membership from such churches as are known to be disorderly in doctrine or discipline. 27 ARTICLE I - MEMBERSHIP SECTION 1. Member Churches. The Association shall consist of member churches which are cooperating Southern Baptist churches of like faith and order. SECTION 2. Rights of member churches. Each member church shall be entitled to four messengers to the Annual and Semiannual meetings for the first fifty members, or fraction thereof, and one messenger for each twenty-five additional resident members. The number of messengers from each church shall not exceed twelve. The individual churches, according to their own rules and methods, shall elect and shall certify these messengers to the Association in their "Annual letter to the Association" or by letter to the Semiannual (Spring) Session. SECTION 3. Discipline. If any church shall fail to have members at any four consecutive Associational meetings (exclusive of meetings of organizations), or if there appears to be a discrepancy in their practices and doctrines, a committee may be appointed by the moderator to inquire into the state of the church. This committee shall make reports and recommendations to the Association regarding the church. SECTION 4. New Member Process. New groups of Baptists in the territory of the Association desiring to organize into Baptist churches, with a view of petitioning for membership in this Association, shall confer with the Executive committee and secure the Committee's approval and cooperation in the proposed organization and location of such churches. Churches desiring representation and membership in this Association shall, on the form approved by the Executive Committee, submit such petition to the Credentials Committee no later than forty-five (45) days prior to the Annual Meeting or Semiannual Meeting. The Credentials Committee shall report their recommendation to the Executive Committee, which, in turn, will be presented to the Association in Annual or Semiannual Session by the Executive Committee. A church, which as a mission was under the sponsorship of a member church, may be accepted at the Annual or Semiannual Session in which application is submitted. All other churches seeking membership shall come under the watch care of the Association for a minimum of one year before being presented for membership. The Credentials Committee, Moderator, and Director of Missions shall offer assistance and guidance during watch care. Churches under watch care shall have all privileges except voting. A mission church is considered a part of the sponsoring church and therefore shares with that church in privileges of membership. ARTICLE II - MEETINGS SECTION 1. Annual Meeting. The Association shall meet annually at such time and place as it may select. If the Association should fail to select the time and place of its Annual Meeting, the Executive Committee shall act for the body. If it should be necessary to change the time or place, the Executive Committee is authorized to act for the body. SECTION 2. Election of Officers & Committees for New Year. Electing of officers & committees shall occur at the Executive Committee meeting in April or May preceding the year they will take office. SECTION 3. Emergency Meetings. In case of emergency, the Moderator, in consultation with the Executive Committee, may call special meetings of the Association. SECTION 4 Quorum. For the Annual and Semiannual meetings of the association a quorum shall consist of those in attendance.

In the event of a vacancy in this position, the Moderator shall appoint a special committee, the Director of Missions Search Committee, who shall prayerfully seek out and present to the Executive Committee for approval, the person for the position. The Director of Missions Search Committee shall be authorized by the Association, and/or the Executive Committee to negotiate terms regarding employment with the prospective Director of Missions, within the guidelines and limits established by the Executive Committee and/or the Association. SECTION 2. General Officers. The general officers of this Association shall be Moderator, Vice-Moderator, Clerk, Treasurer, assistants to the Clerk, Treasurer and, if the Association may deem wise and appropriate, the Director of Missions. These officers, except the Director of Missions, shall be selected by the Nominating Committee and presented for election at the Semiannual (spring) Meeting of the Association. Nominations from the floor shall be entertained for these positions, if there be such. Those officers thus elected shall begin their terms of serving at the close of the Annual Meeting of the Association. Should the Moderator-elect be unable to assume office at the Annual Meeting, the Vice-Moderator shall become Moderator and a new Vice-Moderator be elected at the Annual Meeting in the above described manner. The Moderator may be eligible to succeed himself only once. SECTION 3. Directors. In addition to these general officers, the Association shall elect directors of any departments the Association deems necessary (e.g., Sunday School, Vacation Bible School, Disaster Relief, Evangelism, Men s Ministry, Women s Ministry, Music, Pastoral, Senior Adult, Youth, etc.). SECTION 4. Filling Vacancies. Vacancies in all positions except the Director of Missions occurring between the Annual and Semiannual Meetings of the Association shall be filled by the Nominating Committee upon the approval of the Executive Committee. ARTICLE IV - DUTIES OF OFFICERS SECTION 1. Associational Director of Missions. The Director of Missions shall be available to the churches of the Northeast Florida Baptist Association on invitation of the churches, limited only by his time and schedule, in the following capacities: A. Teaching and Preaching 1. Preaching and speaking at regular church or special occasions related to member churches of the Association. 2. He will be available for revivals, four within the Association and two outside the Association, as his schedule shall permit, with exceptions to be made by the Executive Committee. B. Conferences and Counseling 1. With pulpit committees (at their request). 2. With pastors. 3. With such others as may be needed and requested. C. Special Services 1. Ordinations 2. Dedications, etc. 3. Community service & activities, representing the NEFBA. D. Missions and Denominational Activities 1. Promote the denominational program. Keep before the people and churches the world mission program of Southern Baptists. Promote the Cooperative Program every way possible. Enlist every church in giving through the Cooperative Program. 2. Assist in locating new mission sites and lend help in starting new missions. 3. General oversight in special mission efforts.

It shall be the responsibility of the Director of Missions to promote special days and emphases, conventions, and other denominational meetings of the Association. He shall inform the Florida Baptist Witness and other news media of items of interest in the Association. He shall also be editor of the Associational e-letter posted to the website and utilize it to its fullest advantage to inform the people and promote the work. He shall do all within his power to promote unity, goodwill, and cooperation among the churches, pastors and church leaders. He is to be a peacemaker E. Policies Relating to Director of Missions 1. General Supervision: The Association Council shall assist the Director of Missions with the development the annual program calendar of the association and he shall be responsible to the Executive Committee of the Association for it s execution. 2. Vacation, sick leave, and days off are to be worked out in counsel with the Administrative Committee with approval of the Executive Committee and/or Association. 3. Salary and Benefits: The salary, benefits, and expenses shall be determined annually by the Association and/ or Executive Committee upon recommendation of The Administrative Committee and Stewardship Committee. 4. Revival and Supply Preaching: The honorariums for supply preaching shall be paid to the Missionary as to any other supply preacher. SECTION 2. Associational Moderator. It shall be the duty of the Moderator to preside over the deliberations of the Association and the Executive Committee, and to discharge other duties as are generally incumbent on such office of deliberative bodies; and to appoint such special committees as will facilitate the work of the Association. SECTION 3. Associational Vice-Moderator. The Vice-Moderator shall perform all the duties of the Moderator in the absence of the Moderator. He may also preside over the deliberations of the Association when requested to do so by the Moderator. SECTION 4. Associational Treasurer. The Treasurer shall receive, preserve and pay out, upon request of vouchers approved and signed by authorized personnel, all money paid or given to the Association, keeping at all times an itemized account of all receipts and disbursements. It shall be the duty of the Treasurer to render to the Executive committee and the Association at the regular meetings, a written itemized report of the receipts and disbursements for the preceding month. Upon rendering the annual account at each Annual Meeting, the Treasurer shall deliver such account to the Associational Clerk, who shall keep and preserve the account as a part of the permanent record of the Association. These duties may be performed by professional staff under the direction and oversight of the Treasurer. SECTION 5. Associational Clerk. The Clerk shall make, correct and superintend the printing and distribution of the Minutes of the Executive Committee and the Association, for which labor and responsibility she shall receive compensation, as the Association shall determine. In addition, the Clerk shall collect and keep on file the Minutes of the Annual Associational Meetings and any other data pertinent to the history of the Association.

30 ARTICLE V - EXECUTIVE COMMITTEE The Executive Committee shall consist of the Associational general officers, the department directors, chairmen of standing committees, the pastors of member churches, Education, Music Directors, Associate Pastors, and one additional member elected by each church. The Associational Director of Missions shall be an ex officio member with voting rights. The Moderator, Vice-Moderator and Clerk shall be Chairman, Vice-chairman and Secretary respectively of this Committee. This Committee shall meet at least quarterly. Ten (10) shall constitute a quorum. ARTICLES VI - COMMITTEES SECTION 1. Standing Committees. The Association shall maintain the following standing committees: Stewardship Committee, Missions Committee, Nominating Committee, Credentials Committee, Administrative Committee and the Associational Council. These committees shall be selected by the Nominating Committee from active members of member churches upon the recommendation of their pastor and elected at the Semiannual Meeting of the Association. Nominations from the floor shall be entertained for these positions if there be such. Those committee persons thus elected shall begin their terms of service at the close of the Annual (fall) Meeting of the Association following their election. Each Committee shall consist of three members, unless otherwise specified by the Association or Executive Committee. Each member shall serve a term of not more than three years. Committee members shall be rotated at the rate of one retiring each year, and remaining off the committee for at least one year before re-election. The Moderator shall serve as an ex officio member with voting rights of all committees. He may, at his discretion, appoint another association general officer to serve in his place, should he not be able to do so at any given meeting of any committee. Chairmen of Committees shall be designated by the Nominating Committee. The following is an overview of the responsibilities of each standing committee: A. The Stewardship Committee shall compose a unified budget and financial plan for all work of the Association and its departments, based on request and needs of the various departments, and on anticipated monies available. The proposed budget shall be presented to the Executive Committee in September. The proposed budget shall be considered for adoption in the Annual (fall) Meeting. This Committee shall counsel with churches regarding their stewardship programs, at the A. request of the churches. It shall also provide when needed, guidance for the churches through Associational conferences. This Committee shall arrange for an annual financial review of the financial records each year. The Associational Treasurer shall be an ex officio member with voting rights of this Committee. The Stewardship Committee shall annually review the Financial Policies and Procedures manual and recommend revisions to the Administrative Committee. B. The Missions Committee shall advise and counsel with churches with regard to establishing churches or missions. They shall keep before local churches their obligation to carry out mission s projects, and shall plan and execute such mission activities that will keep churches informed regarding world missions. They shall work with other organizations in promoting and staffing of special mission projects which the Association or church-related projects, which the association may conduct. This Committee shall help survey and analyze areas, upon request of a local church, regarding establishing mission projects, and shall help determine areas where special ministries are needed, such as work with minority groups, physically handicapped, etc. This committee shall work in cooperation with local churches in determining the feasibility of seeking missions funds help from the State or Southern Baptist Convention, and shall recommend to the Association or Executive Committee special needs for special missions projects or emergency needs within the Association area.

31 Associational Trustees, at the Semi Annual Meeting. The Association shall consider these persons thus nominated, as well as those who shall be nominated from the floor, for election. This committee shall function throughout the year filling vacancies that may occur. D. The Credentials Committee shall be responsible for receiving requests for admission of new churches as stipulated in Article I, Section 5. They shall also review annually each member church in regard to the requirements of Article I, Section 4. E. The Administrative Committee shall be composed each year of the Moderator; Vice-Moderator; the Chairpersons of the following committees: Stewardship, Nominating, Missions, and three Executive Committee members nominated by the Nominating Committee. The Vice-Moderator shall serve as chairperson and the Committee shall elect its own secretary. F. The Associational Council shall set up goals and objectives for the Association plan the Association's program of work, schedule meetings. This Committee shall propose an annual Calendar of Activities, which shall include a fifteen-month period of time beginning with October 1. When adopted, the Calendar shall be printed and distributed to all cooperating churches. This Committee shall be comprised of the Moderator, Vice-Moderator, Clerk, Treasurer, F. department directors, and chairmen of standing committees, and shall meet at the discretion of the Director of Missions. SECTION 2. Temporary Committees. Any temporary committees deemed necessary shall be appointed by the Moderator at the Semiannual Meeting of the Association. The terms of office shall terminate at the close of the following Semiannual Meeting, unless they shall be extended by the Association. Time, Place, and Preacher Committee shall propose the dates, times, and places at which the Semiannual and Annual Meetings of the Association for the ensuing year shall be held, and shall enlist speakers for the Annual sermon and the doctrinal sermon on respective meetings of the Annual Sessions and for the missionary message at the Semi Annual Examples of two (2) such committees are the Resolutions Committee (which shall receive from members and compose and present to the Association any resolutions to be considered by the Association, unless otherwise directed by the Association) and the Memorials Committee (which shall list all deceased members of the churches during the year and prepare and lead in a suitable memorial service during the Annual Meeting of the Association). SECTION 3. Special Committees. Committees may be appointed by the Moderator to perform certain special and particular functions not otherwise included within the scope of standing or temporary committees. The terms of office for these committees shall be determined by the Moderator. SECTION 4. Trustees. The Trustees shall be composed of three lay members of cooperating churches. This Committee shall, with instructions and directions of the Association, receive and acquire by gifts, devise, purchase, or otherwise, real property, and to own, possess, and hold for the sole use and benefit of the Association said property; and to sell, mortgage bond, lease and dispose of the same in accordance with the instructions and directions of the Association. ARTICLE VII - PARLIAMENTARY PROCEDURE The procedures of Roberts Rules of Order that are generally accepted, shall be the Parliamentary authority for the Association and for the Executive Committee. The Association may adopt special rules, if desired, not in conflict with this Constitution and Bylaws or generally accepted parliamentary procedure.

32 ARTICLE VIII WRITTEN POLICIES AND PROCEDURES The Director of Missions in cooperation with the Administrative Committee shall develop and maintain an Operations and Procedure Manual for the Association. Its content is to be approved by the Administrative Committee. Likewise, the Stewardship Committee in cooperation with the Director of Mission shall develop and maintain a Financial Policies and Procedure Manual that must be approved by the Administrative Committee. ARTICLE IX - AMENDMENTS These Bylaws may be amended at any regular meeting of the Executive committee, providing the proposed amendment is presented in writing to the Executive Committee at a prior regular meeting. 41 Book of Reports Director of Missions Report Dr. David Drake Director of Missions 2017 was a great year for Northeast Florida Baptist Association. I m just going to mention some of the highlights I was involved with. On February 19 we had our first missions fair with several missionaries and ministries that are connected with our Association. We had close to 500 in attendance on that Sunday evening at Gardenview Baptist Church. Our Mobile Dental Unit took place April So many volunteers were involved I cannot begin to mention all of them, lest I forget someone. We were nominated and recognized by the Governor s office for this ministry. Of the 15 organizations nominated we were number five. Special thanks to our Ministry Assistant Laurie Warren for her work in this ministry. On April I attended Send Montreal vision trip to see about how our churches can be involved in church planting in Montreal, Quebec, Canada. Our Key Leader Training occurred August 31 and offered training in the following areas: Disaster Relief Legal issues facing the Church Deacon Training Ministry Assistants Mission trips Who we are Just for Pastors In additions to training Pastor Search Committees, we resourced other church committees, and did staff compensation resourcing for many of our churches. In September we were very involved as were all our churches with Disaster Relief as we dealt with Hurricane Irma. Over all we were very fortunate but several of our churches sustained damage. We helped secure assistance financially for those churches, from The Florida Baptist Convention. The following assistance was secured: Thomas Creek Baptist Church received $25,000. Holly Baptist Church received $25,000 Set Free received $15,000 Blackrock received $10,000 Gardenview received $1,000 to feed traveling disaster relief teams October 5, we held our first Annual meeting on Sunday evening at FBC Hilliard. We estimate we had over 400 in attendance which would be the largest attended Annual meeting I ever remember. Despite all our ministry in 2017 our churches will give the lowest amount since I have been DOM beginning in Please remember our support comes from our churches, we do not receive any operating funds from Florida Baptist or Southern Baptist. We want to thank you for your faithful support. Without it, we could not do ministry.

44 The Holy Spirit uniquely calls and uniquely gifts believers in Christ to join local bodies (churches) to engage together in the arena of Kingdom work. This is true in the context of the local church and I believe is also applicable to an association of churches. I trust that each pastor, staff member, leader and member of those churches who function as part of the NEFBA will pray and be open to how our Lord would call you to engage in the arena of Kingdom work in the associational context this year. 45 Once again 2017 was a great year for our senior adult luncheons. We have averaged 200 in attendance at our Senior Adult luncheons. Those who hosted our luncheons this year were Gardenview, FB Callahan, Springhill and Gray Gables. I appreciate these churches because they provide the singing, preachers and the delicious meals. Next year our meetings will be February 15th, FB Fernandina, May 17th, Callahan, August 23rd, TBA & Nov 15th TBA. These churches that host our events provide all the inspirational singing and preaching as well as providing an excellent meal. They do all this for the senior adults in our association. ALL THEY NEED IS YOU!!!!! Make plans to come to our next luncheon, you will be glad you did. Stewardship Report Bill Tyler (Chairman) We would like to thank all of the churches who faithfully send financial support to the association on a regular basis. The budget that was recommended and approved for 2018 is a realistic budget with the amount of support that is given at this time. One thing that we need to remember is that it takes money to do ministry. We pray that all churches in the Northeast Florida Baptist Association will continue to support ministry through the association. If you are not participating in ministry through financial gifts, we would like to encourage you to prayerfully consider participating. May we be good stewards of the manifold gifts that God has given to us. We had 27 people and 8 dentist s volunteer their time to minister to the needs of those in need of dental work. The total value of services donated was $49, Also, thanks to the Gideon s for being here each day to hand out Bible s and share with folks. A special thanks to the church s that provided food for the workers during the week.
