3 מה זה איגו"ח? איגו"ח הוא תהליך בו תזרימי מזומנים הופכים לנייר ערך. מטרת האיגוח היא ליצור חיץ משפטי בין החברה היוצרת ( originator )ובין החברה המנפיקה (SPE) כך שדירוג העסקה יהיה בלתי תלוי בדירוג החברה היוצרת. החזר אגרות החוב נעשה אך ורק מתזרימי המזומנים המתקבלים בגין הנכסים.(Non recourse) 3.

10 ניתוח הסיכונים בעסקאות ABS יש לבחון שלושה אלמנטים עיקריים בדירוג עסקת איגו"ח: מבנה העסקה מהם הסיכונים העלולים לפגוע בתשלום לבעלי אגרות החוב? ניתוח סיכוני אשראי של נכסי הבסיס ניתוח תזרימי מזומנים - בחינת יכולת המנפיק לשלם תשלומי ריבית וקרן במועדם תחת הנחות המתאימות לרמת הדירוג הנדרשת 10.

11 מבנה העסקה נושאים עיקרים המטופלים במסגרת הדירוג: מה קורה אם נכסי הבסיס מגיעים לחדלות פירעון? האם בעלי אגרות החוב חשופים לסיכון שוק של נכסי הבסיס? מה קורה אם שרת העסקה חדל פירעון? האם העסקה תלויה בצורה כלשהי ביוצר הנכסים? איזו חשיפה יש לבעלי האג"ח לצדדים שלישיים? האם למנפיק יש חשיפות מס? האם המנפיק מוגן מפני סיכון חדלות פירעון של יוצר הנכסים?

12 ניתוח סיכוני אשראי של נכס הבסיס שלב ראשון זיהוי הסיכונים בנכסים הספציפיים לבחינת פעילותו השוטפת של יוצר הנכסים ישנה משמעות חשובה ביכולת זיהוי הסיכונים הגלומים בנכסי הבסיס. אופן פעילותו של יוצר הנכסים משפיעה על מאפייני תיק הנכסים וביצועיו. בחינת פעילותו של יוצר הנכסים כוללת, בין היתר, את תהליך החיתום, תהליכי גביה, מדיניות מימוש נכסים וכד'. שלב שני הערכת הסיכונים בנכסים הספציפיים ניתוח ביצועי הנכסים על פני זמן, תוך בחינת הרלבנטיות של מידע זה על תיק הנכסים הספציפי בעסקה, מהווה נדבך קריטי ביכולת המדרג להעריך את כריות הבטחון הנדרשות לכל רמת דירוג. 12.

13 ניתוח סיכוני אשראי של נכס הבסיס, המשך: הערכת כרית הביטחון הנדרשת לכל רמת דירוג: קביעת ה Case- Base להפסדים צפויים בתיק, כהערכה לביצועי התיק בעתיד. שימוש במכפיל, בהתאם לרמת הדירוג הנדרשת. קביעת ה Case- Base לשיעור הRecovery בתיק, תוך הערכת שווי הבטוחות בעתיד. לדוגמא, באיגוח הלוואות כלי רכב, שיעור ה recovery- ייקח בחשבון את הערכותינו לשוק הרכב ולמגמות ביקוש והיצע של דגמים ספציפיים. שימוש במכפיל בעתיד. המבטא את הערכות הקיצון שלנו בנוגע לערך ה- recocvery haircut מאפיינים ספציפיים כמו הלוואות בלון או מידע לא מספק לגבי הביצועים בעבר יטופלו בצורה פרטנית. 13.

14 ניתוח תזרימי מזומנים בכל עסקת,ABS אנו בונים מודל תזרימי לעסקה, הניזון מהמשתנים המשפיעים על תזרימי המזומנים ועל עיתוי בו משתנים אלו חלים. לדוגמא: תוצאות ניתוח סיכוני אשראי בעסקה ספציפית מצביע על הפסד גולמי (ללא התחשבות ב- recovery ) של 10%. המודל יושפע מגובה ההפסד (10% במקרה זה) ומהעיתוי בו הוא חל (לדוגמא: במשך ששת החודשים הראשונים של העסקה, בקו ישר). כמו כן, המודל מושפע מהפרמטרים הבאים: מפל ( waterfall )התשלומים בעסקה - טריגרים העשויים להשפיע על מפל התשלומים - הערכת הוצאות הקודמות לתשלום קרן וריבית לבעלי אגרות החוב - תפקידו של מודל תזרים המזומנים הוא לבחון האם המבנה הנוכחי של העסקה, בהינתן מפל התשלומים הספציפי ורצועות האג"ח הרלוונטיות, אכן יעמוד איתן בהנחות הקיצון שהונחו, בהתאם לדירוג רצועות האג"ח השונות. כל רצועת אג"ח צריכה לעמוד בהנחות הספציפיות שנקבעו, בהתאם לדירוגה. 14.

16 ניתוח ערך השארית Value) (Residual טיב החוזים בבסיס העסקה במקרים בהם ישנו ערך משמעותי לנכס בתום החוזה או ההלוואה, ומימון אגרות החוב בחלקו הינו כנגד ערך השארית, יש צורך להעריך את גובה ערך השארית בעתיד. מימון ערך השארית יכול להיות במקרים בהם החוזים בבסיס העסקה (לדוגמא: חוזי ליסינג) כוללים אופציה לרכישת ערך הרכב בתום העסקה או במקרים בהם הנכס נמכר בשוק החופשי. הערכת ערך השארית ערך השארית בתום החוזה או ההלוואה מושפע מהערכותינו לגבי התנהגות שוק נכסי הבסיס (לדוגמא: כלי רכב, ציוד מסויים וכד') בעתיד. בעסקאות בהן נכס הבסיס הוא כלי רכב, מחיר מכירת כלי רכב בתום החוזה נגזר ממגמות כלליות בשוק הרכב, סוג הרכב וההערכה לגבי דגמים חדשים, הערכות לגבי התנהגות מטבעות (על פי יצרן הרכב) וכד'. 16.
