18 erms and conditions of sae Genera In these conditions eber sha mean aint-gobain eber Limited; the Goods sha mean the products suppied or to be suppied by eber under any Contract; the Customer sha mean the company firm or person buying the Goods from eber under any Contract and Contract sha mean any contract between eber and the Customer for the sae and purchase of Goods. A Goods suppied by eber are suppied on the foowing terms and conditions to the excusion of a other terms and conditions incuding any variation of those terms and conditions which the Customer may seek to impose whether or not the Customer s conditions are contained in any other acceptance or counter offer made by the Customer. Variations sha not have effect uness expressy accepted by a Director or senior manager of eber in writing. A quotations given by eber are subject to acceptance by eber on receipt of the Customer s order. A Contract wi ony be formed when eber has accepted the Customer s order. A descriptions specifications drawings and particuars of weights and dimensions submitted by eber or otherwise contained in eber s price ist or other pubished matter are provided by eber in the beief that they are as accurate as reasonaby possibe but none of these sha form part of any Contract and sha not constitute a description of the Goods or be taken to be representations made by eber and are not warranted to be accurate. A prices quoted are eber s current prices at the time of deivery and are excusive of VA uness otherwise stated. he price payabe for the Goods sha be the price ruing at the date of deivery and eber sha be entited to adjust the price of the Goods at any time between the date of the order and the date of deivery of the Goods to take account of any increase in costs incurred by eber or changes in eber s price ist. here the Goods are carried in a vehice owned by eber or in a vehice owned by a carrier empoyed by eber then deivery sha be deemed to have been effected when the vehice is stationary as near to the point of deivery designated by the Customer as is reasonaby possibe and the deivery note is tendered to the Customer or the recipient of the Goods where deivery is not directy to the Customer;. ime for deivery is not of the essence and eber sha not be iabe for any oss (incuding oss of profit), costs, charges, expenses or damage caused directy or indirecty by ate deivery. eber sha not be iabe for any non-deivery of Goods (even if caused by eber s negigence) uness written notice is given to eber within three working days of the date when the Goods woud in the ordinary course of events have been received. Goods which the Customer agrees to coect ex works must be coected within forty eight hours of eber notifying the Customer that the Goods are ready. If the Goods are not coected within this period eber sha be entited to invoice the Customer for the Goods and to charge for storage of the Goods or return the Goods into stock and cance the Customer s order.. Deviations in quantity of the Goods deivered from those stated on the Contract sha not give the Customer the right to repudiate the Contract or to reject the Goods (save insofar as they materiay exceed the amount ordered) or to caim damages for breach of Contract and the Customer sha be obiged to accept and pay at the Contract rate for the quantity deivered (except insofar as the Customer has the right to reject the Goods under this condition).. he Customer sha ensure that the point of deivery designated by the Customer and a access routes to it are reasonaby accessibe for motor transport and sha aso take such further steps as are necessary incuding providing at the pace of deivery uness otherwise agreed adequate equipment and manua abour for unoading and transporting the Goods.. or deivery outside of the United Kingdom eber s price wi incude terms of deivery. Once the terms of deivery are accepted by the Customer then any variation to those deivery terms wi ony be accepted at the discretion of eber and on the understanding that any additiona costs wi be charged to and paid by the Customer. he price of the Goods and additiona charges (ess any discount to which the Customer is entited) sha be due and payabe on the ast working day of the month foowing that in which the invoice is dated. he time of payment of the price of the Goods sha be of the essence of the Contract.. If the Customer fais to make payment in respect of any invoice on the due date:.. Cance the Contract or suspend any further deiveries to the Customer; and / or.. et-off any amounts eber owes to the Customer by way of rebate payments, contract support payments or any other monies due from eber to the Customer against any monies owed by the Customer to eber.. he Customer sha make a payments due under the Contract without any deduction whether by way of set-off, countercaim, discount, abatement or otherwise uness the Customer has a vaid court order requiring an amount equa to such deduction to be paid by eber to the Customer. Risk in the Goods sha pass to the Customer when the Goods are deivered to or coected by the Customer or its agent.. Notwithstanding deivery and the passing of risk in the Goods the Goods sha remain the property of eber unti the Customer has paid the fu price for the Goods together with any interest payabe in respect of the Goods and a other sums owing from it to eber under any Contract or any interest payabe under any other Contract.. Unti tite to the Goods passes to the Customer the Customer sha hod the Goods as fiduciary agent and baiee for eber and sha keep the Goods in good and substantia repair and condition propery stored protected and insured and the Goods sha be stored in such a way as to be ceary identifiabe as beonging to eber and sha hod the proceeds of the insurance on trust for eber and not mix them with any other money, nor pay the proceeds into an overdrawn bank account.. Unti such time as the tite in the Goods passes to the Customer (and provided the Goods are sti in existence and have not been re-sod) eber sha be entited at any time to require the Customer to deiver up the Goods to eber and if the Customer fais to do so forthwith to enter upon any premises of the Customer or any third party where the Goods are stored and repossess the Goods.. eber sha at any time be entited to appropriate any payment made by the Customer in respect of any Goods in settement of such invoices as eber may in its absoute discretion think fit notwithstanding any purported appropriation by the Customer.

19 erms and conditions of sae he Customer sha carefuy inspect the Goods immediatey on deivery or on coection as the case may be and in the presence of eber or its carrier (as the case may be).. eber sha be under no iabiity for any defects or shortages or wrong deiveries that woud be apparent on carefu inspection if the terms of this cause are not compied with and in any event wi be under no iabiity if the deivery note for the Goods is not endorsed with detais of any defects or shortages or wrong deiveries handed to eber or its carrier (as the case may be) and if a written compaint is not deivered to eber within three working days of deivery detaiing the aeged defect or shortage or wrong deivery.. In a cases where the Customer compains of defects or shortages or wrong deiveries eber sha without prejudice to the question of iabiity generay be under no iabiity in any event if it has not received the written notices under Condition. and if it has not been given an opportunity to inspect the Goods before they have been used by the Customer. 0 eber warrants that it has tite to and the right to se the Goods. 0. In the event of a confict between the Ordering and deivery guide and the Conditions of sae then the Conditions of sae sha appy. If the Customer being a company sha pass a resoution or suffer an order of a court to be made for its winding up or goes into iquidation (otherwise than for the purposes of amagamation or reconstruction) or makes any vountary arrangement with its creditors or becomes subject to an administration order or an encumbrancer takes possession or a receiver or administrative receiver is appointed over any of the assets or property of the Customer or being an individua or partnership sha suspend payment or propose to enter into any composition with creditors or becomes bankrupt or in either case becomes unabe to pay its debts (or have no reasonabe prospect of so doing) or threatens to cease to carry on business then without prejudice to any other right or remedy avaiabe to eber, eber sha be entited to treat the Contract as repudiated or suspend any further deiveries or recover the possession of any Goods for which payment in fu has not been received without iabiity to the Customer and if Goods have been deivered but not paid for the price of those Goods sha become immediatey due and payabe notwithstanding any previous agreement or arrangement to the contrary.
