1 STAFF REPORT ACTION REQUIRED Business Improvement Area (BIA) Board of Management Nominees, Additions and Deletions Date: February 28, 2011 To: From: Toronto and East York Community Council Director, Business Services Wards: 18, 20, 21, 22, 27 and 28 Reference Number: SUMMARY The purpose of this report is to recommend Toronto and East York Community Council appoint members to the Dundas West, Dupont Strip, Hillcrest Village, St. Lawrence Market Neighbourhood and Wychwood Heights Business Improvement Area (BIA) Boards of Management for the new term of Council and approve additions and deletions to the Chinatown, Mount Pleasant and Rosedale Main Street BIA Boards of Management. The Toronto and East York Community Council has delegated authority to make final decisions regarding BIA appointments. RECOMMENDATIONS The Director, Business Services recommends that Toronto and East York Community Council: 1. Appoint the nominees listed in Attachment No. 1, attached to the report dated February 28, 2011, from the Director, Business Services, to the Boards of Management of the Dundas West, Dupont Strip, Hillcrest Village, St. Lawrence Market Neighbourhood and Wychwood Heights Business Improvement Areas (BIAs) for a term expiring at the end of the term of Council or as soon thereafter as successors are appointed. 2. Approve additions and deletions to the Chinatown, Mount Pleasant and Rosedale Main Street BIA Boards of Management as set out in Attachment No. 2, attached to the report dated February 28, 2011, from the Director, Business Services, 3. Confirm that under Council's Public Appointments Policy, these Board members are appointed at the pleasure of Community Council, and Community Council retains the right to replace any appointed member at any time and for any reason. Direct that Schedule A of the Municipal Code Chapter 19, Business Improvement Areas, be amended to reflect the changes in the number of members and the number of members required for quorum of each of the BIA Boards of Management. Financial Impact There are no financial implications resulting from the adoption of this report. DECISION HISTORY Municipal Code Chapter 19 states that the term of BIA Board of Management appointments expires with the term of Council. In an election year, BIAs are required to elect nominees for appointment to the next Board of Management at an Annual General Meeting (AGM). Toronto and East York Community Council has the authority to appoint these nominees. To date, forty-two (42) of the forty-three (43) BIAs within the Toronto and East York Community Council area have held Annual General Meetings (AGMs) and elected Boards of Management for the Council term. Thirty-six were included in the report to the January 18, 2011 meeting of Toronto and East York Community Council and one was included in the report to the February 16, 2011 meeting: and This report recommends the appointment of those persons set out in Attachment No. 1 to the Boards of Management for the Dundas West, Dupont Strip, Hillcrest Village, St. Lawrence Market Neighbourhood and Wychwood Heights BIAs. From time to time, it is also necessary to remove members who are no longer able to serve and add new members to fill vacant Board positions. Attachment No. 2 lists additions and deletions to the Chinatown, Mount Pleasant and Rosedale Main Street BIA Boards. Amendments are required to Schedule A of Municipal Code Chapter 19, which prescribes the number of members of each BIA Board of Management and number of members required for quorum. ISSUE BACKGROUND There are forty-three (43) BIAs within the geographic area of the Toronto and East York Community Council. To date, forty-two (42) have held their 2010 Annual General Meetings (AGMs) to elect members to their Boards of Management. The one remaining BIA, Historic Queen East, is inactive. 3 Council members are appointed to BIA Boards by the Striking Committee. COMMENTS The nominees for the Dundas West, Dupont Strip, Hillcrest Village, St. Lawrence Market Neighbourhood and Wychwood Heights BIA Boards of Management listed in Attachment No. 1 meet the requirements for membership of a BIA Board as set out in Chapter 19 of the Municipal Code. City staff attended the AGM to ensure elections were held in accordance with the Municipal Code. The resignation of one member of the Chinatown BIA Board of Management will require a change to the number of Board members from 19 to 18 (including one Councillor). Quorum will be decreased from 10 to 9. The addition of two members to the Mount Pleasant BIA Board of Management will require a change to the number of Board members from 6 to 8 (including one Councillor). Quorum will be unchanged. The resignation of one member from the Rosedale Main Street BIA Board of Management will require a change to the number of Board members from 14 to 13 (including one Councillor). Quorum will be unchanged. It is recommended that Toronto and East York Community Council appoint the nominees listed in Attachment No. 1 to the Dundas West, Dupont Strip, Hillcrest Village, St. Lawrence Market Neighbourhood and Wychwood Heights BIA Boards of Management, approve the additions and deletions to the Chinatown, Mount Pleasant and Rosedale Main Street BIA Boards listed in Attachment No. 2, and approve the appropriate amendments to Schedule A of Municipal Code Chapter 19 concerning the number of members of each Board of Management and quorum.
