AS INVESTMENT BANKER FOR DEBTORS AND ACCOUNTING FOR FEES AND EXPENSES Advanced Sports Enterprises, Inc., Advanced Sports, Inc., Performance Direct, Inc., Bitech, Inc. and Nashbar Direct, Inc. (collectively, the Debtors ), on behalf of D.A. Davidson & Co. ( D.A. Davidson ), as investment banker for the above-captioned debtors and debtors in possession (collectively, the Debtors ), hereby submit D.A. Davidson s First Report as Investment Banker for Debtors (the First Report ) providing an accounting of its fees and expenses incurred in connection therewith as of February 5, 2019, as follows: BACKGROUND 1. This Court has jurisdiction over this Final Report pursuant to 28 U.S.C. 157 and 1334 and Rule 5005 of the Rules of Bankruptcy Procedure. The statutory predicates for the review of fees and expenses are sections 328(a) and 330 of title 11 of the United States Code (the Bankruptcy Code ). 1 The Debtors in this case, along with each Debtor s case number, are: (i) Advanced Sports Enterprises, Inc., Case No ; (ii) Advanced Sports, Inc., Case No ; (iii) Performance Direct, Inc., Case No ; (iv) Bitech, Inc., Case No ; and (v) Nashbar Direct, Inc., Case No

2 Case Doc 551 Filed 02/20/19 Page 2 of On November 16, 2018 (the Petition Date ), each of the Debtors filed a voluntary petition with the Court under chapter 11 of the Bankruptcy Code. 3. The Debtors sought to engage D.A. Davidson to act as their investment banker with respect to the marketing and sale of the Debtors assets (the Assets ) pursuant to an engagement agreement (as amended, the Engagement Agreement ), as set forth in the Debtors motions filed November 16, 2018 (Doc. 34) and December 17, 2018 (Doc. 254). 4. Pursuant to this Court s Order dated December 24, 2018, the Court authorized the Debtors employment of D.A. Davidson as investment banker for the Debtors (Doc. 288, the D.A. Davidson Retention Order ). Services Provided By D.A. Davidson 5. Upon its engagement by the Debtors, D.A. Davidson worked with the Debtors management and professionals to identify and assemble relevant data concerning the Assets, and to market the Assets to potential buyers. D.A. Davidson s duties are generally described as follows: a. To assist the Debtors in the marketing and sale of the business and assets by identifying, communicating and negotiating with, and evaluating any offers submitted by potential buyers. b. To advise and assist the Debtors in preparing appropriate documentation for pursuing a Transaction and provide analysis and advice in responding to and negotiating the form, structure, terms and price of any proposed Transaction. c. To assist with all aspects of the Auction consistent with the court approved Bid Procedures, including but not limited to evaluating bids and the desirability of designating one or more bids as stalking-horse bids. 2

To perform related services as may be necessary to maximize the proceeds arising out of any sale of the business and/or assets as requested by the Debtors. The Sale of the Debtors Assets 6. On February 6, 2019, the Court entered an order (Doc. 505) approving the sale of certain assets of the Debtors to BikeCo, LLC ( BikeCo ), Amain.com, Inc. ( AMain ) and K&B Investment Corporation ( K&B ) for aggregate consideration of $23,018, In addition, Gordon Brothers Retail Partners, LLC ( Gordon Brothers ) has conducted store closings sales which resulted in net proceeds as of February 5, 2019 of $32,317,687, for total aggregate consideration as of such date of $55,335, The Debtors anticipate additional receipts as the store closing sales are concluded, the proposed sale of the Roubaix trademark is approved by the Court and closes, and other miscellaneous assets are liquidated. Once all such assets have been liquidated, D.A. Davidson will file a Final Report. Amounts Paid to D.A. Davidson 9. Engagement Fee. Pursuant to the Engagement Agreement, as amended, D.A. Davidson was paid an engagement fee of $100, (the Engagement Fee ). 10. Success Fee. In addition to the Engagement Fee, D.A. Davidson is entitled to a success fee (the Success Fee ) equal to the sum of (a) a flat fee of $600, and (b) 1.6% of the aggregate consideration above $30 million. Based upon the aggregate consideration as of February 5, 2019, D.A. Davidson has been paid a Success Fee in the amount of $1,005, The Engagement Agreement also provides for a discretionary Tip Payment, which has not been offered by the Debtors. 3

4 Case Doc 551 Filed 02/20/19 Page 4 of Out-of-Pocket Expenses. Under the Engagement Agreement, D.A. Davidson shall be reimbursed for its reasonable, customary and documented expenses up to a maximum amount of $35,000.00, plus such other expenses as may be authorized by the Debtors. In connection with the engagement, D.A. Davidson incurred reasonable out-of-pocket expenses of $34, which were paid prior to bankruptcy, plus $30, of additional expenses which were authorized and paid by the Debtors. The additional expenses are set forth more fully in the attached expense detail annexed hereto as Exhibit A. RELIEF REQUESTED 12. By this First Report, D.A. Davidson seeks approval of the Engagement Fee ($100,000.00), the Success Fee ($1,005,371.00) and out-of-pocket expenses ($65,334.93) paid by the Debtors, without prejudice to the right to payment of additional Success Fee and reimbursement of actual expenses incurred, based on additional consideration received after February 5, The fees and costs that are the subject of this First Report constitute a legitimate administrative expense in these proceedings. 14. No agreement exists to share the compensation sought with any other individual or entity. WHEREFORE, the Debtors on behalf of D.A. Davidson hereby respectfully request approval of compensation for professional services rendered to the Debtors through February 5, 2019 in the amount of $1,105, (consisting of the Engagement Fee and the Success Fee) and reimbursement of actual and necessary expenses incurred in the sum of $65,
