1 Rev. Jim Bear Jacobs was born in 1977 in St. Paul, MN. He is a member of the Stockbridge-Munsee Mohican Nation, an American Indian tribe located in central Wisconsin. He has degrees in Pastoral Studies and Christian Theology and has served various churches as youth minister, adult Christian educator, and director of Men s Ministries. He is a cultural facilitator in the Twin Cities and works to raise the public s awareness of American Indian causes and injustices. He is a convener of Healing Minnesota Stories," a committee dedicated to creating events of dialogue and education particularly within faith communities. He presently lives in Coon Rapids with his wife Susan and three (soon to be four) young children. 6 1. Registration schedule will be determined yearly and published in the Call to Annual Meeting letter. 2. The hours indicated on the agenda are Orders of the Day and will be followed unless changed by a two-third vote of the Conference. 3. VOTING MEMBERS have WHITE name badges and signed voting cards. Alternate Delegates must be designated by the church and provide a note from the church confirming them as a replacement for the registered Delegate. 4. VISITORS are welcome to attend any or all plenary sessions, and are encouraged to participate in all the activities of the Annual Meeting. They will be issued YELLOW name badges. 5. Immediately following their presentation from the floor, motions and/or amendments must be delivered to the Secretary in writing 6. Nominations for Committees and/or Teams may be from the floor of the Annual Meeting during the first business session. It is necessary to obtain permission from the proposed nominee 2017 STANDING RULES Voice Without Vote to place his/her name in nomination and to prepare a biographical data sheet and present it to the Secretary at that time. 7. All resolutions shall be dealt with in accordance with the "Guidelines for the Resolution Process" listed in this book. 8. In the discussion of reports, resolutions, motions, etc., the remarks of a Delegate will be limited to three minutes; he/she will not be granted the floor a second time to speak on the same side of an issue unless all others on the same side of the issue shall have had opportunity to speak. Opportunity will be provided for two Delegates speaking in favor and two Delegates speaking in opposition to a motion before an amendment can be made. The Moderator may designate Pro and Con microphones. A Delegate may not speak on an issue and conclude by moving the previous question. 9. Any printed/projected materials to be distributed during Annual Meeting which have not been previously approved must first be presented to the ISC Business Committee. 7 COMMON PARLIAMENTARY PROCEDURE 1. To obtain the floor, speaker should: a. wait until the previous speaker has finished b. address the chair c. when recognized, state name and church d. make statement 2. To move or amend, speaker should: a. state: I move that we. or I move that we amend the motion by adding, deleting, inserting the words. b. wait until motion or amendment has been seconded and placed before delegation c. speak to the item Only one amendment to a motion (primary amendment), and one amendment to the motion to amend (secondary amendment) are in order at one time. 3. To stop debate, speaker should: a. state: I move the Previous Question. The motion must be seconded, is not debatable, and requires a two-thirds vote. The motion is out of order when another person is speaking or seeking recognition. 4A. To lay on the table, speaker should: a. state: I move that we table the main motion. The motion must be seconded, is not debatable, and requires a majority vote. The motion is out of order when another person is speaking or seeking recognition. This will defer action until a more convenient time. 4B. To take from the table, speaker should: a. state: I move that we take from the table the motion to (tabled motion). The motion must be seconded, is not debatable and requires a majority vote. 5. To postpone (to a certain time), speaker should: a. state: I move that we postpone consideration of this motion until (time). The motion must be seconded, is debatable only as to the propriety of postponement, and requires a majority vote. The motion is out of order when another person is speaking or seeking recognition. The motion will automatically come before the Conference when the conditions of deferment have been met. 6. To reconsider an action, speaker should: a. state: I move that we reconsider the vote on the motion to (state motion). The motion must be made by one who voted with the prevailing side. The motion must be seconded, is debatable, and requires a majority vote. 7. To rescind an action, speaker should: a. state: I move that we rescind the motion that (state motion). The motion must be seconded, is debatable, and requires a two-thirds vote of members present, or majority of entire membership, unless previous notice has been given of this particular motion to rescind. 8. To substitute a motion, speaker should: a. state: I move, as a substitute motion, that we (state substitute). The motion must be seconded, is debatable and requires a majority vote. If a substitute motion is passed, it simply becomes the motion before the Conference. To become an action of the Conference, it now must be voted upon again. 9. To accept, adopt or refer back to a committee reports, speaker should: a. state: I move that we. The motion must be seconded, is debatable, and requires a majority vote. When a reporting member of a committee or the Board moves the adoption, a second is not necessary. The subject is immediately open for discussion. 10. To state question of privilege, (to raise a point of order, or ask for information, or claim personal privilege), speaker should: a. rise in place, and secure the attention of the chair b. state: I rise to a question of privilege c. wait until the chair determines the urgency of the request, and how to resolve the matter 11. To appeal chair s decision, speaker should: a. address the chair b. state: I appeal from the decision of the chair The motion must be seconded, is not debatable, and requires a majority vote. Note: The Parliamentarian is versed in the rules and procedures of parliamentary law. He/She advises the presiding officer on questions of procedures in transacting the business of the assembly legally, efficiently, and impartially. He/She does not make decisions. 8 DRAFT COPY MINUTES OF THE 52 ND ANNUAL MEETING OF THE ILLINOIS SOUTH CONFERENCE, UNITED CHURCH OF CHRIST OCTOBER 21, 22 AND 23, 2016 REND LAKE RESORT AT WHITTINGTON, IL FRIDAY, OCTOBER 21, 2016 An educational wild bird presentation that included an owl banding and release was held at Wayne Fitzgerrell State Park. A picnic dinner of hot dogs, brats, and fixings was enjoyed after the bird presentation. The movie Inside Out was enjoyed later at the Rend Lake Convention Center. SATURDAY, OCTOBER 22, 2016 Gathering music was shared by B Street Band of St. Paul UCC in Belleville. Opening devotion was led by Rev. Shana Johnson at 9:00 a.m. In her message, she shared that God wants to help us but man is naturally fearful of God so in order not to be feared, God had to become one of us. In an analogy of being a fish, we feel like we have to swim alone but that is not true. We become stronger together. Our call is to have courage in our communities. A representative from each table was invited to bring the fish bowl in the center of their table to the front to be transferred into the large fish tank to represent we are all together. Shana thanked Deaconess Foundation for providing the continental breakfast and invited Rev. Starsky Wilson, President & CEO, to speak on behalf of Deaconess Foundation. At 9:30 a.m. moderator Rev. Kevin Strope called the meeting to order. Designated Conference Minister, Rev. Shana Johnson recognized the nine regions and introduced ISC Executive Committee, Dr. David Greenhaw, Rev. Starsky Wilson, Rev. Krista Betz, B Street Band and Rev. Jerry Amiri (as the tech guru). She introduced new clergy Rev. P. Jerry Bennett, Rev. Rosemary Captain, Rev. Bill Causer, Rev. Dr. Dwayne Dollgener, Rev. Allen Fluent, Pastor Julie Kies, Rev. Robert Koepcke, Rev. Merlyn Approved by Conference Council on 11/19/ Lawrence, Rev. Kim Magwire, Rev. Robert Miner, Pastor Ken Schafer. Preparation Committee representative, Rev. John Holst introduced members in discernment. They are Rosemary Captain, St. Paul UCC, Lebanon; Jason Eisele, Church of the Good Shepherd, Carbondale; Cory Harz, Trinity UCC, Belleville; Bruce Jovaag, Trinity UCC, Belleville; Brett Palmer, St. Paul UCC, Staunton; and John Pawloski, Godfrey Congregational UCC. Kevin Strope then announced a quorum of 130 was present. [104 was needed] Kevin introduced Rev. Mike Southcombe as the parliamentarian. AM :1 IT WAS APPROVED BY UNANOMOUS CONSENT TO ACCEPT THE AGENDA, STANDING RULES, 2015 ANNUAL MEETING MINUTES AND LIST OF VOICE WITHOUT VOTE: REV. DR. DAVID GREENHAW, REV. STARSKY WILSON, REV. A one-minute time will be allowed to highlight what is going on in your church or organization. Chair of Recruitment Committee, Larry Kaburick, introduced committee members, thanked those ending their term, and presented the slate of teams and committees. AM :2 MOTION MADE BY REV. 9 Shirley Bergmann explained the three annual meeting offerings which will be Noisy Offering for Regional Youth Event-2018; donated items for St. John s Community Care Collinsville & Edwardsville from their needs-list; and worship offering for Scholarships Theological Students or Members in Discernment. The first noisy offering to benefit Regional Youth Event was given by Regions 1,3,5,7 and 9. Shirley Bergmann, Treasurer, presented the Treasurer s Report. Vice-moderator, Jill Baker, introduced by-law changes and gave an explanation of proposed conference restructuring. Kevin recognized the Conference Gathering Team and thanked them for their efforts. 10:15 a.m. Break for 15 min. 10:55- noon-keynote Session. Rev. Shana Johnson introduced our guest speaker, Rev. Dr. David Greenhaw. His address was Courage in Community where he had three assignment challenges 1). Keep doing funerals and comfort the grieving, 2) pledge to promise to have a committed relationship with one child in your church, 3) and continue to educate children in faith. Meal prayer was led by Rev. Christy Eckert, Immanuel UCC, Hamel. At 1:30 p.m. the Plenary #2 was convened by Moderator, Rev. Kevin Strope. The second noisy offering to benefit Regional Youth Event-2018 was given by Regions 2, 4, 6, and 8. The second devotion was led by Shana. The emphasis was that the church is a place of refuge. Slides of the sanctuaries of churches in ISC were shown. Rev. Krista Betz, Director of Ministerial Assistance of the Pension Boards shared the importance of the Christmas Fund Offering in assisting present and retired pastors and widows/widowers. The DuBois Center Report was given by Shirley Asmussen, Director of Outdoor Ministry. A time for Speak Outs was given. The Mission Funding Plan was given by Myron Thompson, member of Finance Ministry Team. He explained that contributions to OCWM have been steadily declining and that the delegates at the 2015 Annual Meeting encouraged that the budget for 2017 be balanced. Through the recommendations of the Finance Summit committee and expertise of the FMT, the Mission Funding Plan as presented, even though difficult to accept is the closest they could come to a balanced budget. He encouraged that it is still up to individuals and churches to increase giving. Two workshops were offered: Rev. Dr. Greenhaw to continue his keynote address and a panel discussion The Way Forward in Energy Production and Usage from a Christian Point of View sponsored by the Justice & Witness Team. Before being released to the workshops, the delegates were invited to participate in the wine and cheese reception hosted by ISC Pride under the pavilion near the swimming pool area and then to gather for dinner and special recognitions at 6 p.m. After an enjoyable and delicious dinner, George Jacobs presented Recognition of Church Anniversaries; Rev. Ivan Horn presented Recognition of Pastors Anniversaries and pastors who retired in , Rev. Kevin Strope presented recognition to retiring region conveners and team chairs, and Rev. Jerry Bennett was honored in his retirement as Associate Conference Minister of Programming. Shana reported that the total offering collected for the Regional Youth Event-2018 was $3, The B Street Band presented a concert of wonderful music by a very talented group. SUNDAY, OCTOBER 23, 2016 Gathering music was provided by the B Street Band. Worship and communion was led by Rev. Shana Johnson. A second time of Speak Outs was given. 10 Rev. Kevin Strope called to order Plenary #3 at 10:30 a.m. The proposed mission funding plan was discussed. AM :3 MOTION MADE BY JOHN PAWLOSKI TO AMEND THE 2017 BUDGET BY AUTHORIZING AN ADDITIONAL EXTRAORDINARY WITHDRAWAL FROM INVESTMENTS AS FOLLOWS: ECUADOR PROJECT--$2,000 AND KINDERCOTTAGE--$5,000 SUBJECT TO THE CONFERENCE COUNCIL SHALL CALL A SPECIAL MEETING TO DISCUSS THE USE OF INVESTMENT FUNDS FOR THE FUTURE OF THE CHURCH. SECONDED BY REV. PAMELA SMITH. The proposed mission funding plan with the proposed amendment was further discussed. AM :4 MYRON THOMPSON CALLED FOR THE VOTE TO ACCEPT THE PROPOSED AMENDMENT TO THE BUDGET AND GEORGE JACOBS SECONDED THE MOTION. PROPOSED AMENDMENT FAILED. Kevin Strope called for the vote on the original proposed budget. AM :5 APPROVAL OF THE MISSION FUNDING PLAN AS PRESENTED ON PAGE 27 IN THE DELEGATES PACKET PASSED. AM :6 JILL BAKER CALLED FOR THE VOTE ON THE PROPOSED CHANGE IN BY-LAWS. THE PROPOSED CHANGE IN BY-LAWS PASSED. Kevin Strope called to vote by voting cards to elect the slate of candidates as presented with the addition of Walt Hart on the Conference Gatherings Team, Amber Rhodes as a member of Justice & Witness Team and Region 6 Convener, and Dan Highlander as Region 3 Convener. The total offering for Members in Discernment was $2,434. A lively and active auction was held to purchase the cross and dove backdrop decoration. The winning bid was $1,025 which the winner said the money was to be given to Kindercottage. Jill Baker opened the Plenary #4 after lunch at 1:30 p.m. Lee Alison Wilson led the Ecuador Partnership report. Designated Conference Minister, Rev. Shana Johnson, gave her report by starting with lighting a candle/lamp in memory of Rev. Howard Self. Angela Zapp of the Local Church Empowerment Team and Nancy Prather on behalf of the Wider Church Mission Team presented elevator speeches to inform the delegates of work of their teams. Nancy Prather of Zoar UCC-Hanover shared how the conference has made a difference in the life of that church. In addition, Angela Zapp announced the winners of the Stewardship Contest sponsored by the Local Church Empowerment Team. Closing worship and installation of new leaders were led by Rev. Shana Johnson, Rev. Kevin Strope, Jill Baker and Shirley Bergmann. 12 ANNUAL MEETING OFFERINGS Local Regional #1 Noisy Offering for Ecuador Partnership Here s the plan Each ISC church asks its members to donate small or large amounts of change at Vacation Bible School, Sunday School, Sunday Services or meetings prior to the Annual Meeting. Bring a representation of the change collected to the Annual Meeting at Gateway Convention Center in Collinsville on October 21. (You can convert some of the change to dollars or one large check by taking the change to a bank. They will count it and exchange it for paper currency.) Bring some of the offering as change in a container that can make some noise at the presentation at Annual Meeting. 16 BRIEF BIOGRAPHIES Illinois South Conference Nominees Considered for Vote at 2017 Annual Meeting Personnel Rev. Jeff Schwab is the Pastor at St. Peter's UCC in Okawville. He and his wife, Sara, have sons, Kyle and Ryan. He has served on ISC Property, Personnel, Stewardship, and Outdoor Ministry Teams and on 2 Conference search committees for the ISC Conference Ministers. He was a Board Member and Chair for Hoyleton Youth & Family Services. Lee-Alison Wilson is a Literacy Educator of 13 years, a member of St. Paul UCC, Belleville, where she served on the Worship Board, Church Council, Interim Pastoral Search Committee, Youth Group Leader, Youth Event/Mission Trip Chaperone, Expanding God's Love Stewardship, and more. She worked at DuBois Center as a young adult. She serves as Secretary for the Ecuador Partnership Committee, as attendance and leadership on International Mission Trips and is filling vacancy on ISC Personnel Committee. Property David Payne is an active member of Grantfork UCC and serves on the ISC Property Committee. Robert Schrumpf is an active member of Grantfork UCC and serves on the ISC Property Committee. She is a retired social worker (22 years) working with persons experiencing developmental disabilities and mental illness and director of a St. Louis nonprofit Supported Living residential program for 15 years and is a member of Columbia St. Paul UCC. Conference Gatherings Team Rev. Earl Crecelius is the Pastor of Freeburg St. Paul s UCC. He served as a member of the Conference Gatherings Team for 2 years. 16 Joyce Gusewelle is a member of St. Paul UCC, Edwardsville and a current member of the Conference Gathering Team. She is a life-long member of the UCC. She serves as a member of Hitz Home Auxiliary Board; has attended many ISC Annual Meetings; and has presented at several Days of Discipleship for Deaconess Nurse Ministry. Karen Holtgrewe has served at St. Peter's Stone Church in many ways, including council president and founder of Mission in Action (MiA) whose focus has been to piece quilts for New Athens Home. She has been involved in ISC as a delegate to General Synod, DuBois Center managing team, Region 7 Convener, ISC Executive Committee as Secretary, chairperson for Recruitment Committee and has previously served on the Gathering Team. Mimi Llamas is a retired Government Billing Manager for AT&T. She was baptized and confirmed at St. John UCC, Fairview Heights, but now is a member of St Paul UCC, Belleville, where she serves as Worship Board Co-Chair, Church Council VP, and a member of Chancel Choir and Women's Ensemble. Mimi is a Befriender, a member of St. Paul With You, and the Fine Arts Committee and VP of the St. Paul Retirement Community Foundation Board. She participates in Mission Trips and has been a Delegate for St. Paul at the ISC Annual Meeting, singing in the ISC mass choir. Outdoor Ministry Team Amber Rhodes is a member of Zion UCC in Central City. She serves as Region 6 Convener and has been a member of the ISC Justice & Witness Team. Alaina Scherle is a member of St. Paul UCC in Waterloo. She serves on St. Paul s Consistory, teaches Sunday School, and volunteers in many other ways at the church. Alaina has been a teacher at Bluffview Elementary School in Dupo since She is a Cub Scout Leader and worked at DuBois Center during the summers of as a counselor and waterfront director. She continues to volunteer at DuBois Center as a guest Chaplain for Just You and Me Camp. Nancy Wagner is a member of St. Paul UCC in Lebanon where she s active in Women's Fellowship, Bell Choir, Chancel Choir, and Carpenters of Faith adult Sunday school class. She has taught 6th grade at Marissa Elementary School for 25 years. She previously served on the Outdoor Ministries Team. Nancy is married to Rev. Dr. Donald C. Wagner, pastor and teacher of St. Paul UCC in Lebanon. They have 3 sons and 5 grandchildren, who have camped extensively at DuBois Center.

He has served as the chair of the Church & Ministry Authorization Committee for 6 years, a member of the Conference Council, an ISC General Synod Delegate, Region 2 Convener, Recruitment Committee and Personnel Committee. He photographically documents most ISC events. NEW Conference Council At Large Members Rev. Rosemary Captain has been active in ISC for over 15 years; church delegate from St. Paul UCC, Lebanon for 8 years. She served on Local Church Empowerment Team for 1 term and Church Development Team for 2 terms. Presently she serves as Designated Pastor at St. John UCC in Fairview Heights. Virginia Ilch is an active member of the Evangelical UCC in Godfrey. She is a retired RN and has served as a member of ISC s Church and Ministry Team and as Region 4 Convener. She has also served on various search committees for her church and ISC. Rev. R. J. Morgan serves as the Pastor of New Hanover Zoar UCC and has been the chair of the Property Committee for the past year. He has spearheaded many projects at DuBois Center and ISC office in Highland. Rev. Mike Southcombe is the Pastor and Teacher at St. John UCC in Wood River. He has served the ISC as parliamentarian for several Annual Meetings, Conference Council, and Personnel Committee and currently serves on the Church & Ministry Church Committee. Barbara VanAusdall served ISC as lay leader for 25 years; 7 years as Lay Associate Minister; served as a Conference Council executive/member; General Synod Delegate, and a member of various committees. She worked throughout the Conference providing programs, worship services, retreats, mission trips, and writing songs and worship materials which have been published by the UCC. She is a member of Bethel UCC in Cahokia. Region Conveners #1 Rev. John Holst, pastor of Marion Zion UCC, has served as a member and chair of the ISC Mission & Ecumenism Team, the Conference Council, Day of Discipleship presenter, and General Synod Delegate in He served as the leader for ISC Confirmation Retreats, Chaplain for both Sr. High Camp and Rainbow Camp, and is currently the Region 1 Convener and an ISC Pride member. #5 Rev. Tim Darmour-Paul has been the pastor at Grantfork UCC for 5 years; served as the Chair of ISC Justice & Witness Team for 2 terms; and served as an ISC 2015 General Synod Delegate. He is the Pastoral Advisor for the Hitz Home Auxiliary and serves as the Treasurer of Pathways to Promise, a national interfaith mental health ministry. He is married to Rev. This is his second term as Region Convener. #9 Sharon Banjavcic & Nancy Eisenhauer Sharon Banjavcic is a member of St. John UCC in Fairview Heights, where she has been the organist and choir accompanist for 36 years. She retired from full-time teaching at Southwestern Illinois College, but still teaches part-time for them. She taught Sunday School and led VBS several times over the years. Sharon has also presented at ISC s Day of Discipleship. Nancy Eisenhauer is a life-long member of St. John UCC in Fairview Heights. She is a retired elementary teacher and currently serves on the St. John UCC church council as faith formation coordinator. She is the volunteer choir director. She has served the Conference on the Local Church Empowerment Team and Church Development Team. She has also presented at ISC s Day of Discipleship. NEW - Church & Ministry Lillian Daiber has been active on various teams in ISC for over 30 years. She serves as local church organist, soloist, sings in the choir, and has been a Sunday school and Bible school teacher and coordinator. She was a General Synod Delegate in 2013 and 2015, and currently serves on the Hitz memorial home auxiliary board. Lillian served as secretary for UCC Board for World Ministries and is a member of Grantfork UCC. Rev. Jan Dashner is a retired Air Force Chaplain. Before her 20 year military career, she served UCC, O'Fallon for 10 years. During that time she served the ISC as a member of the New Athens Home Board of Directors, the Church and Ministry committee as a General Synod delegate, and as Conference Moderator. 27 needed for resolutions of witness. The former address Conference policy, program and practices; the latter address social issues of concern to the churches. Section 2 Meetings of the Regions A. Region meetings shall be held regularly (never less than once each year) for the purposes of: - mutual support and accountability for stewardship of the gospel and the wider mission of the Conference and United Church of Christ; - cooperative engagement in God s mission within the region; - encouragement of each congregation to assess its own strengths and readiness for growth and engagement in the mission; - worship, fellowship, and education concerning the total work of the Church. - identification of persons with gifts to offer leadership in Conference ministry teams and settings. Regions will be convened by their respective representatives to the Conference Council. Section 3 Special Meetings of the Conference may be called by the Council or by petition of at least one third of the churches. Section 4 Ecclesiastical Councils of the Conference acting as an Association shall be called by the Church and Ministry Committee or Conference Council. Section 5 Notice of annual meeting, special meetings and Ecclesiastical Councils of the Conference shall be sent by postal service or e- mail to all ministers and churches of the Conference not later than thirty days prior to the date thereof. The purpose of each special meeting or Ecclesiastical Council shall be stated in the call, and only the business so stated may be transacted. Section 6 Preparation of Agendas A. The Executive Committee of the Council shall prepare the agenda for all Conference meetings. B. The Church and Ministry Committee shall prepare the agenda for all Ecclesiastical Councils. ARTICLE V CONFERENCE COUNCIL Section 1 The Conference Council shall consist of twelve nine members, approximately one half of whom shall be lay persons and approximately one half of whom shall be clergy, nominated and elected at the annual meeting of the Conference. Membership shall be comprised as follows: A. Five (5) At-Large members from across the Conference selected by the Recruitment Committee, with no more than two from the same regions. One person shall be elected by the Annual Meeting to represent each geographical region from nominees proposed by each region and selected by the Recruitment Committee. Each elected region representative shall serve as the convener of that region. B. Region conveners shall be ex officio members of Conference Council. B. The chairperson of each Conference Ministry Team shall serve for the duration of her/his term as chairperson. In the absence of the seated team chair, a designated team member may serve as a protem chair at a team meeting and/or attend a Conference Council meeting with voice and vote, if such is determined by said team and recorded in prior minutes. C. The four (4) officers of the Conference shall be members of the Council. Section 2 The terms of office for members of the Council shall be two years, beginning with the conclusion of the annual meeting or General Synod at which they have been elected. A member may serve two consecutive terms, after which one year shall have elapsed before that member is eligible for re-election. Council members shall be of two classes, one half to be elected each year. Section 3 The officers of the Council shall be the Moderator, the Vice Moderator, the Secretary, and the Treasurer, all of whom shall be nominated and elected by the Conference. These officers shall constitute the Executive Committee of the Council. The Moderator shall be the President of the Corporation; the Vice Moderator shall be the Vice President; the Secretary and Treasurer shall be the Secretary and Treasurer of the Corporation, respectively. 28 The Conference Minister shall be the Chief Administrative Officer of the Corporation. Section 4 The Conference Council as a whole is charged with: - acting as the corporate entity by conducting the business affairs for the Illinois South Conference between official meetings of the Conference; - planning, evaluating, and guiding the mission priorities and implementing the actions of the official meetings of the Conference; - assuring the functioning of the regions; - coordinating the networking of congregations for shared programs of growth and mission; - filling vacancies in elected positions of the Conference. Section 5 Meetings: A. The Council shall meet every other month. B. A quorum shall consist of five (5) fifty per cent of the voting members of the Council including at least two (2) at large members. Section 6 The Executive Committee of the Council A. The Executive Committee of the Council shall be comprised of the Officers of the Council. B. The functions of the Executive Committee of the Council shall be: 1. to manage Council policy and planning; 2. to act for the Council as interim and be accountable to the Council; 3. to deal with sensitive issues and report findings to the Council if further action is indicated; 4. to plan the agendas of Council meetings as well as Annual and Special Conference meetings. C. The Executive Committee shall meet on call. ARTICLE VI COMMITTEES AND MINISTRIES OF THE CONFERENCE COUNCIL Section 1 The Council shall have standing committees to fulfill on-going responsibilities of the Conference. Each Committee shall be comprised of six to twelve members. Members shall be elected to serve two year terms, and are eligible to serve two terms, for a total of four years, after which one year must elapse before they are eligible for election to the same committee. The standing committees are: A. The Personnel Committee: 1. The Personnel Committee shall be comprised of a chairperson and five six members nominated by the Recruitment Committee and elected by the Annual Meeting Delegates, three of whom shall be clergy and three of whom shall be lay. 2. It shall be the responsibility of the Committee to: a. Review, recommend and update personnel policies for the Conference staff, including DuBois Center staff, and recommend those policies to the Conference Council for adoption. b. Define, review and update job descriptions for all program and administrative staff. c. Ensure that job performance review procedures are in place and implemented annually. d. Review annually staff salaries and recommend to the Budget Committee compensation, including salary and benefits, for the coming year. e. Consult with the Conference Minister or Director of Outdoor Ministries regarding the calling, hiring or dismissal of staff. B. The Property Committee: 1. The Property Committee shall be comprised of a chairperson and five (5) six (6) to twelve (12) members nominated by the Recruitment Committee and elected by the Annual Meeting Delegates. 2. It shall have stewardship of all Conference properties and equipment, including DuBois Center. a. It shall develop a plan for the maintenance of all Conference properties. b. It shall work closely with the Outdoor Ministries Team to assure the maintenance and safety of the site and facilities for their intended usage. It shall appoint one of its Proposed Changes for Annual Meeting October 21, 2017 Page 8 28

29 members to serve on the Outdoor Ministry Team, voice without vote. c. It shall receive a minimum of 2 bids or proposals for contracted construction or maintenance of facilities with an estimated cost greater than $5,000 for recommendation to the Conference Council. C. The Recruitment Committee: 1. The Recruitment Committee shall be comprised of a Chairperson, chosen by the Conference Council, and five (5) representatives from across the Conference of the regions who are elected by the Annual Meeting Delegates. 2. The Recruitment Committee shall: a. prepare a slate of nominees for all elected offices of the Conference, including delegates to General Synod, according to the terms specified in the bylaws; b. identify persons, in collaboration with the regions, with gifts and calling to serve as members of all standing committees; c. identify persons, in collaboration with the regions, who have the gifts and calling to be considered for election to the Conference Ministry Teams; d. seek representation on each standing committee and ministry team that is inclusive of laity, clergy, males, females, racial and ethnic minorities and age diversity. Section 2 The Conference Council may establish additional standing committees as it deems necessary. ARTICLE VII CONFERENCE MINISTRY TEAMS Section 1 The Conference shall engage in its ministries and functions through the efforts of eight six (6) ministry teams. Each team shall be comprised of a chairperson nominated by the Recruitment Committee and elected by the Annual Meeting, and nine six (6) to twelve (12) members nominated by regions and elected by the Conference. All elected and appointed team members shall serve for two year terms, and may serve one additional term, after which one year will have to elapse before they are eligible for appointment or election to the same team. Section 2 Conference Ministry Teams may co-opt as temporary members persons with the specific skills and/or resources who are able to assist in meeting the Team s specific responsibilities, and may create task forces to accomplish specific tasks. Section 3 The Conference Ministry Teams are: A. The Church and Ministry Team 1. The Church and Ministry Team shall consist of twelve (12) members. The Team shall deal with all matters relating to the preparation, authorization and standing of ordained, commissioned and licensed ministers, and the standing and welfare of congregations in the Conference. 2. It shall adopt a procedure for regular review of authorized ministers for the purpose of providing needed support and accountability. 3. It shall report regularly to the Conference Council. 4. It shall assure that an accurate record is kept of all actions taken. 5. The Church and Ministry Team shall be comprised of three (3) Committees: the Church Committee; the Preparation Committee; and the Authorization Committee. Each shall have nine (9) elected persons, including the Chairperson. 6. The Church Committee will be composed of five (5) lay members and four (4) authorized ministers, representing each of the nine regions. 5. The Church and Ministry Team s scope of work will include all matters relating to: a. the preparation for, and authorization of, Commissioned, Licensed, and Ordained ministers, and persons ordained in another denomination seeking Privilege of Call or Dual Standing. b. the standing and oversight of Commissioned, Licensed and Ordained ministers. This includes development, nurture, maintenance and oversight of the covenantal relationship between authorized ministers of the Illinois South Proposed Changes for Annual Meeting October 21, 2017 Page 9 29

30 Conference and the United Church of Christ. c. Care for the standing and welfare of our covenantal congregations of the Illinois South Conference. 6. Each person will be elected for a three (3) year term, renewable once before going off the Team for at least a year. 7. The three (3) Chairpersons will together serve as an Executive Committee for the Church and Ministry Team. 8. Of the three (3) Chairpersons, one will serve on the Conference Council. The seat on the Conference Council will be on a rotating basis. 7. Conference Staff will provide presence and support for the each Committee, voice without vote. 9. Each Committee will meet as it determines is necessary to fulfill its responsibilities. 10. The Executive Committee of the Church and Ministry Team will meet prior to each Illinois South Conference Council meeting. 11. The entire Church and Ministry Team will gather no less than annually for purposes of training, continuity, and addressing issues of common concern It shall relate to the national ministries to avail the Conference resources to most effectively achieve its mission. B. The Church Development Team A. The Church Development Team shall serve to discern, propose and promote: a. the starting of new congregation; b. the renewal of congregations with significant new opportunities for growth and mission; c. the relocation of congregations whose context for mission has changed significantly; d. the welcoming of established congregations that seek to join the United Church of Christ; e. evangelism B. It shall propose to the Conference those projects for which Conference funds are requested, and those projects for which national partnership is to be sought; C. It shall explore ministry and possible new church starts with unserved populations and constituencies in southern Illinois that will increase the racial and cultural diversity of the Conference. D. It shall relate to the national ministries to avail itself and the Conference resources to most effectively achieve its mission. B. Local Church Ministries Team 1. Local Church Ministries Team shall consist of ten (10) members. The team will be made up of people focused on church empowerment and development. They will work and support congregations, helping them grow and renew. The work of this team includes: evangelism, youth ministry, Christian education (spiritual formation), worship resources, and stewardship. 2. It shall propose to the Conference those projects for which Conference funds are requested, and those projects for which national partnership is to be sought; 3. It shall explore ministry and possible new church starts with unserved populations and constituencies in southern Illinois that will increase the racial and cultural diversity of the Conference. C. The Conference Gatherings Team 1. It shall assist regions, as necessary and able, to gather in order to achieve their purposes. consist of ten (10) members. 2. It shall publicize and promote participation of all congregations in their regions as well as in the Conference gatherings. 3. It shall plan all meetings of the Conference at the direction of the Conference Council. 4. It shall take its direction from the Conference Council as to the purposes, times, and duration of the gatherings it is asked to plan. D. The Finance Ministry Team: 1. Shall be comprised of eight (8) persons six (6) members elected at Annual Meeting. 2. Ex-officio members of the Finance Ministry Team will include: The Conference Minister, Conference Treasurer, Director of Outdoor Proposed Changes for Annual Meeting October 21, 2017 Page 10 30

31 Ministries, a representative of the Outdoor Ministries Team and Conference Staff financial person. 3. The Finance Ministry shall be responsible for: budget, investment, financial development, Council for Health & Human Services Ministry (CHHSM) interface, Chicago United Eden (CUE), and Our Church s Wider Mission. 4. The Finance Ministry will develop working groups to address these responsibilities. 5. The Finance Ministry may co-opt as temporary members persons with the specific skills and/or resources who are able to assist in meeting the Ministry s specific responsibilities. 6. It shall relate to the national ministries to avail the Conference resources to assist in its work with congregations. E. The Justice and Witness Team 1. The Justice and Witness Team shall serve to discern, propose, and promote those social and public policy concerns that present opportunities for the local congregations and Conference to witness to God's call for justice, peace and well-being of all persons and all God's creation. 2. It shall assist local congregations to discern issues of justice, peace and the integrity of creation in their own communities and regions that present opportunities for their own witness. 3. It shall assist congregations in networking and resourcing one another for effective cooperative work. 4. It shall relate to the - national ministries to inform and promote Conference participation in ministries of national importance, and to avail itself and the Conference resources to most effectively do its mission. D. The Jstice and Mission Team 1. The Justice and Mission Team shall be comprised of ten (10) members. 2. It shall promote social and public policy concerns that present opportunities for local congregations and the Conference to witness to God s call for justice, peace and well-being of all persons and all God s creation. 3. It shall serve to discern, propose and promote the mission of the Conference to southern Illinois; enter, promote and sustain ecumenical relationships that further that mission; promote Conference participation and support of the wider mission of the United Church of Christ, and propose, implement and guide Conference engagement in international partnerships. 4. It shall assist local congregations to discern opportunities for serving God s mission in their own communities and beyond. It shall assist congregations in networking and resourcing one another for effective cooperative work. 5. It shall assist local congregations to interpret, promote and support the wider mission of the Conference and the United Church of Christ. 6. It shall relate to the national ministries to avail itself and the Conference resources to most effectively accomplish its mission. F. The Local Church Empowerment Team 1. The Local Church Empowerment Team shall serve to strengthen the life, ministries and mission of the local congregations for all age groups. 2. It shall network congregations across the regions of the Conference who have similar development aims, suggest or provide resources and/or programs for their mutual development, including persons and/ particular expertise in the area of their opportunity. 3. The Team, in order to respond to specific needs of congregations, may organize itself into two sub-groups, to which additional members may be coopted, as follows: - worship and education - youth ministry 4. It shall encourage each congregation, especially as gathered in regions, to assess their strengths and readiness to engage in particular developmental work in: worship and education; evangelism; Proposed Changes for Annual Meeting October 21, 2017 Page 11 31

32 stewardship and planned giving, youth ministry, leadership training and community-building. 5. It shall relate to the national ministries to avail the Conference resources to assist in its work with congregations. G. The Mission and Ecumenism Team 1. The Mission and Ecumenism Team shall serve to discern, propose and promote the mission of the Conference to southern Illinois; enter, promote and sustain ecumenical relationships that further that mission; promote Conference participation and support of the wider mission of the United Church of Christ, and propose, implement and guide Conference engagement in international partnerships. 2. It shall assist local congregations and regions to discern opportunities for serving God's mission in their own communities and regions. 3. It shall assist local congregations to interpret, promote and support the wider mission of the Conference and the United Church of Christ. 4. It shall relate to the national ministries to avail itself and the Conference resources to most effectively accomplish its mission. HF. The Outdoor Ministries Team 1. The Outdoor Ministries Team shall consist of ten (10) members, and will work with the Director of Outdoor Ministries and DuBois Center Program Director to pursue the vision and achieve the mission of DuBois Center. 2. It shall assist in designing and promoting outdoor ministries as an extension of the local congregations' own educational ministries. 3. It shall work closely with the Property Committee of the Conference Council to assure the safety, security and maintenance of the DuBois Center site and facilities. One member of the Property Committee shall be appointed by the Property Committee to serve on the Outdoor Ministries Team, voice without vote It shall organize itself into such subcommittees as it deems appropriate and necessary to achieve its mission and work in collaboration with local congregations It may appoint additional members to subcommittees so as to engage the persons with skills needed for effective work in the various programs it conducts. Section 4 The Conference Council may propose to the Annual Meeting the establishment of new ministry teams. Section 5 The Program Staff are ex-officio members of all Ministry Teams and the Conference Council with voice but without vote. ARTICLE VIII DUTIES OF OFFICERS Section 1 The Moderator of the Council shall preside at all meetings of the Council and the Conference and report findings and acts of the Council to the Conference. He/she shall execute all deeds, contracts, and other documents requiring an official signature and shall perform all the duties which usually pertain to this office. Section 2 The Vice-moderator of the Council shall perform the duties of the Moderator in his/her absence, inability or refusal to act, or by the request of the Moderator. In case both presiding officers are absent or unable or refuse to act, the Council shall appoint a presiding officer pro tem. Section 3 The Secretary shall keep a permanent, accurate, and legible record of all meetings and transactions of the Conference Council and the Executive Committee. He/she shall perform such other duties as usually pertain to this office. Section 4 The Treasurer shall also be a member of the Finance Ministry Team of the Council. He/she shall recommend and monitor financial policy to the Council, provide accurate financial reports to the Council, and oversee funds as directed by the Council. He/she shall provide Annual Reports to the Conference. The Treasurer shall receive assistance from the staff. The Conference Minister and other staff members as deemed appropriate shall be authorized by the Council to receive, invest, and disburse the monies of the Conference according to the policies of the Conference and the Council. 33 ARTICLE IX CONFERENCE MINISTERS Section 1 The Conference Minister and/or the Associate Conference Minister(s), if called, shall be issued a call by the Conference at the annual meeting or at a special meeting properly called for that purpose. The Council shall appoint a committee to secure a candidate for each office and shall submit one name for each office with its recommendation to the Conference for consideration. The voting members of the Conference shall vote by ballot for or against his/her election and the terms of his/her Call as shall have been suggested by the Council. An affirmative vote of at least seventyfive per cent of the number voting shall be required to issue a call. Section 2 The Call shall be for an indefinite time. There shall be an annual performance evaluation of the Conference Minister and Associate(s), if called, administered by the Executive Committee of the Conference Council. Section 3 In the event of a vacancy in the office of the Conference Minister, the Conference Council shall immediately notify the Office of the General Minister and President of the United Church of Christ. The Council shall provide for administering the affairs of the office until a successor shall have been elected and installed. Section 4 The Conference Minister or Associate(s), if called, shall give or receive ninety days' notice in the event of a resignation or dismissal from that office. Action for dismissal may be taken at a regular or specially called meeting of the Conference upon recommendation of the Council or by presentation by the Council of a petition from at least ten per cent of the churches of the Conference. A majority is required to act on dismissal. ARTICLE X NOMINATIONS AND ELECTIONS Section 1 The Recruitment Committee shall mail (by postal service or ) to each church, at least six months prior to the annual meeting, listing of opportunities for service in the Conference for which appointments and elections are pending, and requesting nominees. The churches, separately and gathering as regions, shall identify appropriately gifted and called persons and return the names of nominees with their qualifications for each vacancy by a date to be determined by the Recruitment Committee. They shall submit names of laity and clergy, women and men, racial and ethnic minorities, persons of diverse ages and physical abilities to assure inclusive, balanced participation. Names of potential appointees shall be presented to the Council at a meeting prior to the Conference annual meeting. Section 2 The slate presented by the Recruitment Committee needs only one name per position to be appointed or elected. Section 3 At the first business session of the Annual Meeting of the Conference, the Recruitment Committee shall present its report and the slate of nominees for acceptance and further nominations. Elections shall take place at a subsequent business meeting. A. Delegates to the annual Conference Meeting shall be instructed as to the procedure for making further nominations from the floor. B. Persons named on the Recruitment Committee s slate or nominated from the floor shall have been contacted in advance and shall have indicated their willingness to serve. ARTICLE XI GENERAL SYNOD DELEGATES Section 1 A. Delegates and alternates shall be chosen from among the Conference s ordained ministers and the lay members of its local churches. 1. The delegation, whose number is determined by the United Church of Christ Board, shall adhere to the by-laws of the United Church of Christ: At least 50% of the delegation shall be lay persons. 2. The delegation shall be representative of racial and ethnic persons, women, youth and young adults. 3. At least 20% of the delegation shall be under 30 years of age at the time of commencing their terms. B. C. One nominee shall be presented for each vacancy. C. D. 34 D. E. Nominees to be presented in specific categories shall be so identified on the ballot. E. F. Six alternate delegates, divided equally for male/female, lay/clergy, and under 30 male/female, shall be nominated on the ballot. These nominees shall reflect the same categories as the delegates. Section 2 Unless chosen as a Conference delegate, the Moderator of the Council shall be an Associate Delegate, voice without vote. ARTICLE XII AUDIT There shall be an annual audit of the Conference books and records by a Certified Public Accountant having no official connection with the Conference, who shall be appointed by the Council. ARTICLE XIII RULES OF ORDER All proceedings of the Conference and its Council shall be conducted in a spirit of discernment and prayer. A process for decision-making by consensus may be defined in rules of procedure and followed if adopted by a majority of the delegates. Where the adopted rules are silent, Robert's Rules of Order Newly Revised shall be followed. ARTICLE XIV AMENDMENTS These Bylaws may be amended only at any Annual or Special Meeting by a majority vote of the members present and voting, provided that all proposed amendments have been mailed (by postal service or by ) to the churches at least fifteen days prior to the meeting at which the vote is to be taken.
