SOUTHPOINT COMMUNITY CHRISTIAN CHURCH BYLAWS (Vote will be on January 26 & 27, 2013) Our previous Bylaws were adopted in September of 2001. Although the mission of Southpoint has remained the same, we realized our Bylaws needed to be revised and clarified to reflect our current level of operations. The main purpose for amending these Bylaws was to make them more organized and user friendly, to clarify roles between Pastors/Elders, Officers and Deacons. The position of Trustee has been eliminated as the Pastors/Elders naturally serve in that capacity as stated in these amended Bylaws. Summary of Changes: - Article I states our Name - Article II states our Mission. - In Article III we stated more clearly our core beliefs. - In Article IV we more fully delineated what it means to be a Member of Southpoint: qualifications for membership, responsibilities of membership, rights of membership and termination of membership. A new member will receive a copy of these Bylaws upon reception into church membership, and by that reception agrees to abide by these Bylaws as a condition of continuing membership. - In Article V we more clearly defined the roles and responsibilities of the Pastors/Elders and the Board of Pastors/Elders and how they are elected, removed, etc. - In Article VI we addressed the Officers of Southpoint. Officers' selection, duties and removal are discussed in detail. - In Article VII we explain the role of Deacons and how they are appointed. - Article VIII addresses Membership Congregational Meetings: when they are held, the type of notice needed, what constitutes a quorum, etc. - Article IX discusses the acquisition, holding and disposition of property while Article X discusses contracts and funds. - Article XI is the Indemnification clause. Article XII mentions Auxiliary Organizations. Articles XIII - XVI addresses our Fiscal Year, Rules of Order at meetings, Bylaw Approval and Bylaw Amendments, respectively.

SOUTHPOINT COMMUNITY CHRISTIAN CHURCH BYLAWS (Adopted: January, 2013) ARTICLE I NAME The name of this organization shall be Southpoint Community Christian Church in accordance with the Restated Articles of Incorporation filed on April 5, 2012. In this document Southpoint Community Christian Church will sometimes be referred to simply as Southpoint or Church. ARTICLE II MISSION The primary mission of Southpoint is to fulfill the Great Commission of Jesus Christ (Matt. 28:19-20) which is to win Downriver to Christ by creating Christians who are committed, connected and contributing. Southpoint is a Christ-centered, Bible-based, non-denominational church seeking to restore New Testament faith, practices and unity. ARTICLE III STATEMENT OF CORE BELIEFS The Bible serves as our only authority in matters of faith and practice. Only that which is expressly taught in the Scriptures can be made conditions of fellowship and obligation. We believe in one righteous, loving God in three persons, and that Jesus is God s Son and Christ. (Matthew 16:16, 28:18-20) One Father He is our Creator, Ruler and Provider, who has revealed Himself and His will in His authoritative Word the Bible. One Lord - Jesus is God, the Son fully divine and fully human. He is the sinless Christ who died for our sins and rose from the dead, resulting in humanity s salvation, and now reigns from heaven as our mediator. One Spirit - The Holy Spirit is God drawing sinners to Christ, living in the Christian to produce Christ-like character, and empowering us for service. We believe that everyone chooses to rebel against God, and needs forgiveness of sins and eternal life which comes through trust in Jesus Christ. (John 3:16, Acts 2:38) One Faith Disobedience to God s laws result in spiritual and eternal separation from God. The Gospel is the Good News of salvation offered by grace, received through faith, demonstrated in repentance and baptism, and lived out with the evidence of holiness and good works. One Baptism The biblical occasion of immersion in water for identifying believers with Christ in his death, burial and resurrection. We believe that Christ is the head of the church which is His representation in the world today, and is composed of all who have experienced salvation. (John 17:20-21, Acts 2, Romans 7:4, 1 Corinthians 1:2-10 ) One Body - The Church is the Body of Christ, whose members live under the New Covenant, gather to worship and build up one another, and carry out His mission to make disciples. One Hope - Jesus Christ will one day return to resurrect and judge the dead, and the Church will enjoy His presence forever. ARTICLE IV MEMBERSHIP The governing of this church is vested in the body of the members who compose it. This congregation shall continue as a local, self-governing church and shall not be made, nor become, subject to any ecclesiastical organization or any outside authority whatsoever. Under no circumstances shall said congregation ever surrender by merger, absorption, or otherwise, its historically independent and undenominational position. A new member will receive a copy of these bylaws upon reception into church membership, and by that reception agrees to abide by these bylaws as a condition of continuing membership. Section 1 Qualifications for Membership The only requirement for membership is a confessed faith in Jesus Christ as God s Son, which results in repentance and baptism by immersion. The intent to be considered a member must be made known to one of the Pastors (Elders) or Ministry Staff. Immersed believers from other churches or communities are accepted as members upon their confession of faith in Jesus Christ as God s Son. Section 2 Responsibilities of Membership Declaring that you desire to be a member of Southpoint Community Christian Church expresses that you are in agreement with the Mission and Core Beliefs. Membership means active, sacrificial involvement, and seeking to live a Christ-honoring life. Membership includes accountability to the leadership of the Pastors for a Christian lifestyle in accordance with the Scriptures. Section 3 Rights of Membership 1. Leadership Positions Members who are in good standing, appropriately gifted and spiritually qualified are eligible for participation in formal positions of Southpoint leadership. 2. Voting Rights Members who are 15 years or older have the right to vote at duly-called Membership Meetings on the following matters: a. The calling of or removing, for scriptural cause, the Lead Minister; b. The approval of those recommended to hold the position of Pastor/Elder; c. The acquisition and/or disposal of real property and related indebtedness; and d. The Bylaws of the Church. 3. Pastoral Care Membership is the basis for receiving pastoral care. Section 4 Termination of Membership Members may be removed from membership of Southpoint for the following reasons: 1. Request of Member If at any time a person wishes to withdraw from membership of the Church in good standing, a request must be given to a Pastor/Elder or a staff member of Southpoint Community Christian Church Bylaws (Adopted: January, 2013) Page 2

Southpoint. Statements of good standing will be given to members leaving in good standing upon request. 2. Joining another Church A person will be removed from membership of Southpoint if it is learned they have joined another church family. 3. Absenteeism A member may be removed from membership when he/she fails to attend or participate in the Church for one full year (sickness, disability, military service and missions work excluded). Reasonable efforts will be made to determine if that person wishes to remain a member and become an active member in good standing again. 4. Dismissal for Cause When a member a. departs from the faith (1 Timothy 1:20), b. advocates core anti-christian teachings (2 John 10), c. is causing division in the Church over non-essential matters (Titus 3:9-11), d. engages in continuous unrepented sin, damaging the testimony of the Church (1 Corinthians 5:1-13). The individual will be admonished by the Church s Pastors/Elders. If despite these warnings the member is unrepentant, he/she will ultimately be removed from membership by the Church s Pastors/Elders. Attempts will be made to restore the wayward member using the guidelines in Matthew 18:15-17. 5. Death. This removal may be made known to the congregation through announcement or publication. ARTICLE V PASTORS/ELDERS AND BOARD OF PASTORS/ELDERS Section 1 Pastors/Elders as Spiritual Leaders of the Church The Pastors/Elders are the spiritual leaders of the Church. The term Pastor is synonymous with the terms: Elder, Overseer, Bishop, Shepherd and Trustee. It shall be the duty of the Pastors to exercise the spiritual leadership and general supervision over the affairs and business of the congregation in accordance with its declared mission, core beliefs and values; and in accordance with these Bylaws, to see that its mission, core beliefs and values are carried out. A Pastor shall fulfill the qualifications set forth in the New Testament for those holding the office of Pastor/Elder (1 Timothy 2:12, 3:2-7; Titus 1:6-9; 1 Peter 5:2-3) providing an example for the Church after which to pattern their lives. He shall have a living personal relationship with Jesus Christ of no less than two years and be a dedicated member of Southpoint Community Christian Church for at least one year. He shall have an unreserved commitment to the authority of the Bible as the inerrant source of doctrine and rule of faith and practice (2 Timothy 3:14-17). He shall be committed to faithful participation in the worship and study sessions of the Church (Hebrews 10:25). He shall strive to be an example in generous giving from his income to support the work of the Church. He shall be accountable to the other Pastors for the performance of his ministry, the quality of his character and the doctrine of his teaching. Section 2 Board of Pastors/Elders The Board of Pastors (a/k/a Board of Elders) is synonymous with the term Board of Directors in a corporation. The Pastors at their first meeting following the annual membership meeting shall select a Chairman and Secretary from amongst its members. The Pastors may appoint such other officers as are deemed necessary, including but not limited to Vice Chairman and Assistant Secretary from among the members of the Board of Pastors. Duties of Chairman of the Board of Pastors The Chairman, in cooperation with the Lead Minister, shall provide leadership to the Board of Pastors and shall have further duties and responsibilities as delineated in Article VI, Section 2, of these Bylaws. Duties of Vice Chairman of the Board of Pastors The Vice Chairman shall perform the duties of the Chairman of the Board of Pastors in the Chairman s absence or in the event of his death, inability or refusal to act and when so acting, shall have all the powers of and be subject to all the restrictions upon the Chairman. Duties of Secretary of the Board of Pastors The Secretary shall keep accurate and permanent records of all regular and special meetings of the Board of Pastors and the congregation. Section 3 Role and Responsibilities of Pastors Duties of the Board of Pastors The Board of Pastors shall serve as the pulpit committee and also as the nominating committee for all Church officers and positions unless the task is delegated to other groups or individuals by the Pastors. The Board of Pastors shall work to seek the will of God by consensus as a safeguard against precipitous or premature decisions. In instances when a matter must be decided and consensus is not present, the Chairman of the Board of Pastors or Lead Minister may call for a vote where a simple majority will be required to pass the motion. The Board of Pastors shall regularly review and revise the list of active membership. The Board of Pastors may appoint committees, task forces, teams and/or individuals to which they delegate any responsibilities deemed appropriate for carrying out specific tasks or necessary activities required for protecting or furthering the purposes of the Church. The delegation of responsibilities shall not be considered a relinquishment of authority to these specially appointed groups and/or individuals, and the Pastors reserve the right to object to and override any recommendations and/or decisions of these groups or individuals. Pastors as Advisors to the Lead Minister The Pastors will serve as partners with the Lead Minister. Their role will be to advise, review, oversee and provide accountability for the Lead Minister s leadership and teaching ministries. They will be fully responsible for insuring that his overall leadership and teaching ministries are in alignment with God s Word. Pastors function in cooperation with the Lead Minister as an overseer of the total programs of the Church (1 Peter 5:2, 1 Timothy 3:4-5, Hebrews 13:17). Pastors as Shepherds The Pastors provide general care, oversight, and guardianship of the church. Southpoint Community Christian Church Bylaws (Adopted: January, 2013) Page 4

They are to maintain the doctrinal integrity of the Church, insure that pastoral care is provided for members, and to exercise church discipline with members who are in violation of Scripture. Pastors as Trustees The Pastors will also serve as the final approving and accountability body in Church financial and legal matters. The Pastors are herewith vested with power to manage all the property, real or personal, belonging to this Church; to make contracts and purchases, to receive bequests and to collect and disburse money. Section 4 Number and Tenure of Pastors The number of Pastors/Elders shall be according to the need and/or availability of qualified men. Each Pastor will serve a three-year term with the option of serving another term successively if invited. Pastors will be limited to six consecutive years of service. After a lapse of one year, a Member will again be eligible to serve as a Pastor. Section 5 Meetings Regular meetings of the Board of Pastors will be held monthly, or as necessary, for the purpose of discussion of relevant ministry issues, and the transaction of such business as may come before the Pastors. Meetings will generally be held at the Trenton Church campus unless otherwise specified. Special meetings may be called by the Lead Minister, Chairman of the Pastors, or by 50% of the Board of Pastors, but there must be appropriate notification to all Pastors of the meeting with the intended subject matter. There must also be a reasonable opportunity for attendance of all Pastors, and there must be a majority of Pastors in attendance. Section 6 Quorum and Manner of Acting A quorum shall consist of fifty-one percent (51%) of the members of the Board of Pastors. Except as otherwise provided under the Articles of Incorporation, these Bylaws, or provisions of law, no business shall be considered by the Board of Pastors at any meeting at which the required quorum is not present, and the only motion to be presented and voted on at such meeting is a motion to adjourn. The act of a majority of the Pastors present at any regular or special meeting at which a quorum is present shall be accepted as the act of the entire Board of Pastors, except where otherwise provided under the Articles of Incorporation, these Bylaws, or provisions of law. Section 7 Qualification and Selection Process On an annual basis the Pastors shall consider an appropriate number of men for the position of Pastor/Elder with the following procedure: Potential candidates are selected by the Pastors, and shall be personally interviewed by the Board of Pastors to determine their interest and commitment. Three-fourths (3/4 th ) of the Pastors must agree to present the candidate to the congregation for a vote. Southpoint Community Christian Church Bylaws (Adopted: January, 2013) Page 5

Those individuals willing to accept the responsibilities of being a Pastor at Southpoint will then be presented to the congregation as candidates. The members of the congregation will have a two-week period of time to inform the Pastors, in writing, of any scriptural reason why said candidate(s) should not serve as a Pastor. Based on the congregational support, those candidates receiving an affirmation of three-fourths (3/4) majority of the congregation will begin their term of service. Terms will begin and end on the date of the congregational meeting when voting takes place. Section 8 Resignation and Termination Any member of the Board of Pastors may resign voluntarily at any time by submitting a written resignation to the Lead Minister or Chairman of the Pastors. Upon agreement of a majority of the Pastors, any Pastor who demonstrates an immoral character, or a contentious, divisive spirit may be asked to resign his office, and may be publicly rebuked (1 Timothy 5:20). If he refuses to resign, a congregational meeting may be called where a two-thirds (2/3) majority will be required to dismiss the Pastor from his office. Section 1 - Lead Minister ARTICLE VI OFFICERS OF THE CHURCH The Lead Minister shall, in general, supervise and control all of the affairs and staff of the Church and perform all duties incident to the office of President for legal/business purposes. He must have allegiance to the principles of the historic Restoration Movement (Christian Churches and Churches of Christ). The Lead Minister, by nature of his ministry function, shall serve as a fellow Pastor with the Board of Pastors. He shall be accountable to the Pastors for the performance of his ministry, the quality of his character and the doctrine of his teaching. He shall preside over all Church business meetings and all Board meetings and shall be a voting member of the Board of Pastors and an ex-officio member of all ministry teams. He shall serve for an indefinite period of time. Resignation The Lead Minister may terminate his office and ministry at any time by written notice. Termination/Removal The Lead Minister may be removed from office due to a moral failure or failure to fulfill the scriptural mandates of his office. This may only happen by a two-thirds [2/3 rd ] majority vote of the Pastors recommending this to the congregation, and a two-thirds [2/3 rd ] majority vote of all Members present and voting at a duly called special meeting of the Church. Vacancy In the event of a vacancy in the office of Lead Minister, the Pastors may appoint an interim Lead Minister. Until an interim Lead Minister has been appointed, the Chairman of the Pastors will assume that role and shall have all the powers of and be subject to all the restrictions upon the President until an interim Lead Minister is appointed. The Pastors shall be responsible to conduct a search for candidates to fill the position of Lead Minister in accordance with the provisions of these Bylaws. Selection Process for New Lead Minister Should the office of Lead Minister become vacant, the Board of Pastors shall be responsible to conduct a search for candidates to fill the position. After careful and prayerful consideration of the qualifications and attainment of the candidates, the Pastors shall select a candidate to present to the Church at a duly called membership meeting of the Church. Voting shall be by written ballot and a three-fourths [3/4 th ] majority vote of all Members present and voting shall be required to call a new Lead Minister. Section 2 Chairman of the Pastors The Chairman of the Pastors shall be the Vice President of the Church for legal/business purposes. He shall, in cooperation with the Lead Minister, provide leadership to the Board of Pastors. He may sign, along with the Secretary of the Church or any other proper officer of the Church thereunto authorized, any instrument which the Board of Pastors have authorized to be executed, except in cases where the signing thereof shall be expressly delegated by these Bylaws to some other officer or agent of the Church, or shall be required by law to be otherwise signed. Section 3 Treasurer The Treasurer shall serve as the Chief Financial Officer of the Church, and is appointed by the Pastors. The Treasurer may appoint, with approval of the Pastors, a Finance Team to assist in overseeing the financial side of operating the church, regularly evaluating the financial health of the church, and presenting a yearly budget to the Pastors for approval. The Treasurer is responsible for establishing and maintaining an appropriate system of internal controls to safeguard the assets of the Church, and keeping the books and records of the Church in such a manner as to facilitate the preparation of financial statements in accordance with generally accepted accounting principles. The Treasurer shall have charge and custody of and be responsible for all funds and securities of the Church. Section 4 Secretary The Secretary is appointed by the Board of Pastors and shall: Keep the minutes of the meetings of the Pastors and all regular or special Church meetings in one or more books provided for that purpose or in an appropriate electronic archive; See that all notices are duly given in accordance with the provisions of these Bylaws or as required by law. Section 5 Termination or Removal of Officers Any officer or agent may be removed by the Board of Pastors whenever in its judgment the best interest of the congregation would be served thereby; but such removal shall be without prejudice to the contract rights, if any, of the person so removed. Section 6 Vacancies A vacancy in the offices of President, Vice President, Treasurer or Secretary because of death, resignation, removal, disqualification or otherwise shall be filled by the Pastors for the unexpired portion of the period or until an appropriate replacement can be found to fill the position as authorized by these Bylaws. ARTICLE VII DEACONS Deacons are non-staff leaders who fulfill the qualifications set forth in the New Testament, and are appointed by the Pastors (1Timothy 3:8-13, Acts 6:2-14). Any appointments should be for a specific task. Deacons may serve for varying periods of time and will be reviewed annually for possible reappointment. He/she shall have an unreserved commitment to the authority of the Bible as the inerrant source of doctrine and rule of faith and practice (2 Timothy 3:14-17). He/she shall be committed to faithful participation in the worship and study sessions of the Church (Hebrews 10:25). He/she shall minister to the needs of the Church working under the direction of the Pastors. ARTICLE VIII MEMBERSHIP/CONGREGATIONAL MEETINGS Section 1 Annual Meetings The Members shall meet annually or as required to approve the budget, confirm the appointment of new Pastors and the renewal of existing Pastors. Notice of the annual membership meeting stating the purpose of the meeting shall be given at least seven (7) days prior to the meeting either by announcement at the weekend services or by posting notification of same in the Church bulletin. No business other than that specified in the notice of the meeting shall be considered at that meeting. Section 2 Special Meetings Special meetings of the Church may be called by the Lead Minister or the Board of Pastors and require the same notice as the annual membership meeting. Section 3 Quorum Those Members present and voting at an annual meeting or special meeting of the Church, duly notified and called, shall constitute a quorum of the Membership for the transaction of business. Only those Members 15 years of age or older may vote at a duly called meeting. Confirmation of Pastors/Elders The following requires a two-thirds (2/3) majority vote of Members to pass: Approval of the annual budget The purchase of real estate and/or to relocate a permanent facility The adoption and amending of these Bylaws Section 5 Adjourment of Meetings The Lead Minister, with the approval of a majority of the Pastors, may adjourn any regular meeting or special meeting of the Church prior to the meeting being called to order. Section 6 Absentee Voting There will be no voting by absentee or proxy. ARTICLE IX ACQUISITION, HOLDING AND DISPOSING OF PROPERTY Section 1 Personal Property Personal property shall be acquired, held or disposed of in the name of the Church in accordance with the Church budgets approved by the Board of Pastors. Section 2 Real Property Real property shall be acquired, held or disposed of in the name of the Church. The purchasing of real property and related indebtedness must be authorized by a two-thirds (2/3) majority vote of Members present at a duly called Membership Meeting of the Church. Section 3 Gifts to Church When property or personal goods are given or left to the Church (as a beneficiary), the Pastors are hereby empowered to appropriately dispose of the property at a fair market price and apply the proceeds towards the ongoing ministry of the Church. In case this non-profit corporation be dissolved, the assets of the congregation shall be given to other non-profit corporations as directed by the congregation, and executed by the appropriate Pastors and/or Officers, notwithstanding anything to the contrary contained in Article VIII of the Restated Articles of Incorporation filed on April 5, 2012. Section 1 Contracts ARTICLE X CONTRACTS AND FUNDS The Pastors may authorize any officer(s) or agent(s) of the Church to enter into any contract or execute and deliver any instrument in the name of and on behalf of the Church, and such authority Southpoint Community Christian Church Bylaws (Adopted: January, 2013) Page 9

may be general or confined to specific instances. Section 2 Checks, Drafts, Etc. All checks, drafts or other orders for the payment of money, notes or other evidences issued in the name of the Church shall be signed and countersigned by two (2) signatories approved by the Pastors. Section 3 Deposits All funds of the Church shall be deposited in an expeditious manner to the credit of the Church in such banks, trust companies or other depositories as the Pastors may select. Section 4 Gifts The Board of Pastors may accept and dispose of on behalf of the Church any contribution, gift, bequest or device for the general purposes or for any special purpose of the Church. ARTICLE XI INDEMNIFICATION Each office holder and officer of the corporation now or hereafter serving as such, shall be indemnified by the corporation against any and all claims and liabilities to which he/she has or shall become subject by reason of serving or having served as such office holder or officer, or by reason of any action alleged to have taken, omitted, or neglected by him/her as such office holder or officer; and the corporation shall reimburse each such person for all legal expenses reasonably incurred by him/her in connection with any such claim or liability; provided; however, that no such person shall be indemnified against, or be reimbursed for any expense incurred in connection with any claim or liability arising out of his/her own willful misconduct or gross negligence. The amount paid to any office holder or officer by way of indemnification shall not exceed his/her actual, reasonable, and necessary expenses incurred in connection with the matter involved, and such additional amount as may be fixed by the Pastors. The right of indemnification herein provided shall not be exclusive of any rights to which any office holder or officer of the corporation may otherwise be entitled to by law. ARTICLE XII AUXILIARY ORGANIZATIONS All auxiliary organizations must be organized under the guidance of the Pastors. All projects by any organization within the Church shall be under the authority of the Pastors. ARTICLE XIII FISCAL YEAR The Church s fiscal year shall be from January 1 through December 31 of each year. ARTICLE XIV RULES OF ORDER Authority in all matters of procedure of conduct of Membership Meetings and Pastors Meetings not covered in these Bylaws shall be the responsibility of the Pastors. ARTICLE XV APPROVAL These Bylaws shall become effective when approved by the Membership, and all future Bylaws so approved by the Membership will render all previous Bylaws null and void. Copies shall be made available to the Membership. Section 1 Amending Bylaws ARTICLE XVI AMENDMENTS These Bylaws may be amended, repealed, or new ones adopted by a recommendation of the Lead Minister or the Board of Pastors, and by a two-thirds (2/3) vote of the Members present at any Membership Meeting of the Church called for this purpose. The proposed amendment must be submitted in writing to and approved by the Board of Pastors at least four (4) weeks prior to being voted upon by the congregation. The proposed amendment must be made available to the Members two (2) weeks prior to being voted upon. Section 2 Superseding Prior Bylaws These Bylaws shall supersede all Bylaws, rules or motions for organization and government of the Church now standing upon the Church records.
