BY-LAWS OF Becoming One Outreach Ministries, Incorporated, A NOT-FOR-PROFIT CORPORATION I ORGANIZATION The name of the organization shall be Becoming One Outreach Ministries Incorporated. II PURPOSES (Vision) A. Becoming One Outreach Ministries has received a mandate from God to be a living, breathing, Holy Spirit filled empowerment center dedicated to reaching people of all races, backgrounds and ages. a. Showing all how to become one with Christ through teaching and preaching God s word and bringing healing to the hearts and minds and spirit of God s people. B. It is our vision to educate families to the powerful truths given to us in God s word so that we may become better spouses, so that we may have better children, so that we may have stronger families, to build a better city, to impact the nation and change the world. C. Our vision will be achieved through outreach (both locally and abroad) through prayer and hands on labor. With a God given strategy will we build our community one family at a time. We will be the place were a family of one (1) or a family of eight or more can walk as one being lead by the Holy Spirit, living the God inspired life. D. It is our vision to build a Christian community campus in which we, God s people, will embrace a future that will see us worshipping in a 2000 seat sanctuary, where classrooms will be filled with children of all ages, where daycare facilities are filled to capacity, where parents are empowering themselves in the Workforce Training Center while people will come from miles around to use the state-of-the art Community Banquet Hall. We see ourselves as the ministry that consistently gives back to the community that we love. III MEMBERSHIP A. Qualifications: Membership of Becoming One Outreach Ministries, Inc. shall consist of people who have made a profession of their faith in Jesus Christ as Lord and Savior, and are in agreement with the vision of the church. B. Termination: Membership in this church shall be terminated when a member: a. Requests a letter of transfer to another church b. Joins another church (letter of transfer not necessary)
c. Is inactive for 6 consecutive months d. Dies C. Orientation of New Member: New Members and/or those considering membership must attend Discipleship Classes to learn and understand the privileges and responsibilities of members to God, to the body of Christ and to the local church. a. Members in good standing shall have the right and privileges to full participation in the life and work of the church. b. It shall be the duty of church members to uphold the vision of the church, spread the gospel of Jesus Christ and live according to the word of God. IV CHURCH OFFICERS All church officers must be members of the church in good standing. A. The Pastor: The qualifications for pastor shall be consistent with those listed in Ephesians 4:11-16 and 1 Timothy 3:1-13. a. Training, skills and experience and the leading of the Holy Spirit is required in this position. b. His responsibilities: i. Preaching, teaching, pastoral counseling, administration, planning and guiding the church to grow and fulfill its vision and mission. ii. Lead the church, the organizations and all leaders of the church in performing their assignments in worship, proclamation, education and evangelism. iii. The pastor shall be a member of all church committees. B. Church Staff: The church shall employ staff as needed. a. Staff members other than that of the pastor shall be recommended as needed. b. A written job description and mutual contract will be prepared when the need for church staff is determined. C. Ministerial Leadership Team: Becoming One Outreach Ministries, Inc. is a fivefold ministry and believes that God gives leaders to the church according to Ephesians 4:11-16 and 1 Timothy 3:1-13. Leadership will be established based on these scriptures as the Lord leads. a. Licensing and Ordination: All candidates for Licensure and Ordination will be based on Ephesians 4:11-16 and 1 Timothy 3:1-13. These candidates must show, through their lives, a call to the gospel ministry. There is no time frame for ordination but will be completed as led by God.
b. Licensing and Ordination for leaders previously ordained by other ministries: once all other membership criteria is met; the pastors will review the testimony of salvation and qualifications including leadership training and scriptural qualifications. When the Lord leads, new license will be issued by Becoming One Outreach Ministries, Inc. Previous licensure does not guarantee a leadership position in this ministry. D. Secretary: a. The church secretary shall be elected and be responsible for keeping accurate record of all business meeting transactions of the church. b. He or she shall keep a register of the names and addresses of the church members with dates of admission, dismissal, dedication of children, dates of baptisms, and deaths of members of the church family. c. He or she shall write letters of transfer of membership, prepare written reports of the church, and keep an accurate history of the church. d. He or she shall be responsible for seeing that the offerings are properly received, counted and deposited. e. He or she shall work with the Treasurer in preparing annual statements of contributions to all donors. Donor statements must be completed and distributed by January 31 st of each calendar year. E. Treasurer: a. The church treasurer shall be elected as the custodian of all moneys of the church and shall disburse this money by check as authorized by the church. b. He or she shall properly credit each contributor and their offerings based on offering envelopes and this should balance to the deposit submitted by the secretary. c. He or she shall keep, at all times, an itemized account of all receipts and disbursements and shall render a monthly and annual written report of this account to the church. d. He or she shall work with the Secretary in preparing annual statements of contributions to all donors. Donor statements must be completed and distributed by January 31 st of each calendar year. e. The treasurer s report shall be audited annually by an auditing committee. V CHURCH COMMITTEES A. Outreach Committee a. This committee is under the immediate leadership of the pastor. He will work closely with the leadership team to develop and implement a strategy for effective evangelistic community outreach programs inside and outside of the church.
b. This committee is responsible to help make the church visible in the community by: i. finding worthy causes for our church to support to help fulfill the great commission ii. finding opportunities to support other ministries iii. and securing marketing materials (postcards, business cards, billboards, sponsorships, electronic media, website, etc.) c. This committee is also responsible for planning training events for soul winning campaigns. B. Additional committees will be added as needed. VI CHURCH DISCIPLINE A. Should any unhappy difference arise among members, the member shall follow the rules given by our lord in Matthew 18:15-17 B. Should any case of gross breach of covenant, or public scandal, occur the Pastor and the Ministerial Leadership Team shall endeavor to resolve the conflict; and if this effort fails, shall report the case to the church. C. In all instances we shall govern ourselves according to the word of God, with love and kindness, but should an adverse decision be reached, the church may proceed to admonish or declare the unrepented offender to be no longer in the membership of the church. D. Any person whose membership has been terminated for any offense may be restored by evidence of repentance and reformation E. Any person whose membership has been terminated for excessive absence can be restored to the membership if the Membership requirements (Section III-A & Section III-C) are met. VII BOARD OF DIRECTORS A. The business of this organization shall be managed by a Board of Directors consisting of [5] members, together with the officers of this organization. B. The Board of Directors shall have the control and management of the affairs and business of this organization. Such Board of Directors shall only act in the name of the organization when it shall be regularly convened by its chairman after due notice to all the directors of such meeting. C. Sixty (60%) percent of the members of the Board of Directors shall constitute a quorum and the meetings of the Board of Directors shall be held twice per year. Regular meetings will be held twice each year, once in June and once in January. Special meetings may be called by the chairman as needed. D. Each director shall have one vote and such voting may not be done by proxy.
E. Vacancies in the Board of Directors shall be filled by a vote of the majority of the remaining members of the Board of Directors for the balance of the year. F. The Pastor of the organization, by virtue of his office, shall be Chairman of the Board of Directors. VIII OFFICERS AND DIRECTORS A. The initial officers of the organization shall be as follows: President: Pastor Troy Williams Vice President: Pastor Carmela Williams Secretary: Latressa Gaffney Financial Consultant and Auditor: Elder Louella Jackson Voting Member: Andrew Gaffney Member: Ladson Jackson Member: Grace S. Martin Member/Advisor: Apostle Timothy Kurtz B. The President shall preside at all membership meetings. He shall by virtue of his office be Chairman of the Board of Directors. He shall present at each annual meeting of the organization an annual report of the work of the organization. He shall appoint all committees, temporary or permanent. He shall see all books, reports and certificates required by law are properly kept or filed. He shall be one of the officers who may sign the checks or drafts of the organization. He shall have such powers as may be reasonably construed as belonging to the chief executive of any organization. C. The Vice President shall in the event of the absence or inability of the President to exercise his office become acting president of the organization with all the rights, privileges and powers as if she had been the duly elected president. IX SALARIES A. The Board of Directors shall approve the compensation of any and all employees which they in their discretion may determine to be necessary for the conduct of the business of the organization. X AMENDMENTS A. These By-Laws may be altered, amended, repealed or added to by an affirmative vote of not less than sixty (60%) percent of the members of the Board.
