ARTICLE I 1.0 The name of this organization shall be: BIKERS MINISTRIES INTERNATIONAL DBA KINGS & PRIESTS MOTORCYCLE MINISTRY (KPMM) ARTICLE II 2.0 This is a non-profit corporation. ARTICLE III 3.0. The period of duration of this corporation is perpetual ARTICLE IV 4.1 This organization shall have the right to govern itself according to the standards of the New Testament scriptures, "endeavoring to keep the unity of the Spirit in the bond of peace...till we all come in the unity of the faith and the knowledge of the Son of God unto a perfect man unto the measure of the stature of the fullness of Christ. "Ephesians 4:3-18 4.2 This organization shall implement its New Testament Christianity commissioned by the following: a. To go to the byways and the high ways and compel them to come in as defined in the New Testament: b. To go and preach the Gospel to every creature, and to make disciples of Jesus Christ. c. To establish and maintain such departments, institutions and services with the Ministry for the propagation of the gospel and its work embraced by the purposes of the corporation; d. To examine candidates for the ministry and to ordain those who shall have been approved by the Official Board of this organization according to standards set forth by the New Testament: e. To designate its own officers, to appoint committees to arrange for its own meetings and to govern itself in accordance the constitution and By-Laws herein and after defined: f. To establish and define policy by which it shall be governed. 4.3 In connection therewith, or incidental thereto, it shall have the right to purchase or acquire by gifts, bequest, or otherwise, either directly of as trustee, and to own, hold in trust, use sell, convey, mortgage, lease or otherwise dispose of any real estate or chattels as may be necessary for the furtherance of its purpose; all in accordance with its Constitutional and By-Laws or as the same may be hereafter modified or amended. ARTICLE V PURPOSE 5.1 TO MINISTER THE WORD OF GOD AS STATED IN THE NEW TESTAMENT TO THE BIKER COMMUNITY IN EL PASO, TEXAS, AND ANWHERE ELSE IN THE U.SA. AND ABOARD. TO 1

HELP THE BIKER COMMUNITY TO BETTER THEIR QUALITY OF LIFE SOCIALLY, SPIRITUALLY AND PHISICALLY. TO ESTABNLISH CHURCHES AND CHRISTIAN BIKERS GROUPS WHEREVER PERMITTED BY THE LAW OF THE STATE. 5.2 While maintaining its inherent rights to sovereignty in the conduct of its own affairs, this organization shall voluntarily enter into spiritual fellowship with all other organizations and churches of like precious faith. ARTICLE VI 6.1 Tenants of Faith: This organization accepts the Holy Scriptures as the revealed will of God, the allsufficient rule for faith and practice; and for the purpose of maintaining general unity adopts the following statement of Fundamental Truths: We believe the Bible to be the inspired and only infallible and authoritative Word of God. We believe that there is one God, eternally existent on three manifestations- the Father, the Son, and the Holy Ghost. We believe in the deity of our Lord Jesus Christ, in His virgin birth, in His bodily resurrection, in His ascension to the right hand of the Father, and in His persona future return to this earth in power and glory to rule for a thousand years. We believe in the blessed Hope, which is the Rapture of the Church at Christ's coming. We believe that the only means of being cleansed from sin is through repentance and faith in the precious blood of Christ. We believe that regeneration by the Holy Spirit is absolutely essential for personal salvation. We believe that the redemptive work of Christ on the cross provides healing of the human body in answer to believing prayer. We believe that the baptism of the Holy Spirit, according to Acts 2:4, is given to believers who ask for it. We believe in the resurrection of the saved and the lost, the one to everlasting life and the other to everlasting damnation. We believe that God does not use sickness, poverty, or calamities to teach his people, but rather all scripture is given by inspiration of God, and is profitable for doctrine, for reproof, for correction, for instruction in righteousness, the men of God can be perfect ARTICLE VII 7. Membership in this organization shall be extended to all whom give evidence of their faith in the Lord Jesus Christ, who subscribe to its tenants of faith and who consent to be governed by its Constitution and B-Laws. ARTICLE VIII 8.1 The Board of this Corporation shall consist of no less than three, but not more than five Members 8.2 The Board of Directors can recommend any person to be a candidate for the office of Director, and he or she can be elected vote by the Official Board. 2

8.3 The executive head of the organization shall be called "President of the Corporation" and will be elected by the majority of all the Board Members. When a vacancy in the presidency shall occur, for any cause whatever, the Official Board shall arrange for a interim ministry until a new president is chosen by the Official Board. 8.4 Any Board Member including the "President of the Corporation" can recommend any other person to be a candidate for becoming an Official Board Member. Who in turn can only be elected by the majority of the Board. 9.0 National Board Officers and duties. ARTICLE IX National Board Officers a. President, oversees the implementation of the overall organization. Will preside over all national meetings. b. Vice President to assist the President to fulfill his duties in his absent. c. Secretary/Treasurer The Secretary is responsible for keeping all KPMM chapter records, membership List, Chapter Bylaws, Rules of Order, Standing Rules, Records of all committee appointments, all written reports, copies of all correspondence between the organization and any outside group, and meeting minutes. He is responsible for calling roll at the meetings. The Secretary must notify Active Members of special or emergency meetings, and must notify all the members of any appointments or elections in their absence. The Treasurer keeps all the funds of the KPMM chapter. All un-issued KPMM Colors and Patches, as well as a record of colors, patches, or reproductions thereof issued to members. He may disburse funds to pay expenses as prescribed in by the KPMM Official Board. The Treasurer must keep an accurate record of all income and expenses. He is required to report the fiscal status of the KPMM at each regular meeting for the information of the members. He must submit a written annual report to the KPMM Official Board at the Annual Meeting. d. Advisor The adviser will give advice in their professional capacity. Advisor is an expert on specific issues that the KPMM will anticipate as the ministry grows. The advisor will address specific concerns the KPMM has laid out in advance. 10.0 Officers and duties of KPMM ARTICLE X KPMM OFFICERS 3

a. President The President is the Chief Executive Officer of the KPMM chapter. All matters concerning relations between the KPMM and any outside person or organization should be routed to the President for appropriate action. The President or his delegate shall assume the Chair at all chapter meetings. He is responsible for controlling the meeting and keeping order. If necessary, the Chair may utilize the services of the Sergeant-at-Arms to aid in keeping order. The Chair may not make or second any motion, and may only vote on questions where their vote would affect the outcome, as in making or breaking a tie vote, or on ballot questions. b. Vice President The Vice-President shall coordinate all committees and supervise plans for all KPMM events. The Vice-President shall act as an intermediary between the President and the KPMM Members and Prospects. All questions or comments concerning any KPMM business not specifically related to the duties of the other officers should be brought to directly to his attention. Additionally, the Vice- President is the Second-in-Command to the President, and shall assume all responsibilities and duties of the President in their absence. c. He must submit a written annual report to the KPMM Official Board at the annual meeting. d. Sergeant-at-Arms The Sergeant-at-Arms is responsible for ensuring that the KPMM Bylaws are not violated. He is responsible to insure that the orders of the KPMM Official Board are carried out in an expeditious manner. He is responsible for policing and keeping order at all KPMM events, except as noted under the Duties of the Chairman. He may enlist members to aid in keeping order on their own authority. He is responsible for securing any patches or colors from any member who resigns, or is expelled. The SAA is responsible for the safety and security of the KPMM, as well as the protection and defense of its members and prospects. He shall keep and maintain a record of all data pertinent to the safety and security of the KPMM and its members and prospects. Upon 4

becoming aware of any real or perceived threat to the KPMM, its members, prospects, or events, he shall immediately notify the KPMM Official Board of that information. e. Road Captain The Road Captain is responsible for all KPMM runs. He shall research, plan, and organize all runs. During actual time on the road or at intermediate stops during a run, he shall act as the ranking KPMM officer, deferring only to the President or Vice-President if either of them are present, and only then for matters involving persons outside the KPMM. He shall supply the Secretary with any information required to notify outside agencies of in the future KPMM runs in a timely manner. ARTICLE XI KPMM MONTHLY MEMBERSHIP MEETINGS 11.1. Monthly Membership Meetings will be conducted on the first Friday of each month, beginning at 7:00pm. (Or as otherwise Announced) a. The Location for each Monthly Membership Meeting will be announced prior to each Meeting. ARTICLE XII KPMM PATCHED MEMBERSHIP AND DISCIPLINARY ACTION 12.1 Patched members and disciples are required to abide by the KPMM by-laws and the full content thereof. a. KPMM fully patched and disciple members are required: to be a member of a church to be a born again Christian to wear their colors to all KPMM meetings, rides, and events. Note: when riding your motorcycle you must always wear your vest. not to wear your vest in a cage (auto, pickup, van) to exhibit the proper attitude, Christ like behavior and actions. to contact an Official Officer regarding any and all concerns they may have pertaining to the business affairs of the KPMM restrain oneself from using in public lewd language, swearing, cursing, or cussing, from consuming alcohol, smoking, or use of any illegal drugs in public while wearing the KPMM Colors (The Apostle Paul states in 1 Corinthians 11:1 Be imitators of me, as I am of Christ.) abstain any strife, contention, jealousy, envy, and any gossip within the ranks to obtain authorization from the Official Board for any business cards printed or otherwise representing the ministry b. Any patched member that does not abide by full content of this said Article X and the requirements thereof, may be subject for to the following: First offense will be a verbal consultation between the offender and the President or Vice President; incident will be recorded by the KPMM Secretary 5

Second offense will be a written reprimand issued by the KPMM Official Board and will require signature from both the Officer issuing the violation and signature acknowledgement from both parties. Third offense will result in termination of membership in the KPMM. The Official Board will assign an Officer to collect all KPMM property. c. All patches, tee-shirts, caps, and all items with the KPMM logo are to be considered property of KPMM. Any shirt, tee-shirts, caps with the KPMM logo will be worn only by the KPMM members. These items will not be sold, loan, or given to non-member, including friends and relatives. d. Upon departure from KPMM for any reason, these items must be turned, at time of departure in to the Sergeant at arms, and no reimbursements will be given e. A retirement policy goes into effect after 7 years of service and the retired member(s) will be able to retain all their ministry property. ARTICLE XIII COLORS 13. Description: A circle including within; the statement "Jesus is Lord" on top of it, a Crown with jewels surrounded by flames of fire in the center of it, an image representing Jesus within his arms outstretched under the Crown, and the name Kings & Priests at the bottom of it. Our Patch: The circle represents the never ending love of God. Jesus who's crown represents Lord of lords and King of kings. Gold is for the Glory of God. Red flames of fire for the Holy Spirit. a. "Jesus is Lord" serves as a statement of faith for millions of Christians who regard Jesus as both fully man and fully God. It is also the motto adopted by the World Council of Churches and Ministries. The apostle Paul wrote, "For we preach not ourselves, but Christ Jesus the Lord; and ourselves your servants for Jesus' sake." (2 Corinthians 4:5). b. Rev 1:5 And from Jesus Christ, who is the faithful witness, and the first begotten of the dead, and the prince of the kings of the earth. Unto him that loved us, and washed us from our sins in his own blood c. Rev 1:6 And hath made us kings and priests unto God and his Father; to Him be glory and dominion forever and ever. Amen. ARTICLE XIV - PROSPECTING 14. The Prospecting program will consist of two phases. a. The first phase is called the "Hang around " program that will last three months. During this period the "hang around" will observe and participate in the KPMM events. In this program the prospect must show interest, respect, and function participation in the KPMM. A "hang around" is the introduction phase of a Prospect; in which, it is in the best interest for the "hang around" to get to know the KPMM members and Officers. 6

b. The second phase is called Discipleship. This term is three months of continued participation in the KPMM events. This is the period that the "Disciple" will be scrutinized in participation, conduct, and way of thinking. The Disciple will be examine or inspect closely and thoroughly, here is where he or she will verify if they're truly genuine as a future KPMM member. ARTICLE XV KINGS & PRIESTS MM CHAPTERS 15.0 MANDATORY KPMM CHAPTER REQUIREMENTS Need at least 5 people active in the motorcycle community from their respectful geographical area is required in order to proceed to become a new KPMM Chapter. If coming over from another organization they must have left on good terms and in good standing with documentation. The head of the 5 will make contact with National Chapter President of KPMM. Need applications and personal letter of recommendation from his/her Pastor. National President will stay in contact with the 5 by phone, email, social media to get to know them. National President will make contact with the El Paso COA in the area to start protocol process Will send By-Laws, Mission Statement, and meaning of Colors to presented to the KPMM Official Board. g. The Protocol chapter will work with the KPMM during this 90 day probationary period. Once the protocol process is finish and the new Chapter of KPMM has been approved by the KPMM Official Board, the new KPMM chapters are required to inherit, abide and conduct their chapter by the full content of the KPMM by-laws.. Minutes of the monthly meetings and financial statement will be sent within two weeks to the KPMM secretary/treasurer. ARTICLE XVI MONTHLY MEMBERSHIP DUES 16. Kings and Priest Motorcycle Ministry (KPMM) membership dues are $20 per Member / $30 per couple (husband & wife) member, per calendar month. Membership dues are due on the scheduled monthly membership meeting. Any Patched Member hindered with a financial burden must contact the Secretary before they become past due. 7

A pardon of past due dues, or payment arrangements may possibly be made by the Official Board on a case by case basis. Patched Members that become 2-Month s past due will be contacted by the KPMM, and sgt at arms be Required to submit to the treasure a payment plan to amend their past due membership dues. 8
