Regular Meeting Minutes February 13, 2017 Call to Order President Heather Means called to order the regular meeting of the Chardon Square Association at 6:02pm on Monday, February 13, 2017. Roll Call Members present were: Heather Means, Kathy Dufur, Thalia Hutter, Melissa Ricco, Melanie Yatsko, Bill Smiley, Mariann Goodwin, Debbie Chuha, Catherine Chuha, Dan Means, Stephanie Talty, Steve Yaney, Rebekah Havanchak, Pat Martin, Stacia Clawson, David Allen (City Forests), Nathan White Approval of Minutes The only correction to be made to the January 9, 2017 meeting minutes is under Old Business, adding Yaney to Steve s name. Debbie Chuha made a motion to approve the amended minutes from the January 9, 2017 meeting. Bill Smiley seconded the motion, and the motion carried. The following points were addressed in going forward with the meeting minutes: To avoid unnecessary costs and material use, the CSA will not print out minutes for each member unless they are specifically requested. Minutes can be accessed electronically through email or the website. The minutes will be signed Prepared by at the bottom of the document. Officer Reports Heather Means, President Heather received a call from Paul Hornyak of First Energy in regards to maintenance work to be performed on the square during the days of Tuesday, February 21 st and Wednesday, February 22 nd. Parking will be blocked off in certain areas at different times of the day to allow the trucks to change out the lights. They will do their best to accommodate everyone s parking needs as best as they can. Bill Smiley, Vice President Bill notified everyone that membership invoices have been sent. Approximately 25 people have already paid. Melissa Ricco, Secretary Nothing to report.

Kathy Dufur, Treasurer Kathy reported income and expenses for the month of January. Account balances are: $2,935.83 in checking, $26,785.14 in savings and $3,011.37 in the CD for a total of $32,732.34. With a commitment of $15,000 pledged for the new sign on the Square and $7,500.00 pledged for the new Christmas lights (2017 capital project). The CSA has an available balance of $12,232.34. City Report Steve Yaney had nothing to report. Catherine Chuha reported that she is still waiting to hear from Randy Sharp about the Farmer Market signs. They hope to have something similar to the Art Festival signs to be put up in the same locations around the city. There is no record of how or who puts up the Art Festival signs. It was mentioned that the banners on the square (there are 4) may list the events and can be rotated out depending on the event if we could split cost with the other organizations. Old Business Sign on the Square Heather Means reported that the CSA is prepared to put deposit down on the sign after final estimate is given. Heather Means and Randy Sharp have an agreement for the digital sign regarding the following: The CSA name will be on it The City will be responsible for the sign The CSA will pay half and the City will pay half and then the CSA will officially gift the sign back to the City Jim Price donated $5,000.00 to the sign so the CSA will only pay $10,000.00 David Allen, Contract Urban Forester of the City of Chardon, was introduced. David is handling the contracted technical end of the landscaping issues involving the trees on the square. He is not handling the actual design. It was stated that three additional trees may come down along with the original one, and this caused concern. Heather Means speaks for the CSA that we do not want to take trees out to accommodate the sign. Tree removal will be decided by the City. Debbie Chuha, speaking for the Council, stated that the corner needs to be cleaned up. The existing trees are too tall for any sort of decoration. David explained that the trees are healthy and it was asked if it would be cheaper to take all trees down at once if that is what is decided, he said not necessarily. Heather Means stated that the CSA would be open to replace the spruce that is to come down.

Steve Yaney reported that it was agreed by the City to take the trees down in order to make the shops more visible. They are currently having issues with trimming the existing blue spruce and the other trees have peaked in their growth and have shallow roots. The three Norway Spruce will come down, they will be replaced with Maples or some other deciduous tree, and this will lower the landscaping visibility which will clean up the corner. Ken Miller and the Shade Tree Commission has not been updated about the other three trees to come down, though the landscape architect and designer said that they should. David attended the meeting as a fact finding mission and is available in the City s office if anyone needs to reach him. He meets with the City three more times before April. Debbie Chuha will give us more information on the tree situation as the Council makes further decisions. Christmas Lights Heather Means reported that she returned the broken LED Christmas lights to Home Depot and received a store credit of $980. The City workers tied them up for her and she received the full amount back from the store. It was stated that the $980 can be used for upcoming events, to see Kathy Dufur for use of the store-credit card. Committee Reports Membership Bill Smiley reported that he had received two applications: Farinacci Auto Body on GAR Highway (Mike Farinacci member since 2013). Bill Smiley made a motion to accept his application. Pat Martin seconded the motion, and the motion carried. Erin Neill of SerendipiTEA (new tea shop located at 107 Center Street). Bill Smiley made a motion to accept her application. Mariann Goodwin seconded the motion, and the motion carried. Bill asked to keep him updated with any new businesses. Advertising Mariann Goodwin met with Mary Glauser of Chardon Tomorrow and spoke to Heather Means about inviting Tonda DiPlacido of the Vanderhaven Group (Marketing and Communications agency) to give a joint presentation with the CSA, Chardon Tomorrow and the City on media/video commercials such as the one that Downtown Willoughby has. Mariann will get information together and put the word out to set up this meeting. Heather Means asked Mariann why the CSA paid $350 to advertise in the Ashtabula Star Beacon. Mariann stated that the Beacon puts out a Family Magazine for summer events all over the Cleveland area. The CSA has not scheduled itself to be advertised for 2017 in this publication but we do have it budgeted. We will be featured in the 2017 Chardon Magazine and Cleveland Visitor.

Flower Baskets Thalia Hutter reported that she had reached out to Chris Moore at Urban Growers and that the 2017 baskets will be the same color as last year s. It was too late to order new colors. Thalia would like to start early to order new colors for 2018. Christmas Decorations Kathy Dufur would like to organize a work party to see how many decorations need to be ordered. She already has two volunteers but would like two more. Heather Means stated that she needs to work with Mariann Goodwin to present a plan to the City regarding the Nativity Scene. Breakfast with the Easter Bunny Jon Merz was not in attendance, nothing to report. Scholarship Heather Means reported that she sent the new scholarship information over to the High School via Nicole Hedrick (Guidance Counselor). Heather would like to boost advertisement for the scholarship. Dan Means put the information on the website and the CSA Facebook page, but would need $25 for a one time boost online, which was not budgeted. Mariann Goodwin made a motion for the CSA to give $25 for the scholarship advertisement boost. Pat Martin seconded the motion, and the motion carried. Regarding the service hours needed for the scholarship, Heather reported that they changed the amount needed from 8 to 5 hours. Farmers Market Catherine Chuha reported that City Council had approved one food truck every week at the Farmers Market. They also approved the extra vendors. Catherine has received applications and already one person has paid for their space. If local restaurants join the CSA, they may provide menus and cards to be available at the Farmers Market. Nathan White introduced himself as a food truck vendor and discussed having a food truck festival, sponsored by the CSA, on a Sunday during the summer. Heather Means said that this would need to be approved by City Council and that it would be discussed at a later date. Flea Market Pat Martin asked Dan Means to put up new contract on the website. The contract has no new changes. Bill Smiley reported that it will take place on Saturday, June 3 rd. He will need more help and for someone else to take the reins. Heather Means will find someone for this.

New Business Chamber of Commerce Steve Yaney approached the CSA to ask for token contribution of $100 for a 4 x 9 heavy card stock mailer with save the dates for Chardon Square events. The CSA would have its information on the back. 5,000 of these will be printed before the end of April. Chamber of Commerce will pick up cost of stands for some of the cards. Some may be made into magnets. Heather Means would like to see the product before it s sent to the printers, and Mariann Goodwin will give final approval. Stephanie Talty made a motion for the CSA to give $100 for the mailers. Melissa Ricco seconded the motion, and the motion carried. Stacia Clawson reported that the drug force task has a voluntary and anonymous survey for business owners, and asked if it would be alright to have Dan Means send this out via the CSA email list. Melanie Yatsko made a motion to allow the CSA email list to be used. Thalia Hutter seconded the motion, and the motion carried. Good Business Practices, Addendums to Charter Heather Means reported that on January 16, 2017, the CSA executive board and trustees went over the existing Charter and added information in the form of addendums to be presented to the rest of the CSA. Heather passed out Charter Addendums and reported that the organization has not been run with good business practices and transparency, in the event of an audit. The main concerns are the way documents are being saved, the lack of role descriptions and the distribution of jobs across the executive board officers and for the board members. Heather went over each addendum with the CSA and after many comments and questions arose, it was decided that all members would review the revised Charter and vote on it at next month s meeting. Chardon Tomorrow Second Saturday Heather Means reported that Chardon Tomorrow s Second Saturday event may help the CSA by promoting our events and may bring about different activities to get more people to the Square to shop at local businesses. Miscellaneous Thalia Hutter reported that Kids Fest will take place on Thursday, August 3, 2017 Kathy Dufur reported that the Chardon Throws will be in within the week.
