BYLAWS OF CHURCH OF GOD, AN UNINCORPORATED RELIGIOUS ASSOCIATION ARTICLE 1 REGISTERED OFFICE AND AGENT 1.1 Name of Church. The official name of the Church shall be. 1.2 Registered Office and Agent. The registered office of the Church shall be at: and the registered agent of the Church shall be the duly-appointed pastor. 1.3 501(c)(3) Status. Church is included under the coverage of the group exemption letter granted to Church of God by the Internal Revenue Service in its 1972 group exemption letter. 1.4 Governance. The current edition of the Minutes of the Church of God International General Assembly (hereinafter the Minutes ) contains rulings of the most recent meeting of the Church of God International General Assembly, and church polity statements and rules of church discipline, order, and governance still in effect from all previous Church of God General Assemblies. 1.5 Mission Statement. The mission of Church is to communicate the full gospel of Jesus Christ (Matthew 28:19, 20) in the spirit and power of Pentecost (Acts 2:1-4, 6, 13-18) and further (optional).
ARTICLE 2 MEMBERSHIP 2.1 Membership. The membership of the Church shall consist of the Members ( Members ) of the Church as provided in the Minutes, as the same now exists or may hereafter from time-to-time be amended. 2.2 Rights of Membership. Members shall have the right to attend the conferences of the Church and to vote as provided in the Minutes. 2.3 Withdrawal. Members may withdraw from the Church by transfer of their church membership to another church as provided in the Minutes. ARTICLE 3 CONFERENCES OF THE CHURCH MEMBERS 3.1 Place and Time of Conferences. Regular conferences of the Church membership may be held at such time and place as the Pastor or District Overseer may from time-to-time designate, as provided in the Minutes. 3.2 Annual Conference. The Members shall meet at least annually for the consideration of such business as may come before it. 3.3 Called Conferences. The called conference consists of all members of the local church who wish to attend, said conference to convene at a time set by the pastor to take care of business arising between the regular conferences. This does not exclude the rights of the state and district overseers to call or moderate conferences in local churches. When it is necessary to have a called conference, all members at the local church should be notified if possible.
3.4 Notice of Meetings. The regular conference or meeting, consisting of the membership, is called or set for any regularly designated time by the Pastor or District Overseer. The purpose of the conference is to inform the Church of its financial status. The church conference shall also consider any other business referred to it by the pastor and his church council. All major disbursements must be approved by the church in conference. The regular conference should be announced at least ten (10) days before it is to occur. ARTICLE 4 CHURCH AND PASTOR S COUNCIL 4.1 Number, Election, and Term of Office. The affairs of the Church shall be managed by a Church and Pastor s Council, however named or titled, as set out in the Minutes. The Church and Pastor s Council shall be elected by the Members. 4.2 Vacancies. Vacancies shall be filled as set out in the Minutes. 4.3 Duties and Responsibilities. The duties and responsibilities of the Church and Pastor s Council shall be those as set out in the Minutes. Church. ARTICLE 5 OFFICERS 5.1 Officers. The Pastor and the Treasurer shall serve as the officers of the 5.2 Treasurer. The Treasurer of the Church shall be appointed by the Pastor and confirmed by the Church and Pastor s Council and/or the church body. The Treasurer shall perform the duties and responsibilities as outlined in the Minutes.
5.3 Vacancies. Vacancies shall be filled in the same manner as selections as provided in Paragraph 5.2. ARTICLE 6 LOCAL BOARD OF TRUSTEES 6.1 Appointment. Each local church or congregation that owns any property (either real or personal), shall appoint a Local Board of Trustees, to consist of not less than three members, said board to be selected by the local congregation in a business meeting or as provided for in other provisions of the Minutes. All aspects regarding the Local Board of Trustees shall be governed by the Minutes, as amended from time-totime. ARTICLE 7 CONFLICTS OF INTEREST 7.1 Good Faith. The pastor and individual Pastor s Council Members shall exercise the utmost good faith in all transactions touching upon their duties to the Church and its property. In the dealings with and on behalf of the Church, they are held to the strict rule of honest and fair dealings between themselves and the Church. 7.2 Disclosure. Any Pastor s Council Member, Church Officer or Church employee, or Committee Member having an interest in a contract or other transaction presented to the Pastor s Council or Committee thereof for authorization, approval, or ratification shall make a prompt, full and frank disclosure of his or her interest to the Pastor s Council prior to acting in such a capacity in the transaction. Such disclosure shall include any relevant or material facts known to such person about the contract or transaction which might reasonably be construed to be adverse to the Church s interest.
ARTICLE 8 DISSOLUTION 8.1 In the event that Church ceases to operate as determined by the State/Regional Administrative Bishop or his successor, or as provided in the Minutes, the assets of the Church shall be distributed as provided in the Minutes. ARTICLE 9 GENERAL ASSEMBLY MINUTES OF CHURCH OF GOD 9.1 These Bylaws shall be subject to the Minutes, and any conflict between the Bylaws and the Minutes shall be construed in favor of the Minutes. Any matters not specifically provided for in the Bylaws shall be governed by the applicable provisions of the Minutes. No policy of this Church shall be inconsistent with the policies and beliefs set forth in the Minutes, as amended from time-to-time; nor shall the property of Church be used in a manner that is inconsistent with the policies and beliefs set forth in the Minutes, as amended from time-to-time. ARTICLE 10 AMENDMENT 10.1 It is understood that the Minutes shall be amended from time-to-time and accordingly, such amendments shall be incorporated herein. Adopted this day of 20. Treasurer
