CONSTITUTION Of FUSION CHURCH OF MADISON Madison, Georgia PREAMBLE We, the Partnership (membership) of Fusion Church of Madison, Madison, Georgia, do hereby declare and establish this constitution to preserve and secure the principles of our faith, and to govern this Church body in an orderly manner. This Constitution shall serve to preserve the liberties of each individual partner (member) and the freedom of action of this body in its relation to the Stone Mountain Baptist Association and to the Southern Baptist Convention and its affiliates. I. NAME This body of Christ shall be known as the Fusion Church of Madison, 2011 Athens Hwy, Madison, Georgia 30650. Also, referred to throughout this document as the Church and Fusion Church of Madison. The church was incorporated on August 1, 2014, and as of the approved date on this document, we are in good standing with the State of Georgia. II. STATEMENT OF FAITH The Holy Bible is the inspired, infallible, inerrant Word of God and is the basis of our statement of faith. Because we choose affiliation with the Southern Baptist Convention, we embrace the doctrinal interpretations of biblical truth adopted on June 14 th, 2000, called The Baptist Faith and Message. III. CHURCH COVENANT Having been led to receive the Lord Jesus Christ as our Savior and, on the profession of our faith, having been baptized in the name of the Father, and of the Son, and of the Holy Spirit, we do now, in the presence of God, and this church body, most solemnly enter into covenant with one another as one body of Christ. We seek, through the power of the Holy Spirit to walk together in Christian love, to strive for the advancement of this church in the knowledge of God, and holiness, to promote its prosperity and spirituality; to sustain its worship, ordinances, discipline, and doctrines; to contribute cheerfully and regularly to the support of the ministry of the church. We also engage to maintain family and private devotions; to spiritually educate our children; to seek the salvation of all people; to live circumspectly in the world; to be just in our dealings; to be faithful in all our actions; and to be exemplary in our conduct and to flesh out the Fruits of the Spirit according to Galatians 5:22-23. We moreover agree that when we remove our membership from this church body, we will, as soon as possible, unite with another church where we can carry out the spirit and intent of this covenant and the principles of God s Word. BYLAWS Of Fusion Church of Madison Madison, Georgia Introduction The following document constitutes a set of by-laws to be used by Fusion Church of Madison, Madison, Georgia. The purpose of the document is to provide guidelines for administration of the Church. This guidance is to enable the Church to have a clear understanding of all functions and responsibilities in order that the Church may effectively accomplish its mission of spreading the Gospel of the Lord Jesus Christ. This document is solely for administrative purposes so that the body of believers may be guided in an orderly manner consistent with the accepted beliefs of the Southern Baptist denomination. This document outlines the guidelines Fusion Church employs in selecting key leadership and managing ongoing systems and procedures. In addition, this document provides accountability for ministry leaders and details key information for the church body. While impossible to anticipate all future contingencies, the intent of this document is to provide flexibility to meet long-term changing needs. It is the intent that these by-laws be administered with love and the leadership of God s Holy Spirit. These by-laws supersede any previous mode of operation concerning the Fusion Church. Where situations occur, as a result of omission in this document, and previous rules, and amendment shall be made as appropriate. Any changes, amendments, revisions, etc. to these by-laws will be made as outlined in this document. VISION STATEMENT: Fusion Church of Madison is a body of believers focused on: *Reaching the Seeker *Strengthening the Servants *Launching the Saints ARTICLE I Statement of Beliefs 1.01 What We Believe 1) About The Bible The Bible is God's word for all time. Written by human authors, yet inspired by God, it is without error. It is the testimony of Christ and speaks to the hope of salvation. The Bible is the supreme source of truth and living. I Peter 1:24-25, II Peter 1:19-21, II Tim. 3:16, Rom. 15:4, Matt. 5:17-18, Deut. 4:1-2, Joshua 8:34, Psalm 19:7-10 2

2) About God There is only one living and true God who is eternal, all knowing, all-powerful, and is above space and time. He is a personal God who is the Creator, Redeemer, Sustainer, and Ruler of the universe. His perfect knowledge extends to all things, for all time, and the future decisions of His creatures. God is triune, revealing Himself to man as Father, Son, and Holy Spirit - with distinct attributes, but without division of nature, being, or essence. a) God the Father God the Father reigns throughout the entire universe displaying his providence over all things. He is only Father to those who come to know Christ, but is fatherly towards all men. Gen. 1:1, 2:7, Eph. 4:6, Col. 15, I Tim. 17, I John 5:7, Hebrews 11, Jeremiah 10:10, Isaiah 43:3&15, Mark 1:9-11, John 4:24, 5:26, 14:6-13, Rom. 8:14-15. b) God the Son Christ is eternal as the Son of God. He was conceived of the Holy Spirit and born of the virgin Mary. Taking on the nature of God as well as the nature of man, Jesus lived a sinless life and provision for the redemption of men from sin. Christ died on the cross and was raised from the dead and ascended into heaven. He is fully God and fully man, being the mediator to God for all believers. He will return to this world in power and glory to judge and complete His redemptive mission. c) God the Holy Spirit The Holy Spirit is fully God and is present in the lives of believers. He seals believers for salvation and illuminates understanding for Christians. The Holy Spirit is the convicting agent that calls men to faith in Christ. He baptizes every believer into the church and then shapes him or her into godly individuals, instilling him or her with gifts, for the edification of the church. Gen. 1:2, Eph. 1:13-14, Hebrews 9:8, 14, II Peter 1:21, I Thes. 5:19, Rom. 8:9-11, Acts 2:1-4, Joel 2:28-32, Isaiah 61:1-3, Psalms 51:11-19. 3) About Human Beings Human beings are the special creation of God. Made in God's image, humanity was given the gift of gender and certain roles. Through their free choice, humanity sinned and thus brought sin and death to the human race. This sin brought about a separation between humanity and God and there is no other way to come back to God except through the grace of Jesus Christ. Every human being of every race is worthy of respect and Christian love. Gen. 1:26-30, 2:5, 7, 18-22, Psalms 1, 8:3-6, Isaiah 6:5, Rom. 1:19-32, 3:10-18, Matt. 16:26, Col. 1:21-22, Eph. 2:1-22. 4) About Salvation Salvation is the free gift of God to those who accept Christ. Through Jesus' death on the cross, his sacrifice takes the punishment for sin and restores the human to a right relationship with God. Salvation cannot be achieved through any good work or self-improvement. It must come through Christ. At the point of salvation the believer made into a new creation due to their understanding that they need Christ and repent, Christ provides right standing for them in the sight of God and they are then brought into a relationship that offers a pursuit of godliness ending with the culmination of salvation found in heaven. 5) About The Church The church is local and universal. The local church is an autonomous group of baptized believers that seeks to glorify God through worship, discipleship, and evangelism. The local body exercises the Lord's Supper and Believers baptism, while being governed by the word of God and extending the message of Christ to all people. While all believers are valuable to the local body. The universal church is the believers of all time in all places. Matt. 16:15-19, 18:15-20, Acts 2:41-47, 5:11-14, 6:3-6, 13:1-3, 14:23, 27, 15:1-30, Rom. 1:7, Rev. 2-3, 21, I Tim. 2:9-14, 3:1-15, Hebrews 11:39-40, I Peter 5:4. 6) About Grace and Eternal Security God elects those to Himself for His divine purpose. This election is consistent with the free choice of man, but it is the grace of God's sovereign goodness that oversees this event. This grace is undeserved and God's favor is unmerited. Through this act of grace, the believer is saved and brought into a right relationship with God. All true believers will persevere and not turn away from God. Those whom God has saved will never turn away from Christ, but they may fall into sin neglect. All Christians shall be kept by the power of God in which they have placed their faith unto salvation. As our Lord leads, we follow. In every aspect of our life, we are dependent upon Him. Apart from Him we can do nothing; through Him we can do all things. John 15:5, Eph. 6:18, Heb. 4:14-16 GENEROUS LIVING--- we live our life, ready to make a difference in the lives of others. We go through life looking for opportunities to pour out the love of Christ onto others. Acts 2:42-47 KINGDOM EXPANSION--- we live our life determined to expand the Kingdom of God across the street and around the world. Acts 1:8 Matt. 28:18-20 REAL RELATIONSHIPS--- we see the crucial importance of an Authentic Relationship with Jesus Christ and with others. We accomplish this by spending countless hours with the Lord Jesus in prayer, Bible Study and close communion w/ the Father. Also, we develop and cultivate authentic relationships with others in our circle of influence. Matt. 22:34-40 FAMILY FOCUS --- whether you are single, widowed, divorced, or married, everyone needs family. Also, God gave the primary role of Christian education to the family and Fusion Church of Madison places a huge value on worshipping as a family and equipping the family to disciple their children. ARTICLE III Church Structure 3.01 Fusion Church of Madison s System of Church Government: (a) The Lead Pastor. (b) The Lead Team who execute day-to-day operations and helps carry out the Vision. (c) The Finance Team who facilitates the budget and indebtedness. (d) Partners (members) who share the vision and participate in the mission of the church. 3.02 Lead Pastor. The Lead Pastor of the Church is responsible for leading the Church in accordance with Biblical principles as set forth in the New Testament. As such, the Lead Pastor shall be the leader of the Church congregation, the Church staff, all Church organizations, all Church ministries, and the Lead Team. The Lead Pastor is expressly authorized to do all things necessary and proper to fulfill the abovedescribed leadership position. The Lead Pastor seeks counsel from the Lead Team in hiring and dismissing staff. All Staff are accountable to the Lead Pastor and may have their employment terminated by the Lead Pastor. The Lead Pastor serves as Moderator of the Church. The Lead Pastor may appoint a member of the Lead Team or Staff to serve as Moderator if he is unable to serve. The Lead Pastor is required to meet the character qualifications as outlined in 1 Timothy 3:1-7 and Titus 1:5-9. 3.03 Executive Pastor. The Executive Pastor of the Church is responsible for supporting the Lead Pastor in the accomplishment of the Church s mission through support, discernment, decision making, planning and overall direction of church staff. The Executive Pastor is responsible for the following Ministries of the Church: Discipleship, Evangelism, Assimilation, Outreach, Leadership Development, Community Events and Missions. The Executive Pastor will assist and aid the Lead Pastor in all Pastoral duties including but not limited to: Pastoral Care, Biblical Counseling, Pulpit Supply and Leadership Meetings. The Executive Pastor may be called upon to serve as Moderator in the event the Lead Pastor cannot serve and/or attend Organizational Meetings. The Executive Pastor is required to meet the character qualifications as outlined in 1 Timothy 3:1-7 and Titus 1:5-9. 3.04 Staff. All Staff are required to meet the character qualifications as outlined in 1 Timothy 3:1-7 and Titus 1:5-9. All Staff positions that need to be filled will be brought to the Lead Team by the Lead Pastor to be discussed and financing will be approved by Finance Team before any hiring takes place. The Lead Pastor must give final approval for who is hired since he will be working directly with the Staff member. The Staff report to the Lead Pastor and may only be dismissed by the Lead Pastor after he has sought counsel from the Lead Team. Lead Pastor serves on the Lead Team and all other staff will attend Lead Team Meetings on an as needed basis. 3.05 Lead Team. The Lead Team is comprised of six individuals. The Lead Pastor will meet with the Lead Team no fewer than six times a year, and serve as the leader of the team. Qualifications: Lead Team members must have four qualifications. 1. Commitment- committed to Jesus Christ as Savior and Lord. Each Lead Team member should possess a passion to know Him in all His fullness. 2. Conviction- must possess biblical convictions about who God is, who humans are, the nature of the church and especially the meaning of Jesus death and resurrection. 5

3. Competency- be able to walk nonbelievers and believers through the Scriptures for purpose of salvation and discipleship. Lead Team member should be someone who has identified their Spiritual Gift(s) and they are using them in an effective way. They must possess relational skills and their relationships manifest the integrity and love of Jesus, especially in their marriage and with their children. 4. Character- should possess the character of Jesus. Lead Team members should be moving toward greater and greater Christ-likeness. They must exhibit self control, hospitality, gentleness (control of anger), a quest for holiness, and temperance. There should be evidence of dying to the love of money, to manipulation and to having their own way. They must be faithful to their wife and lead their homes well and be above reproach. Term of Service: The Lead Team is comprised of six individuals and are nominated and voted on by the existing Lead Team each year. Each Lead Team member will serve a term of three years and two members will rotate off each year according to their tenure. In event a Lead Team Member should be dismissed or resign, the Lead Pastor and Lead Team will fill the position. The Lead Team s primary function is to provide wisdom and counsel to the Lead Pastor and staff. The Lead Team assists the Lead Pastor by being a sounding board for Vision and Direction of the church. The Lead Team is responsible for assisting the Lead Pastor and Staff by evaluating programming based on its appropriateness and effectiveness in furthering the overall mission of Fusion Church. The Lead Team is authorized to approve the Corporate Officers to secure needed loans from lending institutions up to $50,000.00 for Future Fusion needs. Any funding needed over $50,000.00 will be brought to the Partners for approval according to section 4.05. The Lead Team also assist the Lead Pastor and staff in running the day-to-day operations of the organization, including, but not limited to, overseeing ministry teams, determining programming, planning events, and expanding ministries. When the position of Lead Pastor is vacated, the Lead Team will take appropriate action to secure an Interim Pastor, and secure nominations from Partners (Members) for candidates to serve on Lead Pastor Search Team. The role and responsibilities of the Pastor Search Team is outlined in Section 3.05. The candidate for Lead Pastor will be approved by Fusion Church of Madison s Partners (membership) and require a minimum of three-fourths affirmative vote. This will constitute a quorum. 3.06 Lead Pastor Search Team In the event a vacancy of the Lead Pastor, the Lead Pastor Search Team will be secured by the church. In the absence of a Lead Pastor, the Lead Team selects a Chairman of the Lead Team. The Chairman of the Lead Team serves as the Moderator of Fusion Church of Madison during business meetings and a non-voting member of the Lead Pastor Search Team. The Lead Team will call a Business meeting and outline the qualifications they deem necessary for a candidate to serve on the Lead Pastor Search Team. A period of time will be given (2 Weeks) for Partners to pray and fast for clear direction on possible Search Team members. After 2 weeks, Partners will turn in names of possible Search Team Candidates. The Lead Team will evaluate nominations and generate a list of 9 approved candidates. At this time, a business meeting is called and the Partners vote by secret ballot on the 7 people they would like to serve on the Lead Pastor Search Team. The 7 people receiving the most votes will serve on the Lead Pastor Search Team and the remaining 2 will serve as alternates. Members of the same immediate family (parent-child, siblings, in law, spouses) may not serve on this team. 6

The Chairman of the Finance Team and the Chairman of the Lead Team serves as ex-officio members of the Lead Pastor Search Team unless they are elected by the Church to be members of the Lead Pastor Search Team. When recommending a Lead Pastor candidate to the Church for a vote, there must be 100% agreement within the Lead Pastor Search Team before this nomination is made. 3.07 Finance Team. The Finance Team shall consist of six (6) members nominated by the Lead Team and elected at the Annual Meeting to serve three-year rotating terms. In the event a Finance Team Member should be dismissed or resign, the Lead Pastor and Lead Team will fill the position. The Lead Pastor will meet with the Finance Team on a quarterly basis and on an as needed basis, and serve as the leader of the team. The Finance Team will choose a chairman at their first meeting each year to represent them in all Business Meetings and to work closely with the Lead Pastor and/or Lead Team. The church treasurer will serve as a nonvoting member, of the Finance Team. The primary function of this team is be guardians and overseers of the finances of the organization and the responsibilities of this team are as follows: (a) Review Budget request by Ministry Leaders before each new church year begins. Give recommendations to the budget to help money get allocated appropriately and make accommodations for any ministries that were under/over budgeted. (b) Review and assess what changes need to be made to the financial procedures and policies of the church. (c) Recommend a plan to secure needed properties and facilities that would not over extend the church family but would be Faith Based. (d) Give recommendations for a salary packages for any new staff members, before it is approved by the Lead Pastor. (e) Evaluate all Staff Salary packages and make necessary changes on a yearly basis that are determined by cost of living and/or job performance. This is accomplished by receiving information from the Lead Team, Lead Pastor and the Annual Compensation Study released by Lifeway Research.. 3.08 Personnel Team. The Personnel Team consists of a six (6) members that are nominated by the Lead Team and elected at the Annual Meeting to serve three-year rotating terms. The purpose of the Personnel Ministry Team is to provide direction and decision making for employee policies, compensation and benefits, legal compliance, performance management, employee evaluations and staff training for the employees of Fusion Church of Madison. Primary Functions of this team: * Establish, Finalize and annually review Personnel Policies Manual and Employee Handbook. * Prepare and update, as necessary, Job descriptions for all employed personnel. * Annually Review and Evaluate Job Performance of each employee w/ the assistance of each Staff Member s immediate Supervisor. * Work with the Finance Team in evaluating recommended salary increases and benefits for employed personnel annually. (Available Resource- Lifeway Southern Baptist Convention Compensation Study) 7

*Work w/ Lead Pastor and/or Supervisors of each employee to determine office hours for each staff member along with out of office time. *Inform Staff & Church of updated legal and governmental employment requirements. ARTICLE IV Partners and Members 4.01 Partnership. The church shall have one class of membership, hereby referred to as partnership. 4.03 Qualifications for Partnership: (a) A personal commitment of faith in Jesus Christ for salvation (b) Baptism by immersion as a testimony of salvation (c) Committed to Financially support the church through regular giving (d) Completion of the Partnership class and/or Core Value Sermon Series (e) A commitment to the Partnership covenant Partners will have all the rights, privileges and responsibilities of a member of the church. The Lead Team may adopt and amend application procedures for partnership. 4.04 Termination of Partnerships. A Partner of Fusion Church may have their Partnership terminated for any of the following reasons: (a) Personal request of the partner (b) Transfer of membership to another church (c) Death (d) Failure to comply with the Partnership Covenant (e) Church Discipline by the Lead Team as needed according to scripture. The Lead Team can restore membership according to the spirit of 2 Corinthians 2:7-8 and Galatians 6:1, when their lifestyles are judged to be in accordance with the Partnership covenant. 4.05 Voting Rights of Partners (Members). Active resident partners are those members who reside within the Church s ministry area and attend the regular gatherings of the Church a minimum of twice monthly and are regular givers to and servants in the missions of the Church. Nonresident partners are those who have become inactive as a result of moving out of the Church s ministry area and have not joined another church. Every active partner (member) shall have the right to vote on the following matters. The calling of a Pastoral Staff Member. The annual budget of the Church. 8

The purchase of real estate, construction of new buildings, and the borrowing of money in excess of $50,000.00. The disposition of all or substantially all of the Church s assets. The merger or dissolution of the Church. ARTICLE V Miscellaneous Provisions 5.01 Organizational Business Meetings. The Lead Team will schedule an annual organizational business meeting. This will provide a forum for informing the Partnership of the current direction and condition of the Church. Official votes taken in the annual business meeting require the presence of 25 percent of the total membership of Fusion Church through attendance, proxy, or written vote. This will constitute a quorum. All issues voted on in an official organizational meeting requires a three-fourths affirmative vote of the membership to pass. The Lead Pastor will serve as Moderator for all organizational meetings. In the event that the Lead Pastor cannot serve as Moderator, he may appoint a Moderator or the Lead Team can appoint a Moderator. Any matters properly brought before and passed at business meetings shall be binding on the organization. The Lead Pastor and/or The Lead Team has the authority to call special business meetings. The Lead Pastor and/or The Lead Team will schedule any special business meetings and annual meeting at least one week in advance. 5.02 Parliamentary Procedure. Organizational business meetings will be conducted according to Robert s Rules of Order, except as this constitution conflicts. 5.03 Amending the Bylaws. Amendments to the Bylaws require a three-fourths majority vote by the Lead Team. 5.04 Budget. The Staff and Lead Team will develop and submit their budget request each year to the finance team. The Finance Team will present the budget to the Church for approval. 5.05 Ordination, Licensing and Commissioning. Fusion Church of Madison reserves the right to ordain, license, or commission individuals as ministers of the Gospel to perform the ordinances and ceremonies of the church including, but not limited to, marriage, baptism, communion, and funerals. The Lead Team is responsible for this process. ARTICLE VI Affiliation 6.01 Affiliation. Fusion Church of Madison maintains the right to affiliate with other like-minded organizations and associations. The Lead Pastor and Lead Team, at its discretion, can establish and dissolve any affiliations they deem acceptable. 9

6.02 Denomination. Fusion Church of Madison is an active member of the Southern Baptist Convention and embrace the doctrinal interpretations of biblical truth adopted on June 14 th, 2000, called The Baptist Faith and Message. Fusion Church of Madison cooperates with the Georgia Baptist Convention and our local Association The Stone Mountain Baptist Association. ARTICLE VII Advisory Teams 7.01 Establishment. The Lead Team may, at its discretion, establish one or more Advisory Teams. Any and all teams shall conform to rules established by the Lead Team. All Advisory Teams report findings back to the Lead Team. 7.02 Dissolution. The Lead Team may, at its discretion, dissolve Advisory Teams as they see fit. 7.03 Delegation of Authority. No Advisory Team shall have the authority to: (a) amend the Articles of Incorporation or Constitution; (b) adopt a plan of merger or a plan of consolidation with another church; (c) authorize the sale, lease, exchange, or mortgage of any or substantially any of the property and assets of the Church; (d) authorize the voluntary dissolution of the Church; (e) revoke proceedings for the voluntary dissolution of Fusion Church of Madison; (f) adopt a plan for the distribution of the assets of the Church; (g) amend, alter, or repeal the Bylaws; (h) approve any transaction to which Fusion Church of Madison is a party and that involves a potential conflict of interest; (i) take any action outside the scope of authority delegated to it by the Lead Team.
