1 City of Sidney, Wastewater Treatment Plant Biosolids Disposal Project Specifications The following specifications shall apply to all work to be done under this Contract. If any provisions of these specifications conflict with any other conditions of this Contract, the specifications that following shall govern. Acknowledgement of review and understanding of these specifications is required on Bid Form page 6. SCOPE: The City of Sidney s Wastewater Treatment Plant (WWTP) processes and treats wastewater from the residents, businesses, and industries of the City of Sidney and the Village of Port Jefferson along with various other sources. One of the byproducts of the treatment process is sewage sludge (Biosolids). The sewage sludge has undergone treatment according to the requirements set forth by the Ohio Environmental Protection Agency (OEPA). The City of Sidney produces an estimated 600 to 800 dry tons (3,000 to 4,000 wet tons) of Biosolids annually. Typically Biosolids are removed three times/yr. during spring (before field planting), summer (after wheat harvest) and late fall (after corn/bean harvest). The City has two options for the land-application/disposal of Biosolids and said options shall be utilized at the City of Sidney s discretion. Base Bid 1. Land Application of Dewatered (Cake) Biosolids at agronomic rates to OEPA approved farm site(s). a. Bid to be supplied as cost per dry ton. Alternate Bid 2. Disposal of Biosolids in an approved sanitary landfill. a. Bid to be supplied as cost per wet ton. The City of Sidney desires to have the dewatered Biosolids removed from the City of Sidney s Wastewater Treatment Plant located at 1091 Children s Home Rd. Sidney, Ohio by the successful bidder. The project specifications contained herein describe the work required for the removal and land application/disposal of the Biosolids utilizing one or more of the options described above. The City reserves the right to award the Contract to one or more Contractors for the various options described above (i.e. Contractor 1 awarded the dewatered option; Contractor 2 awarded the landfill option, etc.). A spill contingency plan shall be included with the bid proposal. Bids that do not contain a spill contingency plan, or a plan that the City deems inadequate, will be rejected and will not be considered further for award. A list of equipment readily available to perform the work shall be included with the bid. Equipment lists shall include equipment type, capacity, and number of units available. The successful bidder shall be required to obtain all certificates and permits that may be required by the Shelby County Health Department, the OEPA, City of Sidney, and an approved sanitary landfill of the Contractor s choosing. In addition, the successful bidder shall comply with local, state, and federal regulations at all times. This shall be a threeyear Contract with the option to renew the Contract annually up to an additional two years. The three-year Contract shall commence on or about April 1, 2015 and, unless renewed, end on December 31, The City of Sidney shall provide written notice to the Contractor 90 days prior to expiration of the Contract of its desire to either allow the Contract to expire or exercise its option for an additional year. If the City provides written notice to the Contractor that it elects to exercise its option to renew the Contract for an additional year the Contractor shall provide the City its desire to accept or reject the renewal, in writing, no less than 60 days prior to the expiration of the current Contract. An annual renewal shall not occur for more than two additional years.

2 BASE BID Removal and Land Application of Dewatered Biosolids This option is the removal of the dewatered Biosolids from the WWTP s Biosolids storage area. Work includes: a) It shall be the responsibility of the Contractor to remove the Dewatered Biosolids from the Biosolids Storage area, transport, and land-apply in a manner approved by the governing agencies. b) The Contractor shall provide all necessary materials, labor, and equipment for Biosolids removal, transport, traffic control, and application. c) Biosolids shall be transported in containers which shall comply with all regulations and requirements of the appropriate governing agencies. d) It shall be the responsibility of the Contractor to collect a sample from each load that is hauled to the land application site. The City of Sidney staff will specify the volume of the samples so that adequate sample is available for analysis. Samples are to be collected and stored in a manner that will not alter the sample in any way. The City of Sidney WWTP Superintendent or his/her designee shall provide the container and sampling equipment that is to be used for sample collection and storage. e) Any spills that are deemed a nuisance, by the City of Sidney WWTP Superintendent or his/her designee, during any part of the land application process are to be remediated immediately by the Contractor to the satisfaction of the City of Sidney WWTP Superintendent or his/her designee. f) The Contractor shall repair disturbed areas, caused by the Contractor, to the satisfaction of the City of Sidney WWTP Superintendent or his/her designee within 14 days of the Contractor being notified. g) No equipment will be permitted in the WWTP facility which will damage the driving surfaces. The Contractor shall repair any areas of the driving surface damaged during the removal of Biosolids. h) All work is to be performed during daylight hours and shall not disturb the operation of the WWTP facility. Nighttime operations may be permitted due to extenuating circumstances only with the written authorization of the City of Sidney WWTP Superintendent or his/her designee. i) Sunday operations are prohibited unless written authorization is obtained from the City of Sidney WWTP Superintendent or his or her designee. j) The Contractor will not introduce any foreign material into the Biosolids generated by the City of Sidney. k) The Contractor shall remove Biosolids from the storage areas to an approved field storage area in the event that there is inadequate storage area at the WWTP. The City of Sidney WWTP Superintendent or his/her designee will determine the field storage area, the timeframe for transportation, and the amount to be transported. l) Each load removed from the City of Sidney WWTP shall be documented on a load ticket(s) or other acceptable means that lists the drivers name, the truck ID, the time the truck was loaded, the date, and the field ID (field ID to be provided to the Contractor by the City). The original load ticket(s) shall be turned into the City of Sidney WWTP Superintendent or his/her designee daily. m) The City of Sidney WWTP Superintendent or his/her designee shall randomly select trucks that are to be weighed at the City s expense. These weights shall be used to determine the number of Dry Tons/Wet Tons per load. If there is an inconsistency with the size of the trucks used, each truck will be weighed to determine its capacity. All analysis, required under this option, of the Biosolids is the responsibility of the City of Sidney and the analysis results used to meet regulatory compliance are to be used for the determination of payment to the Contractor. Process monitoring data will not be considered when calculating payment to the Contractor. n) The following payment formula shall be used for calculating the payment to the Contractor for land application of dewatered Biosolids. Total dry tons for each hauling event shall be rounded to the nearest whole number. Dry Tons per load x number of loads x $ per Dry Ton = Payment Due The City of Sidney shall pay the Contractor the bid price for each dry ton removed and properly land applied monthly, unless otherwise approved by mutual agreement. o) An estimated dry tons of Biosolids will be land applied annually under this option. p) The Contractor shall provide labor and material no later than 10 consecutive working days (1) as defined at end of specifications of being notified by the City of Sidney that removal of Biosolids is necessary. q) The Contractor shall provide sufficient equipment and labor to execute this agreement by transporting and land applying up to 250 Dry Tons in 7 consecutive working days (1). 1) Working Days means Monday through Saturday during daylight hours where, in the determination of the City and the Land Owner, the field conditions and weather are suitable for land application.

3 ALTERNATE #1 Removal and Disposal in an Approved Land Fill of Dewatered Biosolids This option is the removal of the dewatered Biosolids from the dewatered Biosolids storage area and disposal in an approved sanitary landfill. Work includes: a) It shall be the responsibility of the Contractor to remove the dewatered Biosolids from the storage area, transport, and dispose of the Biosolids in a manner approved by the governing agencies. b) The Contractor shall provide all necessary materials, labor, and equipment for Biosolids removal, transport, and disposal. c) Biosolids shall be transported in containers which shall comply with all regulations and requirements of the appropriate governing agencies. d) It shall be the responsibility of the Contractor to collect a sample from each load that is hauled to the disposal site. The City of Sidney staff will specify the volume of the samples so that adequate sample is available for analysis. The City of Sidney WWTP Superintendent or his/her designee shall provide the container and sampling equipment that is to be used for sample collection and storage. e) Any spills that are deemed a nuisance, City of Sidney WWTP Superintendent or his/her designee, during any part of the disposal process are to be cleaned immediately by the Contractor to the satisfaction of the City of Sidney WWTP Superintendent or his/her designee. f) The Contractor shall repair disturbed areas, caused by the Contractor, to the satisfaction of the City of Sidney WWTP Superintendent or his/her designee within 14 days of the Contractor being notified. g) No equipment will be permitted in the WWTP facility, which will damage the driving surfaces. The following payment formula shall be used for calculating the payment to the Contractor for disposal of dewatered Biosolids. Total dry tons for each hauling event shall be rounded to the nearest whole number. Net tonnage per load x number of loads x $ per wet ton = Payment Due The City of Sidney shall pay the Contractor the bid price for each wet ton removed and properly disposed of monthly, unless otherwise approved by mutual agreement. n) An estimated 200 dry tons of Biosolids may be disposed under this option. This option will be exercised only at the discretion of the City of Sidney. o) This option will be utilized if: - It is deemed that the Biosolids are not suitable for land application - Field conditions prevent land application - Weather conditions prevent land application - Insufficient land available for land application - WWTP Superintendent deems this option appropriate for any other reason

4 SAFETY 1. The Contractor shall make safety a prime concern during the performance of this Contract. Safety of the Contractor, his employees, sub-contractors, City employees, landowners, farm operators, and the general public shall receive priority. 2. The Contractor shall have at least one trained safety person on the job at all times. This person shall be directly responsible to ensure and document all applicable OSHA regulations are complied with at all times. BIOSOLID DISPOSAL SITES 1. The City of Sidney will identify all application sites and obtain the necessary permits for Biosolids application. 2. All records and certification statements shall be signed by the Contractor and provided to the City of Sidney, no later than the 10 working days (1) after the completed land application. All records must be kept for a period of five years. 3. Soil sampling will be conducted by the City of Sidney or his/her designee. 4. No hauling of Biosolids or land application of Biosolids to any land that has not been approved by the Ohio EPA and identified by the City of Sidney. 5. The application sites and Biosolids application must comply with all OHIO EPA ( ) and USEPA (40 CFR, Part 503) Biosolids regulations. 6. The Contractor (applier) shall be responsible for any and all damages that occur during the transportation and/or land application of Biosolids. PAYMENT & RETAINAGE 1. All invoices and/or pay requests from either option shall be submitted to the City using an invoice format approved by the City that documents the quantity of Biosolids removed, cost per unit of measure, and total cost for each option used for that period. All work and forms for each land application/removal event must be completed in their entirety or such request for payment shall be rejected. The City may withhold as retainage 10% of each invoice/pay request. Following completion of the Contract and final inspection, all retainage shall be returned to the Contractor only after the City is satisfied that any and all restoration work is completed. All pay requests/invoices shall be forwarded to: Mr. Barry Zerkle Wastewater Plant Superintendent City of Sidney 201 West Poplar Street Sidney, Ohio Payment from the City will not be released until all records and certification statement(s) are signed and turned over by the Contractor to the City of Sidney WWTP Superintendent or his/her designee. 3. The City of Sidney reserves the right to adjust the quantities shown and shall pay for any increase by the unit price in the bid. 4. The City will not establish an escrow account for the purpose of accruing interest on retainage. Retainage returned to the Contractor will not include interest. 5. All work paid for by the City shall become the sole property of the City. This provision shall not be construed as relieving the Contractor of the responsibility for the care and protection of the work which payment has been made or the restoration or any damaged work, or as a waiver of the right of the City to require fulfillment of all terms of this Contract. 6. The Contractor shall indemnify and save the City or the City s agents harmless from all claims growing out of the lawful demands of sub-contractors, laborers, workmen mechanics, material suppliers and furnishers of machinery and equipment and parts thereof for the performance of the work. The Contractor at the City's request shall furnish satisfactory evidence that all obligations of the nature designated above have been paid, discharged or waived. If the Contactor fails to do so, the City may, after notifying the Contractor, withhold the retainage deemed reasonably sufficient to pay any and all such claims until satisfactory evidence is furnished to the City. In no event, shall the provisions be construed to impose any obligations upon the City to either the Contractor's Surety or third party. In paying any unpaid bills of the Contractor, any payment so made by the City shall be considered as a payment made under the Contract Documents by the City to the Contractor and the City shall not be liable to the Contractor for any such payment made in good faith. (1) Working Days means Monday through Saturday during daylight hours where, in the determination of the City and the Land Owner, the field conditions and weather are suitable for land application.

5 TERMINATION OF CONTRACT 1. This Contract shall be effective until December 31, 2017, unless the option to extend for an additional year is exercised by the City and agreed to by the Contractor. This Contract shall not be extended beyond December 31, The City reserves the right to terminate this Contract upon 30 days written notice. In the event of unsatisfactory performance by the Contractor, the termination could be a shorter period of time.
