1 [[The purpose of this resolution is to transfer the real property of Niles Congregational Church to Niles Discovery Church. This needs to be done at the final congregational meeting of Niles Congregational Church, but must wait until after the Secretary of State recognizes Niles Discovery Church as a legal entity.]] FIRST CONGREGATIONAL CHURCH OF NILES (UCC) RESOLUTION WHEREAS, the congregation of the FIRST CONGREGATIONAL CHURCH OF NILES (UCC), a California Non-Profit Religious Corporation, has voted to change the name of the corporation to the NILES DISCOVERY CHURCH and has filed a Restatement of Articles of Incorporation with the Secretary of State of California; and WHEREAS, the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) is the owner of real property located at 255 H Street in the City of Fremont, County of Alameda, State of California, more particularly described as follows: (Insert legal description) and, WHEREAS, the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) is the owner of real property located at Bodily Avenue in the City of Fremont, County of Alameda, State of California, more particularly described as follows: (Insert legal description) and, WHEREAS the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) desires to transfer the title to the above said real property to the NILES DISCOVERY CHURCH a California Non-Profit Religious Corporation NOW THEREFORE BE IT RESOLVED, that the Moderator, James Thomas, and the Clerk, Barbara Swint, be and hereby are authorized to execute a Gift Grant Deed of the above described real property to the NILES DISCOVERY CHURCH, a California Non-Profit Religious Corporation. 1

2 [[The purpose of this resolution is to give the FCC Board a vehicle to advise the congregation of FCC to vote to merge with NDC (once NCC officially becomes NDC).]] FIRST CHRISTIAN CHURCH BOARD RESOLUTION TO MERGE WHEREAS the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont, California has a long history of witness and service to God and Jesus the Christ in the City of Fremont and throughout the world through mission giving; and WHEREAS it has become more difficult for the congregation to continue this witness for several reasons; and WHEREAS the opportunity to expand its witness through a merger of the congregation with the congregation of the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) has presented itself; and WHEREAS the ministry of the two churches will be enhanced and strengthened by combining their ministry and resources; and WHEREAS the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) has filed amended articles of incorporation with the state of California to become the NILES DISCOVERY CHURCH in preparation of our two congregations merging; NOW THEREFORE, BE IT RESOLVED that the Board of Directors of the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont, California recommend to the congregation that they elect to merge into the NILES DISCOVERY CHURCH. 2

Our lawyer thinks this is an important step, even though such a commitment was made in June of This vote should happen after the Secretary of State recognizes Niles Discovery Church as a legal entity.]] FIRST CHRISTIAN CHURCH CONGREGATION RESOLUTION TO MERGE WHEREAS the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont, California has a long history of witness and service to God and Jesus the Christ in the City of Fremont and throughout the world through mission giving; and WHEREAS it has become more difficult for the congregation to continue this witness for several reasons; and WHEREAS the opportunity to expand its witness through a merger of the congregation with the congregation of the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) has presented itself; and WHEREAS the ministry of the two churches will be enhanced and strengthened by combining their ministry and resources; and WHEREAS the FIRST CONGREGATIONAL CHURCH OF NILES (UCC) has filed amended articles of incorporation with the state of California to become the NILES DISCOVERY CHURCH in preparation of our two congregations merging; NOW THEREFORE, BE IT RESOLVED that the members of the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont elect to merge into the NILES DISCOVERY CHURCH. RESOLVED FURTHER, that Board Chair Bruce Kieft and the Secretary Elizabeth Musgrave be and they are hereby authorized to execute the Merger Agreement drawn to memorialize the occasion of the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont and NILES DISCOVERY CHURCH entering into common ministry as the NILES DISCOVERY CHURCH that God may be glorified. RESOLVED FURTHER, that Moderator James Thomas and the Clerk Barbara Swint be and they are hereby authorized to execute the Merger Agreement drawn to memorialize the occasion of the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont and NILES DISCOVERY CHURCH entering into common ministry as the NILES DISCOVERY CHURCH that God may be glorified. 5 [[This is the merger agreement referred to in the resolutions on pages 3 and 4.]] MERGER AGREEMENT THIS AGREEMENT entered into the date entered below by and between the members of the NILES DISCOVERY CHURCH, a California Nonprofit Religious Corporation, and the members of the FIRST CHRISTIAN CHURCH (Disciples of Christ) of Fremont, California, a California Nonprofit Religious Corporation, shall memorialize their joining together their witness to the love of God expressed in the life of Jesus the Christ. The terms and conditions of the merger shall be as follows: 1. The settled pastors of each congregation shall automatically become pastors of the NILES DISCOVERY CHURCH and shall seek standing as ordained ministers with both the Christian Church (Disciples of Christ) and the United Church of Christ. 2. The name of the merged church shall be NILES DISCOVERY CHURCH. 3. The NILES DISCOVERY CHURCH, having standing in the Bay Association of the Northern California Nevada Conference of the United Church of Christ, shall seek standing with the Northern California Nevada region of the Christian Church (Disciples of Christ). 4. The NILES DISCOVERY CHURCH is incorporated in the State of California and the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont is incorporated in the State of California and on finalization of the merger the NILES DISCOVERY CHURCH shall be the surviving corporation. 5. All members of each of the existing congregations shall automatically become members of the merged NILES DISCOVERY CHURCH with all of the privileges, rights, and responsibilities of membership therein. This should be voted on after the Merger Agreement is adopted by both congregations and must wait until after the Secretary of State recognizes Niles Discovery Church as a legal entity.]] FIRST CHRISTIAN CHURCH RESOLUTION WHEREAS, the congregation of the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont, California, has voted to merge with the congregation of the NILES CONGREGATIONAL CHURCH (UCC) of Fremont, California, to become the NILES DISCOVERY CHURCH of Fremont, California; and WHEREAS, the FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont is the owner of real property in the City of Fremont, County of Alameda, State of California more particularly described as follows: Lot 50, "amended Map of a portion of Tract 3450", Filed April 9, 1974 in Book 81, Page 98 of Maps, Alameda County Records. EXCEPTING THEREFROM, that portion thereof described in the Deed to the City of Fremont, a Municipal Corporation, recorded August 25, 1998 as Series No of Official Records, described as follows: Beginning at the intersection of the Southeastern line of Nursery Avenue with the Southwestern Line of said Lot 50; running thence South 10 07'15" West Feet; and thence Southerly along an arc of a curve to the left with a radius equal to Feet, the center of which bears South 79 52'45" East, through a central angle of 88 11'31" and an arc Distance of Feet to the Southerly line of the parcel of land; and thence South 73 17'51" East Feet to the point of beginning. and, WHEREAS, the congregation of FIRST CHRISTIAN CHURCH (DISCIPLES OF CHRIST) of Fremont desires to transfer the ownership of the above described property and its improvements to the NILES DISCOVERY CHURCH a California Non-Profit Religious Corporation; NOW THEREFORE, BE IT RESOLVED that the above described real property be transferred as a gift without consideration to the NILES DISCOVERY CHURCH; and BE IT FURTHER RESOLVED, that the Board Chairperson, Bruce Kieft, and the Secretary, Elizabeth Musgrave, be and are hereby authorized to execute a Gift Grant Deed of the above described real property to the NILES DISCOVERY CHURCH, A California Non-Profit Religious Corporation. 6
