4 CONSTITUTION Article I Name The name of this church shall be the Evangelical Free Church of Canton, Illinois. Article II Purpose The purpose of the Evangelical Free Church of Canton, Illinois, shall be: 1. To worship, honor, and glorify God and His Son, Jesus Christ, our Savior and Lord, through work and action as guided by the Holy Spirit. 2. To conduct ministries which will help build each believer to full maturity, strengthening and preparing him to accept and do God's will, to love God completely and his neighbor as himself. 3. To extend God's redemptive love to mankind worldwide by declaring the eternal gospel, Jesus Christ as Savior and Lord, and by reaching out to people through acts of love. Article III Authority and Affiliation Authority: The local membership, at its annual and other properly called business meetings is the legislative and governing body of this organization hereafter referred to as the church. Affiliation: This church shall be affiliated with the Evangelical Free Church of America through its Great Lakes District Conference and shall send delegates to their conferences, support their Home and Foreign Missions, and unite in all mutual efforts for the furtherance of the Gospel of Christ in the measure that the church itself may officially decide. Adopted by the Conference on June 26, 2008 Article IV Statement of Faith The Evangelical Free Church of America is an association of autonomous churches united around these theological convictions: 1. God We believe in one God, Creator of all things, holy, infinitely perfect, and eternally existing in a loving unity of three equally divine Persons: the Father, the Son and the Holy Spirit. Having limitless knowledge and sovereign power, God has graciously purposed from eternity to redeem a people for Himself and to make all things new for His own glory. 1 P a g e

5 2. The Bible We believe that God has spoken in the Scriptures, both Old and New Testaments, through the words of human authors. As the verbally inspired Word of God, the Bible is without error in the original writings, the complete revelation of His will for salvation, and the ultimate authority by which every realm of human knowledge and endeavor should be judged. Therefore, it is to be believed in all that it teaches, obeyed in all that it requires, and trusted in all that it promises. 3. The Human Condition We believe that God created Adam and Eve in His image, but they sinned when tempted by Satan. In union with Adam, human beings are sinners by nature and by choice, alienated from God, and under His wrath. Only through God s saving work in Jesus Christ can we be rescued, reconciled and renewed. 4. Jesus Christ We believe that Jesus Christ is God incarnate, fully God and fully man, one Person intwo natures. Jesus Israel's promised Messiah was conceived through the Holy Spirit and born of the virgin Mary. He lived a sinless life, was crucified under Pontius Pilate, arose bodily from the dead, ascended into heaven and sits at the right hand of God the Father as our High Priest and Advocate. 5. The Work of Christ We believe that Jesus Christ, as our representative and substitute, shed His blood on the cross as the perfect, all-sufficient sacrifice for our sins. His atoning death and victorious resurrection constitute the only ground for salvation. 6. The Holy Spirit We believe that the Holy Spirit, in all that He does, glorifies the Lord Jesus Christ. He convicts the world of its guilt. He regenerates sinners, and in Him they are baptized into union with Christ and adopted as heirs in the family of God. He also indwells, illuminates, guides, equips and empowers believers for Christ-like living and service. 7. The Church We believe that the true church comprises all who have been justified by God's grace through faith alone in Christ alone. They are united by the Holy Spirit in the body of Christ, of which He is the Head. The true church is manifest in local churches, whose membership should be composed only of believers. The Lord Jesus mandated two ordinances, baptism and the Lord s Supper, which visibly and tangibly express the gospel. Though they are not the means of salvation, when celebrated by the church in genuine faith, these ordinances confirm and nourish the believer. 8. Christian Living We believe that God's justifying grace must not be separated from His sanctifying power and purpose. God commands us to love Him supremely and others sacrificially, and to live out our faith with care for one another, compassion toward the poor and justice for the oppressed. With God s Word, the Spirit s power, and fervent prayer in Christ s name, we are to combat the spiritual forces of evil. In obedience to Christ s commission, we are to make disciples among all people, always bearing witness to the gospel in word and deed. 9. Christ s Return We believe in the personal, bodily and premillennial return of our Lord Jesus Christ. The coming of Christ, at a time known only to God, demands constant expectancy and, as our blessed hope, motivates the believer to godly living, sacrificial service and energetic mission. 10. Response and Eternal Destiny We believe that God commands everyone everywhere to believe the gospel by turning to Him in repentance and receiving the Lord Jesus Christ. We believe that God will raise the dead bodily and judge the world, assigning the unbeliever to condemnation and eternal conscious punishment and the believer to eternal blessedness and joy with the Lord in the new heaven and the new earth, to the praise of His glorious grace. 6 Article V Membership This church shall accept as members those who have by faith received Jesus Christ as their personal Savior and Lord and who in their lives manifest the fruits of the true faith in God and are willing, according to their ability, to support the church by their prayers, contributions, attendance and active service. Voting privileges are for active members who are 18 years of age or older. Non-members do not have voting privileges on boards or at business meetings. Article VI Membership Meetings The Annual Meeting shall be held during the Fall (October-November) of each year. Other business meetings shall be held as provided in the By-Laws. The annual election will occur at the Annual Business Meeting. Article VII Directors The directors shall be: Senior Pastor and Elders. Each of the directors shall be a member of this church, shall wholeheartedly subscribe to the Statement of Faith (Article III) and shall so affirm before accepting the office to which he is approved. Article VIII Property 1. This church shall have the power to receive, either by gift or purchase, and to hold such real and/or personal property as is authorized by the laws of the State of Illinois and as is deemed necessary for the business of the church. All such property shall be held in the name of the church. Prior to the sale or disposition of all church real-estate the Trustee Ministry shall make recommendations to the Elder Board, who shall make recommendations to the membership to determine the appropriate action. Disposition of all other church assets will be handled in accordance with the by-laws. 2. In case of a division of the church (from which we pray God by His mercy to preserve us), the property of the church shall belong to those who abide by its Constitution and By-laws. 3. In case of dissolution of the church organization, the property shall be assigned to the Great Lakes District Conference of The Evangelical Free Church of America to enable said conference to renew the work or use the values thereof for further Gospel enterprises. The church shall be considered dissolved if so decided by the organization, or when the church has not held an annual meeting for three years, or when less than six members remain. Article IX Amendments to the Constitution The membership may make changes or additions to the Constitution only at the Annual Meeting. Such changes must be submitted to the members in writing and adopted as a preliminary step at a Business Meeting of the congregation not less than three months prior to the Annual Meeting. At the Annual Meeting, the changes or additions may be fully adopted by a two-thirds majority of the votes cast. 7 BY-LAWS ARTICLE I Governance The Constitution of the Evangelical Free Church of Canton is the primary governing document and these By- Laws are subservient to the Constitution. Article II Membership Section A. Membership 1. Fundamental membership requirements are defined and qualified in Article V Membership of our Constitution. Article V stipulates voting privileges are for active members. Active membership status shall be defined as those members who: a. Meet the Article V requirement of support the church by their prayers, contributions, attendance, and active service. b. Agree with, and adhere to, our Constitution and By-Laws (Amos 3:3; Matt. 18:19). 2. Application for membership in the church shall be made to the Elders. Applicants shall be given an application form and a copy of the Constitution and By-Laws of the church. The Elder Board shall interview the applicant and confirm the applicant meets the requirements for active membership. a. In order to affirm a person meets the active membership qualifications, a minimum of three months regular attendance is required prior to membership application. b. The name of the applicant, with the recommendation of the Elder Board, shall be presented at a Business Meeting for acceptance. A vote by ballot will be cast and a two-thirds majority vote shall declare the applicant received into membership. If present, the applicant(s) is accepted into membership and greeted at that meeting. The Pastor shall inform the new member in writing of their acceptance. 3. The Office Staff shall preserve the membership roll of the church and shall conduct and preserve all official correspondence and documents delegated to that office by the Elder Board. Membership roll changes will be communicated at the annual business meeting. 4. Associate Members - Those (current member or applicant) who are unable to be active members in our church due to health or other valid reasons may be approached by the Elder Board to accept a status of Associate Member. Associate Members will retain all privileges of a member except that they shall not be eligible to vote at Business Meetings and their membership shall not be included in the determination of a quorum for Business Meetings. 5. Former members who departed in good standing may apply to the Elder Board for membership reinstatement. Effective immediately upon Elder Board approval, they are reinstated. Section B. Conduct of Members 1. Regular attendance at the services of this church, daily reading of the Bible, private and family devotions, personal and public testimony and the sharing of Christ with others are urged upon each member. It shall be the sacred duty of parents to provide Christian instruction for their children. Every member shall consider it their sacred duty and privilege to make full use of their talents for the Lord's service whenever opportunity affords. 2. All members are encouraged to remember each other in prayer, to aid each other in sickness and distress, and to maintain a brotherly spirit with all God's children by showing love and unity of faith. 8 3. Each member is urged to pledge themselves to a systematic contribution of a portion of their income for the support of this church. Section C. Transferral of Membership Any member in good standing shall by request be granted a letter of recommendation for transferral of membership. The letter of recommendation shall by authorized by the Elder Board. Section D. Church Discipline A member of this church may bring charges of a personal nature against another member or a leader of the church only after he has previously taken the steps of reconciliation as outlined in Matthew 18: Section E. Removal of Members 1. Members may revoke their membership by submitting a letter of resignation to the Elder Board. It is effective upon the date specified in the letter or upon receipt by the Church Office. 2. The Elder Board shall institute an annual congregational attendance audit and a written follow-up policy. The audit will be no less than four sequential weeks and require a written or electronic response. The audit results will be cross-checked against the active membership roll. Active members with no audit response will be followed-up according to the Elder Board s written policy. If the Elder Board is unable to make contact with absent members, a written request seeking their intent will be sent. If there is no response within 30 days, they are removed from the active membership roll. Active membership may be reinstated through a written request to the Elder Board expressing a desire to return to an active role in the church. By approval of the Elder Board, they are re-instated. 3. If a member is found to be in violation of the statement of faith, doctrine, beliefs, and or policies of the church, the elders will proceed with appropriate investigation and actions in accordance with Matthew 18: Disciplinary actions may be taken by the Elder Board up to and including removal of membership. ARTICLE III Business Meetings Business Meetings 1. Voting a. See Constitution Article V Membership and By-Laws Article II Section A1. b. One-third of the active membership of the church shall constitute a quorum. 2. Notifications a. The Elder Board must communicate to each member the date and agenda in writing to the membership at least two weeks (14 days) in advance. b. Electronic distribution is permitted provided the member has registered that preference with the church office. 3. Annual Meeting a. The Annual Meeting of the Church shall be held in October or November of each year. b. Pursuant to the upcoming fiscal year, the business to be conducted shall include the approval of officers, the approval of the budget, and review and approval of goals and objectives for the church. The Fiscal Year of the church and approved membership terms shall begin on January Other Business Meetings a. Scheduled as necessary by the Elder Board. 9 b. A written request from 25% of the active membership to the Elder Board will effect a meeting no more than six weeks after submission. 5. The Elder Board Chairman of this church shall preside at all business meetings of the church. In his absence, the Vice-Chairman (or other person as designated by the Chairman) shall preside. The Elder Board Secretary (or their designee) shall keep minutes of the actions taken at all Business Meetings of the membership and of the Elder Board. ARTICLE IV Church Leadership Section A. The Elder Board 1. Roles and Responsibilities The Elder Board s primary role is spiritual leadership of the church. Consequently they are empowered by the congregation and have the responsibility for every aspect of church function. Some critical responsibilities are: a. The Elder Board represents the membership of Evangelical Free Church of Canton and as such they interpret and arbitrate the Bible for church function, policies, procedures, and ministries. b. Periodic reviews of the ministries and policies of the church. Such review is to ascertain that the ministries and policies of the church are within the guidelines established by the Pastoral Staff and Elder Board to ensure effective discipleship and evangelism within the church and community. c. Conduct an annual performance review of the Senior Pastor, evaluate his financial package against the local market, and recommend the appropriate adjustments via the annual budgeting process. d. Fiscal Accountability i. Collaborates with the Finance Ministry Team to ensure the Annual Budget aligns with the overall vision and direction of the church and reviews it as recommended by the Finance Team prior to presentation to the membership for approval. ii. Auditing The Elder Board will determine what annual analysis (compilation, review, or audit) is performed based upon a Finance Team recommendation and based upon accredited standards for religious non-profit entities our size (e.g. Evangelical Council for Financial Accountability). Note: A compilation may be undertaken by qualified internal congregants. A review or an audit may require external, independent experts. e. Teams & Committees i. Ministry Teams 1) The Elder Board shall ensure an approved list of those eligible to serve as appointees on Ministry Teams is maintained. 2) An Elder shall be assigned as a liaison to provide support and guidance as necessary to ensure ministries are conducted according to the guidelines, goals and mission of the church. ii. Nominating Committee This committee will create a prioritized list of nominees for the church s elective offices. It consists of the Senior Pastor, three elected members, one Elder appointed by the Elder Board Chairman, and one other appointed member from the previous year's elected members. The committee members shall be elected for a one-year term and may not be re-elected until one year has elapsed, except that the Elder Board Chairman shall designate one of the elected members to continue for one more additional year for the purpose of continuity. They shall begin functioning in the first quarter of the year. They shall: 1) Verify nominees exhibit evidence of a life committed to walking with God and with proven character. 2) Seek out candidates with the capabilities and gifts needed for each elective office. 3) Review the list with the Elder Board and finalize the list. 4) Contact each nominee, encouraging them to pray and seek God s will. iii. Pastoral Search Committee When the church is seeking to fill a long term (greater than twelve months) pastoral staff position, the Elder Board, in conjunction with the Senior Pastor when BY-LAWS Evangelical Free Church of Canton 6 P a g e Revised and Approved Nov 2, 2014

10 appropriate, shall appoint a Pastoral Search Committee. This Committee shall conduct the business of recruiting, reviewing, and interviewing candidates for the Pastoral Staff position. They shall recommend candidates to the Elder Board for consideration. When unity of decision is reached by the Elder Board, they shall recommend the candidate to the membership to confirm an extension of a pastoral call by two-thirds majority of those voting at a properly called Business Meeting. The Chairman of the Pastoral Search Committee shall then extend the pastoral call to the candidate. This committee shall be chaired by the Chairman of the Elders (or another Elder designated by the Chairman of the Elders and the Elder Board) and shall additionally consist of: the Senior Pastor (when appropriate); six members of the church representing a cross section of the membership; other members of the church leadership or Pastoral Staff as deemed appropriate and necessary by the Elder Board. 2. Functional Structure a. The Elder Board will ideally consist of eight membership-approved members. It shall consist of not less than five membership-approved members, nor more than nine, and the Senior Pastor. b. Terms are four years, staggered by two years (two new members each year on the ideal eight member board). i. The Elder who has served a full four year term may not succeed to that same office until one year has elapsed. ii. Extenuating circumstances may lead the Elder Board to propose a one year extension to the membership for approval at the Annual Meeting. iii. If an Elder position is vacated early, the Nominating Committee shall recommend a replacement to the Elder Board for the remainder of the term. The Elder Board shall affirm the replacement through the end of the fiscal year at which time the appointment for the remainder of the term must be approved by the membership at the Annual Meeting. c. The Elder Board shall elect a Chairman, Vice Chairman and Secretary. 3. Qualification a. Elder qualifications for this church are as described in 1 Timothy 3:1-7; Titus 1:6-9; and 1 Peter 5:1-4. b. Elders shall subscribe and aspire to a servant leader model John 13:3-5 c. Elders must have a minimum of 1.5 years attendance and service in this church and a total verifiable service of 5 years (3.5 years may be in a ministry or church of like mind). The most recent year must be as an active member in this church. Section B. The Pastors 1. Pastoral staff, including spouses, become members of this church upon confirmation of employment. 2. The Senior Pastor, referred to subsequently in this section as the Pastor, the spiritual leader of the church, shall fulfill the conditions expressed in the New Testament with regard to his office. It shall be his duty to promote the programs adopted by the church, to be loyal to its heritage and principles, and be in full agreement with, and adhere to, the Constitution and By-Laws. a. Responsibilities i. Direct Primarily done by the Pastor Teach and preach Seeks God's guidance through Bible study, prayer, and meditation and shall seek to provide a spiritual vision for the church. Supervisory Functional supervisor over all church staff (may not be the direct supervisor of all church staff). This includes, but is not limited to performance reviews, goals and objectives, and salary recommendations to the Elder Board. The Pastor shall, at the Annual Meeting, give a report to the membership outlining accomplishment of the previous year's goals and objectives as well as a presentation of goals and objectives for the upcoming year. 11 ii. Indirect Oversees, though direct responsibility may be delegated to others The Pastor shall oversee the visitation of the sick and needy as well as the Godly counseling of those in need. Oversee the ordinances, and be responsible for all prayer, worship, and praise services of the congregation. b. The Pastor shall serve as long as it is mutually agreeable between the Pastor and the church. Two months notice shall precede a severance of official relations between the Pastor and the church unless waived by the mutual consent of the Pastor and the Elder Board or in cases of gross misconduct. c. The Pastor shall be a voting member of the Elder Board and an ex-officio member of all other ministries. d. The Pastor shall be or shall become a member of the Evangelical Free Church Ministerial Association. Section C. Staff Positions 1. Long term (greater than twelve months) non-pastoral staff positions a. New non-pastoral staff positions shall be drafted by the Elder Board and incorporated into the annual budget review and approval process. b. The Senior Pastor and the Elder Board shall be responsible for the hiring of staff for such positions as well as the termination of employment of persons in such positions when necessary. c. The Elder Board shall approve termination of employment of all staff other than the Senior Pastor. 2. Short term (less than twelve months)staff pastoral and non-pastoral positions a. The Elder Board shall be empowered to hire temporary, interim, and other short term staff as deemed necessary and appropriate to conduct the business of the church. b. Provided budgetary allocations can be adjusted, these short term positions do not require membership approval. Section D. Ministry Teams 1. Roles & Responsibilities Ministry Teams shall be created and maintained to fulfill the mission, vision, duties and business of the church. The Pastoral Staff and Elder Board shall establish and be responsible for the Ministry Teams of the church. The Ministry Team s mission (purpose) will be drafted by the Pastoral Staff and Elder Board. Ministry Teams are expected to operate autonomously within their mission and budget. a. Ministry Team responsibilities include, but are not limited to: i. Initial development of the ministry vision, strategy, goals and objectives collaboratively with their Elder Liaison and /or the appropriate Pastoral Staff. ii. Periodic reviews of the ministry function to ensure it is in-line with the vision, strategy, goals and objectives with the Elder Liaison and/or Pastoral Staff. 1) Monthly reviews of goals and objectives 2) Semi-annual reviews of strategy 3) Annual review of vision iii. Creating sub-teams to appropriately match ministry objectives to the target audience (e.g. Men s Ministry & Women s Ministry as sub-teams of Adult Ministries) Sub-teams must be given a mission and budget from their Ministry Team. Sub-team leadership will be appointed by their Ministry Team Leader from the approved candidate list maintained by the Elder Board. Sub-teams will draft their vision, strategy, goals and objectives collaboratively with their Ministry Team Leader (not the Elder Liaison). Sub-teams will adhere to the same periodic reviews as the Ministry team except they will be held with their Ministry Team leader (not the Elder Liaison). iv. Drafting and submitting policies to the Elder Board for review and approval. Once finalized, all team policies will be maintained by the Church Office in a Church Policy Manual. Financial Teams will budget and manage expenditures within these guidelines. 1) Budgeting Create and submit a budget for the upcoming year according to the timeline provided by the Finance Team 2) Expenditures Complete and submit a monthly cash flow statement Finance Team pre-approval is required in the following circumstances: a) In the absence of regular monthly cash flow statements, budgeted items above $1,000 b) Budget line items over budget by $500 c) Unbudgeted items up to $5,000 (Above $5,000 requires membership approval.) d) Exception as noted under Article V Property, Section B Management of Church Assets, Trustee emergencies b. Ministry Team Leaders responsibilities include, but are not limited to: i. Ensuring the team activities and programs fulfill the mission. ii. Scheduling and facilitating regular team meetings. iii. Conducting the vision, strategy, goals and objective reviews with the Elder Liaison (in the case of a Pastoral Staff led ministry, the reviews will be held with the Senior Pastor or his designee). iv. Attending joint Elder Board and Ministry Team Leader meetings v. Annual Reports for the year in review shall be completed by each ministry team and ministry staff by the date determined by the office and made available by February 1 st. c. Ministry Team Elder Liaison s purpose is to be a liaison between the Elders and the Ministry Team. The responsibilities include, but are not limited to: i. Supporting and empowering the Team Leader ii. Ensuring the Ministry Team vision, strategy, goals and objectives enable fulfilling the church vision, strategy, goals and objectives iii. Serving as a resource and coach iv. Representing the interests, and advocating for, the Team at Elder Board meetings. v. Identifying and promoting emerging leaders 2. Functional Structure a. Teams will be comprised of membership approved and appointed team members. i. Only active members are eligible for the membership approved roles. ii. All team members, approved or appointed, are eligible to vote on team matters. iii. A quorum for Ministry Team Meetings shall be 50% of their membership. iv. Appointed team members may be members or regular attendees (non-church members) and are appointed by the team leadership as needed to fulfill their mission. 1) Appointees must be on the approved list maintained by the Elder Board. New candidates apply through the Elder Board. 2) Appointments are renewable annually at the discretion of the team leadership. v. Although actions and decisions may be determined on the Teams with a majority vote the deciding factor, unity of decision is STRONGLY encouraged as the best practice before any actions are taken or decisions made. vi. In order to ensure effective team function and prevent overburdening: 1) Members are limited to being Team Leader on only one team. 2) No one may serve on more than two ministry teams (membership approved or appointed). b. Leadership shall consist of three active church members approved at the Annual Meeting. i. The three leaders serve three year terms staggered by one year intervals and serve as Team Leaders and Secretary. 1) A leader whose term has expired may not succeed to that same team until one year has elapsed. 2) A one-time extension of one year is allowed if recommended by the Nominating Committee and approved at the Annual Meeting. 13 ii. If a position is vacated, the Nominating Committee shall recommend a replacement to the Elder Board for the remainder of that term. The Elder Board affirms the replacement through the end of the fiscal year at which time the replacement must be approved by the membership at the Annual Meeting for the remainder of the term. c. Pastoral Staff are responsible for leadership and development of Ministry Teams in their area of ministry. (E.g. Youth Pastor leading Youth Ministry Team or Administrative Pastor leading Trustees.) Pastoral staff team leaders are exempt from term limitations and Annual Meeting approvals. They will comply with all other requirements of Ministry Teams. 3. Qualifications a. Leadership qualifications are described in Phil 1:27; 2 Timothy 2:15; and 1 Thess 2:4 b. Subscribe and aspire to a servant leader model John 13:3-5 c. Have at least one year of active involvement in this church. ARTICLE V Property Section A. Voting on Property 1. Decisions regarding the purchase or disposal of any real property of the church shall be determined by a two thirds vote of members present at a Business Meeting. The Trustee Ministry will execute the decision. 2. Decisions regarding the disposal of personal property valued under $5000 shall be decided by the trustees and approved by the Elder Board. Higher property value disposal must be approved by the membership. Section B. Management of Church Assets 1. Financial Finance Team a. Budgeting Manage the budgeting process and collaborate with the Elder Board to ensure the budget aligns with the overall vision and direction of the church. b. Expenditures Approve expenditures up to $5,000. (See Article IV, Section D Ministry Teams, subsection 1v for specific guidelines.) 2. Physical Trustees a. Manage all property, real and personal, and any other assets given to or owned by the church. b. Draft and maintain an asset usage policy manual for the facility and other church assets (vehicles, equipment, etc.). This will be reviewed and approved by the Elder Board for inclusion in the Church Policy Manual. c. Respond to any emergency that arises and in extenuating circumstances, external to the normal budgetary process contacting the Finance Team ASAP. d. Procure and maintain church vehicles. e. Arrange for adequate insurance to cover all properties and possible liabilities as provided in their operating budget. ARTICLE VI Amendments Section A. Voting on Amendments 1. These BY-LAWS may be altered or amended by a two-thirds vote of the voting members present at any properly called Business Meeting of the church. 2. The proposed changes shall have been presented in written form to each member at least two weeks prior to such meeting.
