1 Revision working copy 1 7/27/2015 ZION EVANGELICAL LUTHERAN CHURCH SOUTH MILWAUKEE, WISCONSIN CONSTITUTION AND BYLAWS Revised: in progress PREAMBLE WHEREAS, the Apostle Paul sets forth, 1 Corinthians 14:40, that all things in the church shall be done in a fitting and orderly way, and WHEREAS, the history of the Christian church of all times shows that certain agreements and regulations are helpful to fulfill the purpose and attain the objectives of congregations; therefore be it RESOLVED, that we, a congregation of Evangelical Lutheran Christians, of the City of South Milwaukee and surrounding communities, Milwaukee County, Wisconsin, do herewith, in the name of the Triune God, Father, Son and Holy Spirit, and by subscribing our names hereto, adopt the following CONSTITUTION AND BYLAWS. CONSTITUTION Article C1 Name The name of this congregation shall be Zion Evangelical Lutheran Church of South Milwaukee, Wisconsin Article C2 Articles of Faith This congregation accepts and confesses all the canonical books of the Old and New Testaments as the verbally inspired and inerrant Word of God and submits to this Word as the only infallible authority of all matters of faith and life (2 Timothy 3:15-17). This congregation accepts and confesses all the symbolical books of the Evangelical Lutheran Church contained in the Book of Concord of 1580 as true statements of scriptural doctrine. They are:

The six Lutheran Confessions a) Dr. Martin Luther s Small Catechism b) Dr. Martin Luther s Large Catechism c) The Unaltered Augsburg Confession d) The Apology of the Augsburg Confession e) The Smalcald Articles f) The Formula of Concord Section 3 This congregation accepts and confesses these symbolical books without reservation, not insofar as, but because they are the presentation and explanation of the pure doctrine of the Word of God and a summary of the faith held by the Evangelical Lutheran Church. Section 4 No doctrine shall be taught or tolerated in this congregation which is in any way at variance with the Holy Scriptures and these symbolical books. Section 5 All controversies which may arise in this congregation shall be decided and adjusted according to this norm of doctrine and practice. Article C3 Purpose and Objective The continuing purpose of this congregation, as a gathering of Christians, is to serve all people in God s world with the gospel of Jesus Christ on the basis of the Holy Scriptures (Matthew 28:18-20; Mark 16:15). The primary objective of this congregation shall be to proclaim the law and the gospel in our congregation, community, and the world (2 Timothy 4:2), so that through the means of grace the Holy Spirit might: 1. lead sinners to repentance and faith in Jesus Christ for life and salvation (Luke 24:46-48). 2. strengthen believers in faith and sanctification (Romans 10:17).

3 Revision working copy 3 7/27/ equip believers as disciples, stewards, witnesses, and servants to share the gospel and live their faith (Ephesians 4:11,12; Matthew 5:16). Article C4 Church Affiliation This congregation shall affiliate itself only with a church body that holds to all the truths of God s Word in doctrine and practice and is bound to the confession of faith as set forth in Article II, if, and as long as, such a church body exists. Article C5 Church Membership - Classification 1.1 Baptized members of the congregation are those who have been baptized into the Christian faith in the name of the Triune God (Matthew 28:18-20; Mark 16:16). 1.2 Communicant members are those baptized souls who confess Jesus Christ to be their Lord and Savior and have stated their adherence to all the canonical books of the Old and New Testament, without qualification, as the only rule and norm of faith and life, and have declared their agreement with the chief parts of Christian doctrine as written in Dr. Martin Luther s Small Catechism. 1.3 Voting members are those male communicant members (1 Corinthians 11:3; 1 Corinthians 14:34; 1 Timothy 2:12) who have declared their agreement with this Constitution by their signatures and who have been received by the voters assembly of the congregation. - Privileges and Responsibilities God is love (1 John 4:8), and his love ever moves him to bless the members of his church with physical and spiritual gifts (1 John 3:1; James 1:17). In return for all of these undeserved blessings, we love him (1 John 4:19) and show that love with the works that we do. The exercise of such love we acknowledge as both a privilege and a responsibility. Some of the privileges and responsibilities to be noted are the following: 1. Our God has given us his Word, the one thing needful (Luke 10:42), which alone can save our souls and tell us how to live a God-pleasing life (2 Timothy 3:15-17). Consequently, members of his church will consider it a distinct privilege and a responsibility to a) Hear and receive the Word of God diligently (Luke 11:28). b) Provide and promote opportunities for Christian education (2 Peter 3:18). c) Bring up their children in the training and instruction of the Lord (Ephesians 6:4). d) Share the gospel with all people (Acts 1:8). 2. Our God has given us leaders who faithfully speak his Word (Hebrews 13:7; 13:17). Consequently, members of His church shall love, and support its pastors and teachers as they serve for the salvation of souls and the glory of God.

4 Revision working copy 4 7/27/ Our God has given us two sacraments: Holy Baptism and Holy Communion, which are means that our Lord uses to bring his grace to us. Consequently, members of his church will a) Have their children baptized early in life, for baptism now saves you also (1 Peter 3:21). b) Frequently partake of Holy Communion (1 Corinthians 11:23-26), if they are recognized as such who can properly examine themselves (1 Corinthians 11:28). Only those in our confessional fellowship of faith are permitted to commune at our altar. (Close Communion 1 Corinthians 1:10; 2 Corinthians 6:14-15; Romans 16:17). 4. Our God has given us the privilege and responsibility of being managers over a certain portion of his estate and assures us he will graciously bless our faithful management (2 Corinthians 9:6). Therefore members of his church will under grace a) Continually remember that all their possessions, time and abilities are really a trust from God. b) Cheerfully decide in their hearts (2 Corinthians 9:7) the portion of their possessions and time and abilities which they will regularly devote to the Lord for use in carrying out that which the congregation has made its concern, not omitting the work of the church-at-large (Matthew 28:19; 1 Corinthians 9:14; 16:2; 2 Corinthians 9:6-11; 1 Peter 4:10). c) If eligible, become voting members and regularly attend the voters meeting and lend the congregation their counsel and aid. 5. Our God has implanted within us Christians the new man, who desires to live righteously (2 Corinthians 5:17; Ephesians 4:24). Consequently, members of his church will a) Not live in obvious acts of the sinful nature (Galatians 5:19-21), but lead a Christian life (Galatians 5:22-25). b) When they have erred, permit themselves to be admonished and corrected by their fellow Christians in the spirit of Matthew 18: c) Refuse to hold membership in any organization whose teachings and practices conflict with the Word of God (e.g. lodges, Boy or Girl Scouts, or similar organizations with false religious confessions, services, or prayers) (John 5:23; John 8:31,32; 2 Corinthians 6:14-18; Matthew 5:34-37). Section 3 - Church Discipline and Excommunication Christian discipline shall be exercised in this congregation according to Matthew 18:15-18 toward those who err from the faith or who in other ways have given offense. Those members who become evident as impenitent sinners must be excommunicated. At all times this shall be done in the spirit of the gospel, namely, to regain the erring. In order that the congregation may be perfectly united in mind and thought (1 Corinthians 1:10), a unanimous vote of the voters assembly is necessary for excommunication. Section 4 - Termination of Fellowship Members, who persist in an error that in itself does not make the presence of saving faith impossible and who otherwise are not under church discipline (cf. Article C5

5 Revision working copy 5 7/27/2015, and Section 3) may be excluded from the fellowship of this congregation 1) after they have been evangelically admonished by their fellow Christians in the spirit of Matthew 18:15-16; and 2) when their adherence to error becomes public and a matter of divisiveness (Titus 3:10) and thus an offense and obstacle to the truth of God s Word (Romans 16:17). This action shall not be used for removing inactive members or as a substitute for the loving act of excommunication when impenitence is clearly evident. Section 5 - Loss of Rights and Privileges Those who have been excommunicated or excluded from the fellowship of this congregation lose all rights and privileges in the congregation and its property. Section 6 - Reinstatement When, by the grace of God, a person who has been excommunicated or whose fellowship has been terminated repents of his sin, he is to be reinstated with all former rights and privileges of this congregation (2 Corinthians 2:6-8). Section 7 - Right of Appeal A lay person who has been subject to disciplinary action by this congregation shall have the right to appeal the action. The lay person shall be notified in writing by the congregation of the right to appeal within 30 days of the completion of the disciplinary action. Such an appeal must be filed with the president of the district to which the congregation belongs within 60 days of receipt of notification from the congregation. Article C6 Powers and Rights of the Congregation In all matters of Christian faith and life the Word of God is supreme (Psalm 119:105). In all matters not decided by the Word of God the congregation, represented by the voters assembly, shall have the right of decision (Romans 12:10; 14:19; Ephesians 5:21). Section 3 The church council, any other elected committee or organization within the congregation, and any of its elected or appointed officers shall have no power or authority beyond that conferred upon them by the congregation. However, the church council in an emergency may act in the name and for the welfare of the congregation. Such action must be submitted for approval at the next voters meeting.

6 Revision working copy 6 7/27/2015 Section 4 No group or society may be organized within the congregation without the approval of the congregation. The congregation shall be assured that the aims of such a group are in complete harmony with the congregation s aims before it grants its approval (1 Corinthians 1:10; 12:25). Article C7 The Public Ministry The congregation has the exclusive right to call pastors, teachers, and staff ministers. The office of pastor in this congregation shall be conferred only upon such men who are qualified for this ministry and publicly and without reservation profess their acceptance of and adherence to Article C2 of this Constitution, and such acceptance and adherence shall be required of them in the call extended by the congregation (Ephesians 4:11-16; 1 Timothy 3:1-7; Titus 1:6-9). Section 3 The offices of teacher and staff minister in this congregation shall be conferred only upon such individuals who are qualified for these ministries and are in accord with the confessional standard of the congregation as set forth in Article C2 of this Constitution (Ephesians 4:11-16; Romans 12:6-8). Section 4 In case of a vacancy in the office of pastor, teacher, or staff minister the congregation shall notify the president of the district so that he may assist in temporarily filling the vacancy and in giving his good counsel in regard to the calling of a new pastor, teacher or staff minister. Article C8 Officers of the Congregation The first New Testament congregation at Jerusalem chose men full of the Spirit and wisdom (Acts 6:1-6) to aid the apostles in the administration of its affairs. This congregation shall choose officers and committee members with like qualifications. (1 Timothy 3:8-13).

7 Revision working copy 7 7/27/2015 The listing of the officers and their duties is given in the Bylaws. Section 3 The respect and esteem of the congregation are due these officers in the performance of their duties, and they shall be given its cooperation. They shall conduct themselves in a manner befitting their responsible office (1 Timothy 3:8-13). Article C9 Removal from Office If anyone who holds an office in the congregation willfully neglects his duty and upon due admonition does not amend, the congregation has the right and eventually the duty to remove him from office and to elect another in his place (1 Timothy 3:8-13). Sufficient and urgent causes for removing a pastor, a teacher, or a staff minister are persistent adherence to false doctrine, scandalous life, willful neglect of duty or established inability to perform the duties of his office (1 Timothy 3: 1-7; Titus 1:6-9). In such a case the advice and good counsel of the appropriate district officer shall be sought. Article C10 Meetings of the Congregation Meetings of this congregation shall be held at such times and in such manner as stated in the Bylaws. The meetings shall give this congregation the opportunity to hear, discuss and take necessary action in matters pertaining to the welfare of this congregation and of the church-at-large. Article C11 Separation or Dissolution If at any time a separation should occur in this congregation, the property and all equipment of this congregation shall remain with that portion of the membership which adheres to this Constitution, regardless of number. In the event of termination or dissolution of the congregation, the church council shall, after paying or making provision for the payment of all the liabilities of the congregation,

8 Revision working copy 8 7/27/2015 dispose of its remaining assets, if any, exclusively for the purposes of the congregation, by distributing, at the direction of the voters assembly, the remaining assets to (and only to) one or more organizations with which the congregation is in fellowship, which shall at the time qualify as exempt organization(s) (under section of the Internal Revenue Code of 1994 or the corresponding provision of any future United States Internal Revenue Code). Article C12 Repeals and Alterations Articles C2, C3, C4, C5 Sections 1-6, C6 Sections 1 and 2, C7 Sections 1-3, C8 Sections 1 and 3, C9 and C12 of this Constitution shall be and remain unalterable and irrepealable, inasmuch as they express clear, scriptural teachings. Proposals to alter or repeal any alterable or repealable article of this Constitution or to add an article shall be submitted in writing to the church council, and shall be publicly announced in all regular forms of communication and verbally in all weekend services for two (2) consecutive weeks immediately preceding a regular business meeting of the voters assembly and posted in the church during that period. Section 3 Such a proposal shall be discussed in the meeting in which it is presented and voted on in the next regular meeting of the voters assembly. Section 4 A two-thirds vote of the voting members present shall be required to alter or repeal any alterable or repealable article of this Constitution or to add an article hereto. Section 5 Proposals to amend the Bylaws shall be submitted in writing to the church council for its study and recommendation, and shall be publicly announced in all regular forms of communication and verbally in all weekend services for two (2) consecutive weeks immediately preceding a regular business meeting of the voters assembly and posted in the church during that period. Section 6 A two-thirds vote of the voting members present shall be required to amend the Bylaws

9 Revision working copy 9 7/27/2015 BYLAWS Article BL1 Deliberating Assemblies of the Congregation In His divine wisdom, God has created, and again called mankind to serve Him in unity. (Gen. 1:27-28, I Cor. 12, Eph. 4:1-6) Yet within this unity of service, He prepared a combination of callings unique for each individual (Gen. 2, I Cor. 12. Eph. 4: 7-13). One unique calling is that of headship. To a greater or lesser degree He has prepared and reserved the calling of headship for each male. (I Cor. 11:3) So that we may serve God, both in respect to His prepared calling of headship and to His ultimate design as a unified body, the congregation shall deliberate its service to God within two unique assemblies: 1. The Voters Assembly which shall reflect the calling of headship and consist of all members which have the right to vote. (cf. Article C5 ). This assembly shall retain the decisive authority of the congregation and shall meet at least quarterly to conduct its business as outlined in the By-Laws of this constitution. 2. The Congregational Assembly which shall reflect the unity of service and consist of all members who have confirmed their faith (cf. Article C5 ). This assembly shall meet at least quarterly to conduct its business as outlined in the By-Laws of this constitution Article BL2 Meetings of the Deliberating Assemblies - Regular Meetings 1.1 Announcement of these meetings shall be made in all regular forms of communication and verbally in all weekend services for two (2) consecutive weeks preceding the meeting. 1.2 All regular meetings shall be adjourned subject to the call of the chair. - Special Meetings 2.1 Special meetings may be called by the Church Council, the pastor, or written request of three (3) voting members to conduct important new business between regular Assembly Meetings. Only such business shall be transacted as that for which the meeting has been called. 2.2 Announcements for special meetings must be made in all regular forms of communication and verbally in all weekend services on at least one (1) weekend prior to the date of the meeting. 2.3 All meetings adjourned subject to the call of the chair may be reconvened by the president of the congregation after announcing it in all regular forms of communication and verbally in all weekend services on at least one (1) weekend prior to the date of the meeting.

10 Revision working copy 10 7/27/2015 Section 3 - Guidelines for All Meetings 3.1 The members present at any properly called and announced meeting constitutes a quorum. In all matters not already decided by the Word of God, the By-Laws of this constitution shall determine the rule with the exception of changes to this constitution (cf. Article C12). 3.2 No one shall bring to any meeting a charge or complaint against any member or against a pastor, a teacher, or a staff minister unless he has first admonished him in a Christian manner in the spirit of Matthew 18: Section 4 - Order of Business Where applicable the order of business shall be as follows: 1. Opening with a prayer 2. Reading and approval of minutes of the previous meeting(s) 3. Reception and dismissal of members 4. Reports 5. Elections 6. Old or unfinished business 7. Recommendations of the Church Council 8. New business 9. Adjournment with prayer - subject to the call of the chair Article BL3 The Voter s Assembly - Meetings 1.1 Regular meetings of this assembly shall be held quarterly on the fourth Monday in January, April, July, and October. 1.2 Meetings shall be conducted according to parliamentary procedure, insofar as it is in harmony with Christian love and serves the purpose of these meetings. - Assembly Rule 2.1 The rule of this assembly shall be by majority vote. 2.2 Only voting members present at the meeting shall have the right to vote. 2.3 Voting membership shall be restricted to male communicant members who have reached the age of Voting members shall sign, thereby indicating their acceptance, the official copy of the Constitution and Bylaws at the meeting of the congregation in which they were received or as soon thereafter as possible. Section 3 - Function 3.1 The assembly shall have final authority on all congregational matters.

11 Revision working copy 11 7/27/ The assembly shall ratify membership changes. 3.3 The assembly shall elect the Officers of the Congregation, members to the various elective committees, and members to the various delegate positions. 3.4 The assembly shall grant authority to enter into contracts on behalf of the congregation. 3.5 The assembly shall call all called workers. 3.6 The assembly shall adopt the annual budget. 3.7 The assembly shall reserve for itself any other business, not specifically referred to in this section that requires headship (cf. Article BL1) Article BL4 Meeting of the Congregational Assembly - Meetings 1.1 Regular meetings of this assembly shall be held quarterly on the fourth Monday in January, April, July, and October. 1.2 Meetings shall be conducted according to the consensus model, insofar as it is in harmony with Christian love and serves the purpose of these meetings. - Assembly Rule 2.1 The rule of this assembly shall be by unanimous consent. 2.2 Giving consent does not necessarily mean that the proposal being considered is one s first choice. Assembly members can vote their consent to a proposal because they choose to cooperate with the direction of the Assembly rather than insist on their personal preference. This full consent, however, does not mean that everyone is in full agreement. Consent must be genuine and cannot be obtained by force, duress or fraud. 2.3 A proposal not achieving unanimous consent within a reasonable time frame (as determined by the chairman) shall be tabled and taken up at the next Church Council meeting. Section 3 - Function 3.1 The assembly shall conduct all congregational business not reserved for the Voters Assembly (see Article BL3, Section 3). Article BL5 Elections - The Ballot The voters assembly shall elect at its annual election meeting the following:

Committee Membership a) The Elders b) Education Committee c) Finance Committee d) Property Management Committee e) Outreach Committee f) Ministry Planning Committee g) Communication Committee 3. Delegates a) Wisconsin Lutheran High School b) Shoreland Lutheran High School c) Wisconsin Lutheran Institutional Ministries - Terms of Office 2.1 Officers of the congregation shall be elected to a one (1) year term. No officer shall serve more than three consecutive full terms. He shall again be eligible for election one year after the expiration of his third full term of office. 2.2 The term of office for each elective committee member or delegate shall be two (2) years. No member shall serve more than two consecutive full terms. He shall again be eligible for election one year after the expiration of his second full term of office. 2.3 The term of one half of the elective committee members and delegates, if possible, shall expire each year. These expired terms are to be filled by election at the annual election meeting of the Voters Assembly. 1. For the Elders all replacements shall be members of the Voters Assembly (male). 2. For all other elective committees, one replacement shall be a member of the Voters Assembly (male) and the remaining replacements shall be members of the Congregational Assembly (male or female). Section 3 - Method of Election 3.1 A Nominating Committee shall be appointed annually by the president of the congregation, pending ratification by the Church Council. (cf. Article BL9, Section 5.2). 3.2 The Nominating Committee shall nominate candidates for the ballot in accordance with the procedures outlined in Article BL9 Section 5.2 of these bylaws. 3.3 Members of the Voters Assembly may nominate other candidates at the annual election meeting. Their names may be added to the ballot pending their personal consent. 3.4 The election shall be by ballot with a majority vote.

13 Revision working copy 13 7/27/ The newly elected committee members shall be invited to attend the last meeting of their respective committee prior to the new term in order to elect a chairman and recording secretary for the up coming term 3.6 The newly elected members shall be installed in a worship service at the start of the new term. 3.7 Any vacancy occurring in an elective position shall be filled by appointment of the president of the congregation, pending ratification of the Church Council and the Voters Assembly. Article BL6 Officers of the Congregation Officers shall be members of the Voters Assembly (cf.article BL1). - President 2.1 He shall preside at all the Voters Assembly, Congregational Assembly, Church Council, and Executive Committee meetings and insure that their decisions are implemented. 2.2 He shall, by virtue of his office, be a member of all committees. 2.3 He may sign checks on the treasury of the congregation in the absence of the treasurer. Section 3 - Vice-President 3.1 He shall preside at all meetings of the Voters Assembly, Congregational Assembly, Church Council, and Executive Committee in the absence of the president. 3.2 He shall, by virtue of his office, be a member of all committees. 3.3 He shall serve in the capacity of the president of the congregation in the event that the president is unavailable for an extended period of time. Section 4 - Recording Secretary 4.1 He shall keep accurate and permanent records of the proceedings of all Voters Assembly, Congregational Assembly, Church Council, and Executive Committee meetings. 4.2 He shall insure that an up-to-date membership list (voting, communicant, and baptized) is maintained. 4.3 He shall be custodian of the records of all meetings of the congregation and of all reports or other papers placed in his care, keeping them in the congregation s files. Such records and papers shall be surrendered by him to his successor, when elected.

Elective Committees and Delegates - Membership 1.1 Only such members of the congregation who have reached their eighteenth (18 th ) year may be members of an elective committee. 1.2 The pastor(s) and president by virtue of their offices are members of all committees and are to be informed of all meetings of all committees so that they may attend if they desire to do so. - General Responsibilities 2.1 Each committee shall elect a chairman and a secretary from its members for a one (1) year term. The chairman must be a member of the Voters Assembly (male). This election shall take place at the last meeting before the new term begins by a majority vote. 2.2 Each committee shall hold monthly meetings with the exception of the Finance Committee which shall meet as a whole, subject to the call of the chair. 2.3 Each committee shall establish and maintain records of its activities. 2.4 Each committee shall maintain a policy and procedure manual which shall describe in more detail how its responsibilities listed below will be carried out (cf. Sections 3 10 of this Article). Section 3 - The Elders 3.1 The Elders shall consist of six (6) members. 3.2 The Elders shall see that proper decorum is maintained at all church services; appoint, instruct, and supervise ushers; and assist the pastor(s) in the preparation for and the distribution of Holy Communion and the administration of Holy Baptism. 3.3 The Elders shall consider complaints and grievances of members of the congregation if Mathew 18:15-16 If your brother or sister sins, go and point out their fault, just between the two of you. If they listen to you, you have won them over. But if they will not listen, take one or two others along, so that every matter may be established by the testimony of two or three witnesses. (NIV) has been fully observed; and shall report to the congregation such members who must be dealt with in accordance with Matthew 18:17-18 If they still refuse to listen, tell it to the church; and if they refuse to listen even to the church, treat them as you would a pagan or a tax collector. Truly I tell you, whatever you bind on earth will be bound in heaven, and whatever you loose on earth will be loosed in heaven. (NIV). 3.4 The Elders shall make every effort in helping the pastor(s) to encourage members who have been negligent in church and/or communion attendance, or in any other way have not been in regular fellowship, to repent their sinful ways and fully enjoy the rights and privileges of their membership.

15 Revision working copy 15 7/27/ The Elders shall assist the pastor(s) in arranging for pulpit assistance, special services, and guest speakers, especially during vacancies. 3.6 The Elders shall oversee all music ministries during every worship service. 3.7 The Elders shall perform such other duties that may be referred to them. Section 4 - The Education Committee 4.1 The Education Committee shall consist of six (6) members. 4.2 The committee shall be concerned with providing Christian learning opportunities for the members of the congregation of all age levels. In this capacity it shall oversee the functions of the Cradle Roll, Early Learning Center, Sunday school, Lutheran Elementary School, Bible information and confirmation classes, adult Bible classes, and all available learning opportunities for the congregation. 4.3 The committee along with the pastor(s) shall approve all materials distributed to the infants in the congregation under the Cradle Roll program, and facilitate their succession into other Christian learning opportunities. 4.4 The committee, in cooperation with the Sunday school superintendent and the pastor(s), shall assure that a staff of capable Sunday school teachers is available. 4.5 The committee, in cooperation with the Early Learning Center director and pastor(s), shall seek to obtain and use materials that most closely conform to our doctrine and practice (cf. Section 5 - The Finance Committee 5.1 The Finance Committee shall consist of four (4) members. 5.2 The committee shall use the best business methods of handling, safeguarding, recording, and reporting all finances. 5.3 The committee shall be responsible for the counting and recording of all monies received, and prepare same for bank deposit. 5.4 The committee shall be responsible for the safe-keeping of all monies until they are deposited in the bank. 5.5 The committee shall be responsible for the accurate recording of the contributions of the individual members on a monthly basis, and shall provide annual statements to each contributor. 5.6 The committee shall examine the circumstances and make corrections, if necessary, when discrepancies occur in the statements of individual contributors. 5.7 The committee shall oversee the duties of the Treasurer. 1. The Treasurer shall receive all monies from the Financial Secretary, give a receipt for, keep an accurate record of, and disburse according to the instructions of the Church Council. 2. The Treasurer shall provide a report for the regular meetings of the Church Council, Congregational Assembly, and Voters Assembly. 3. The Treasurer shall submit the books for an annual audit and at such other times as the Voters Assembly may direct. 4. The Treasurer shall be a non-voting member of the Church Council. 5.8 The committee shall oversee the duties of the Financial Secretary. 1. The Financial Secretary shall receive all monies for the congregation, keep an accurate account of, and deliver all monies to the treasurer with instructions for their intended purpose, and receive proper receipts. 2. The Financial Secretary shall provide a report for the regular meetings of the Church Council, Congregational Assembly, and Voters Assembly. 3. The Financial Secretary shall submit the books for an annual audit and at such other times as the Voters Assembly may direct. 4. The Financial Secretary shall be a non-voting member of the Church Council. Section 6 - The Property Management Committee 6.1 The Property Management Committee shall consist of four (4) members. 6.2 The committee shall arrange for adequate insurance coverage to protect the congregation against all losses and damages, and present their recommended coverage to the Church Council for approval.

17 Revision working copy 17 7/27/ The committee shall organize and oversee any repairs or improvements to any congregation owned properties. 6.4 The committee shall establish and administer rules for the use of any congregation owned equipment and premises. Such rules shall be subject to the approval of the Church Council and ratification by the Voters Assembly. 6.5 The committee shall insure that custodial services are in place for the congregation owned facilities (excluding residential) and shall present their recommendations concerning these services to the Church Council. 6.6 The committee shall regularly inspect all the congregation owned properties to determine needed repairs and improvements. They shall present their recommendations to the Church Council, and upon approval, shall insure that they are completed. 6.7 The committee shall report the need for emergency repairs to the Executive Committee for immediate approval, and shall insure that they are completed. Section 7 - The Outreach Committee 7.1 The Outreach Committee shall consist of four (4) members. 7.2 The committee shall work to connect those who do not know Christ as their Savior to Christ and the community of believers. 7.3 The committee shall be responsible for the overall image of the church in our community. 7.4 The committee shall keep themselves informed of the home and world mission work of our Synod and report these activities and opportunities to the congregation. 7.5 The committee shall encourage delegate participation in, attendance at, and reporting of activities of the Milwaukee Federation of WELS Churches according to federation s constitution. 7.6 The committee shall encourage delegate participation in, attendance at, and reporting of activities of the Wisconsin Lutheran Institutional Ministries, Inc. according to the ministries constitution. Section 8 - The Ministry Planning Committee 8.1 The Ministry Planning Committee shall consist of four (4) members. 8.2 The committee shall investigate, analyze, and prepare recommendations for the Church Council on matters regarding the current and future needs to support the ministry work of the congregation. Section 9 - The Stewardship Committee 9.1 The Stewardship Committee shall consist of four (4) members. 9.2 The committee shall develop and carry out scripturally based programs designed to encourage and educate the congregation to manage their time, abilities, and financial

18 Revision working copy 18 7/27/2015 resources for the purpose of supporting the work of the congregation and home and world missions. 9.3 The committee shall objectively analyze the overall stewardship efforts and goals and report their findings to the congregation. 0 - The Communication Committee 10.1 The Communication Committee shall consist of four (4) members The committee shall be diligent in protecting sensitive congregation information and privacy The committee shall be responsible to oversee the development and maintenance of the internal and external communication channels of the congregation. This shall include, but not be limited to: 1. Printed media a) Bulletins b) Newsletters 2. Electronic Media a) E-News b) Websites c) Social media 3. Centralized data access a) Calendars of events, fellowship activities, and facility usage b) Church membership details 10.4 The committee shall maintain a list of preferred vendors to aide in the promotional efforts of the church and schools (e.g. business cards, flyers, brochures, banners, etc ) The committee shall assist other committees and organizations with their communication efforts as required The committee shall schedule and conduct an orientation meeting for newly elected officers and elective committee members. 1 - Duties of Elective Committee Officers 11.1 Chairman 1. He shall preside at all meetings and see that they are conducted in an orderly manner. 2. He shall, in consultation with the pastor(s), prepare the agenda for each meeting. 3. He shall represent the committee on the Church Council and shall relate recommendations from the committee to the Church Council for their approval and action. In the event of the inability of a chairman to attend a Church Council meeting, he shall appoint a member of his committee to serve in his behalf at that Church Council meeting. 4. He shall relay the business assigned to the committee by the Church Council or

He shall be responsible for submitting suggested amounts, plans, and/or justifications to the budget committee for the portion of the budget for which his committee is responsible. 6. He shall, in the event of an absence, appoint a member of his committee or a pastor to act as chairman Secretary 1. The secretary shall accurately record all proceedings of the meeting of the committee. The minutes shall reflect the date and time of the meeting, members present, presiding chairman, business discussed, and action taken. 2. The secretary shall maintain a file of minutes, records, and correspondence received by the committee. 3. The secretary shall provide a type written copy of the previous meeting minutes to the chairman and pastor(s) one week prior to the next scheduled meeting. 4. The secretary, in event of an absence, shall notify the chairman to appoint an acting secretary for the meeting. Article BL8 The Executive Committee - Membership 1. The pastor(s) (non-voting) 2. The president 3. The vice-president 4. The recording secretary 5. The chairman of the Elders 6. The chairman of the Finance Committee - Function 2.1 The Executive Committee shall control the corporate property according to the direction given by the congregation and according to the laws of the State of Wisconsin. 2.2 The committee shall approve all documents on behalf of the congregation. Each document, in order to be valid, must bear the signatures of at least two (2) officers, preferably the president and recording secretary. 2.3 The committee shall represent the congregation in all legal matters as directed by the congregation. 2.4 The committee shall arrange for the safe custody of all valuable documents and papers of the congregation. 2.5 The committee shall, after consulting with the pastor(s), act in cases of emergencies arising between meetings of the Church Council.

The chairman of the Communication Committee 8. The principal (non-voting) The president of the congregation is chairman of the Church Council, and the recording secretary of the congregation is its secretary. Section 3 - Meetings 3.1 Regular meetings of the Church Council shall be held monthly. 3.2 Special meetings shall be called by the president, or at the request of the Executive Committee or the pastor(s). 3.3 No meeting of the Church Council shall be called to transact business without the pastor(s) knowledge. Section 4 - Function 4.1 The Church Council shall act on all matters referred to it by the Voters Assembly or Congregational Assembly, or in the case of an emergency arising between Assembly meetings. 4.2 The council shall refer all applicable items to respective committees for recommendations. 4.3 The council shall review and act on the recommendations of the various committees, and, where necessary, present such recommendations to the Voters Assembly or Congregational Assembly. 4.4 The council shall offer advice to the various committees when requested. 4.5 The council shall prepare the order of business for the quarterly and special Voters or Congregational Assemblies. 4.6 The council shall prepare the annual budget for the congregation and present it to the Voters Assembly for adoption. 4.7 The council shall, as sponsors of the annual budget, assure operations stay within limitations by reviewing monthly financial reports and approving all expenditures. 4.8 The council shall report any abnormal expenditure over budget limitations to the Voters Assembly.

21 Revision working copy 21 7/27/ The council shall insure an annual audit of all financial books of the congregation is conducted The council shall ratify the president s appointment of the Nominating Committee from the retiring members of all elective committees The council shall approve the members nominated by the Nominating Committee before presentation to the Voters Assembly for election The council shall periodically review this constitution for necessary amendments, taking action in accordance with the procedures outlined in this constitution to effect such changes. Section 5 - Subcommittees of the Church Council 5.1 Auditor(s) 1. Each year the Church Council shall arrange for a qualified person or persons to audit all financial records of the congregation for the previous year. 2. The annual audit shall include the books of the financial secretary, the treasurer of the congregation, the church office, the school office, and the Early Learning Center. 3. The results of the audit shall be reported to the Congregational Assembly at the second meeting of the new financial year. 5.2 Nominating Committee 1. The Nominating Committee shall be comprised of four (4) members, appointed by the president from the retiring members of the various elective committees of the congregation. 2. The committee shall elect a chairman from its members. The chairman must be a member of the Voters Assembly (male). The chairman shall report through his respective elective committee chairman the committee s progress to the Church Council. 3. The committee shall nominate candidates who have reached their eighteenth (18 th ) year and are of such Christian stature as outlined in Article C8 4. The committee shall nominate at least two (2) candidates, if possible, to replace each retiring officer of the congregation, elective committee member, and delegate. 5. The committee shall obtain the personal consent of each nominee. 6. The committee shall present the completed slate of nominees to the Church Council for approval. 5.3 The president, with the concurrence of the church council, shall appoint other committees as needed (e.g. Budget Committee, Salary Review Committee, etc.)

22 Revision working copy 22 7/27/2015 Article BL10 Reception into Membership Persons who wish to be received into membership in this congregation {other than through the sacrament of holy baptism or rite of confirmation} shall bring their request to the attention of the pastor or the Elders. The Elders shall honor the request when accompanied by a letter of transfer, a recommendation from a sister congregation, or a profession of faith, provided that qualifications for membership, as specified in Article C5 of this Constitution, have been met. Such action of the Elders shall be ratified at the next regular or special meeting of the voters assembly. Notice of such receptions shall be reported to the entire congregation. Since reception into membership signifies acceptance of and submission to this Constitution and Bylaws, each individual or family shall be given a copy of the same prior to their reception so that they may become familiar with its provisions. Article BL11 Transfer, Release, or Removal from Membership Those desiring a transfer or release from membership shall bring their request to the attention of the pastor or the Elders for action to be ratified at the next meeting of the voters assembly. Transfer of membership shall apply only to those who desire membership in a congregation which is in agreement with this congregation in doctrine and practice. Release from membership shall apply when affiliation is sought with those denominations not in agreement with this congregation in doctrine and practice. Section 3 Members with whom the congregation has been unable to communicate, despite diligent efforts to do so, may be removed from the membership list. Section 4 Members released, transferred, or removed have no further rights in this congregation and its property.

23 Revision working copy 23 7/27/2015 Article BL12 The Office of the Pastor The pastor(s) shall possess the ability to perform the duties of the pastoral office and shall adorn their high office with a life in full accord with the Holy Scriptures. The pastor(s) shall not practice pulpit, altar, or prayer fellowship with pastors or congregations not of our Lutheran faith and fellowship. Section 3 It is the duty of the pastor(s) to preach the Word of God, to baptize, to instruct children and adults in the truths of Christianity as set forth in Luther s Small Catechism, to confirm those eligible for confirmation, to administer the Lord s Supper, to admonish the erring, to visit the sick, and to officiate at Christian weddings and funerals. Section 4 The pastor(s) as shepherd(s) of the flock shall guide the affairs of the congregation in such a manner as to further the glory of God and the welfare of the congregation. The pastor(s), by virtue of their office, are members of all organizations and committees within the congregation and shall act as their spiritual advisors. Further, they shall see that congregational meetings are conducted decently and in order. Article BL13 Christian Education It shall be the duty of all members to the fullest possible extent use and promote the opportunities for Christian education which are offered by the congregation. All hymnals, religious textbooks, forms, etc., used in the congregation s school(s) must conform to Article C2. Since, at the present time, it is impossible to obtain secular textbooks entirely free from error, it is the duty of the Board of Education in cooperation with the teachers and the pastor(s) to seek to obtain such books that most nearly conform to our doctrine and practice, and to be constantly on guard when instructing that our children be made aware of the errors and be shown the truth.

24 Revision working copy 24 7/27/2015 Section 3 All teachers are to 1. perform the functions of their offices faithfully and conscientiously. 2. comply with the instructions received from the Board of Education. 3. conduct their classes according to the prescribed daily program and the elementary school curriculum. Section 4 - The Sunday School 4.1 A Sunday school shall be maintained and encouraged by the congregation. Its principal concern shall be to instruct the children in the doctrine unto salvation through faith in Christ Jesus according to the Holy Scriptures and using an acceptable published Sunday school course and Luther s Small Catechism as its guide. 4.2 The Sunday school director, a teacher or a competent layperson appointed by the pastor(s) and the Board of Education, shall be in charge of all activities of the Sunday school and its staff under the direction of the pastor(s) and the Board of Education. Section 5 - The Early Learning Center 5.1 The Early Learning Center, maintained by the congregation, shall always be a Lutheran Early Learning Center. Its principal concern shall be to share with children and parents the love of our Lord and Savior on a daily basis by promoting growth in the following developmental areas: spiritual, social, intellectual, physical and emotional. 5.2 The Early Learning Center director shall be in charge of all activities of the Early Learning Center and its staff under the direction of the pastor(s) and the Board of Education. Section 6 - The Christian Day School 6.1 The Christian Day School, maintained by the congregation, shall always be a Lutheran Elementary School. Its principal concern shall be to instruct its pupils in the doctrine unto salvation through faith which is in Christ Jesus according to the Holy Scriptures and using Luther s Small Catechism as its guide. Moreover, it shall be the purpose of the school to provide thorough training in all elementary branches of knowledge. 6.2 The principal, a male teacher called or appointed by the congregation, shall be in charge of all activities of the children and the faculty under the guidance of the Board of Education as well as the pastor(s). The principal shall attend all Board of Education meetings as an advisory member. He shall make his report to the board and bring requests which have originated in the faculty meetings. The teachers shall attend board meetings when requested. The principal, by virtue of his office, is a member of the Church Council.
