1 BYLAWS of Thomasville Road Baptist Church Tallahassee, Florida ARTICLE I. CHURCH MEMBERSHIP Thomasville Road Baptist Church (Church) is an autonomous, congregational Baptist Church under the lordship of Jesus Christ. The Membership retains unto itself the exclusive right of self-government in all phases of the spiritual and temporal life of this Church. The Membership reserves the exclusive right to determine who shall be Members of this Church and the condition of such Membership. Section A. Membership 1. Candidacy Any person may become a candidate for Membership in this Church. All such candidates presented to the Church at any church service for Membership as provided herein, and meeting the following criteria, shall be received into Membership: A. Presentation in one of the following ways: 1) By profession of faith in the Lord Jesus Christ and baptism according to the policies of this Church. 2) By promise of a letter of recommendation from another Baptist Church. 3) By statement of faith, indicating conversion and baptism as understood and practiced by this Church; and B. Satisfactory completion of a new Member course, including the New Member s Covenant; and C. Without objection by any Member of the Church. In the event of objection, the candidate s application shall be referred to the Senior Pastor and Deacons for investigation and for recommendation to the Church within thirty (30) days. 2 voting shall be required to elect the candidate to Membership. Written ballots for elections shall be counted by at least three (3) Members appointed by the Moderator of the meeting. 2. Rights of Members A. Every Member of the Church is entitled to vote at all elections and on all questions submitted to the Church in conference, provided the Member is present or provision has been made for absentee balloting. B. Every Member of the Church is eligible for consideration by the Membership as a candidate for a leadership position in the Church. C. Every Member of the Church may participate in the ordinances of the Church as administered by the Church. 3. Duties of Members It shall be the duty of the Members to support the Church in fulfilling its purposes as defined in the Constitution and these Bylaws. 4. Termination of Membership Membership shall be terminated in the following ways: (1) death of a Member; (2) dismissal by letter to another Baptist church; (3) exclusion by action of this Church; or (4) erasure upon request or proof of membership in a church of another denomination; or (5) inactivity of Member (excluding approved reasons such as illness, military service, educational pursuits or employment responsibilities) or no returned communication once initiated by the Church Leadership or office staff for at least one year.. 5. Discipline of Members Formatted: Indent: First line: 0" It shall be the practice of this Church to emphasize to its Members that every reasonable measure will be taken to assist any troubled Member. Pastors, other members of the Church staff, Members and Deacons are available for counsel and guidance. The attitude of Members toward one another shall be guided by a concern for redemption rather than punishment. 3 Should some serious condition exist which would cause a Member to become a liability to the general welfare of the Church, the Pastors and the Deacons will take every reasonable measure to resolve the problem in accord with Matthew 18. If it becomes necessary for the Church to take action to exclude a Member, a two-thirds vote of the Members present and voting at a business meeting is required; and the Church may proceed to declare the person to be no longer in the Membership of the Church. All such proceedings shall be conducted in a spirit of Christian kindness and forbearance. The Church may restore to Membership any person previously excluded, upon request of the excluded person, and by two-thirds vote of the Members present and voting upon evidence of the excluded person s repentance and reformation. Watchcare Status PPersons who intend to reside in the Tallahassee area for a limited length of time, for instance, college students, may be admitted into Watchcare status upon statement of their membership in a likeminded church of another city. Those in Watchcare status shall be ineligible to vote or to serve in elected positions. Upon relocation to another city or area, the person s name shall be erased. CHURCH OFFICERS AND COMMITTEES All who serve in leadership positions in the Church, including Ministry Team Leaders and those who serve on Church Committees, shall be Members of the Church. General Church Leadership Leadership of this Church shall be the Senior Pastor, Pastors, Associate Pastors, the Deacons, a Moderator, a Clerk, a Treasurer, and Trustees/Corporate Officers. 1. Senior Pastor The Senior Pastor of the Church shall be an ordained Southern Baptist minister. The Senior Pastor is responsible for leading the Church to function as a New Testament church. The Senior Pastor will lead the congregation, 3

4 Ministry Teams, Pastors, Associate Pastors and the Church staff to perform their tasks. The Senior Pastor is leader of Pastoral ministries in the Church and works with the Deacons, Pastors and Associate Pastors to: (1) lead the Church in the achievement of its mission; (2) proclaim the gospel to believers and unbelievers; and (3) care for the Church s Members and other persons in the community. A Senior Pastor shall be chosen and called by the Church when a vacancy occurs. The election shall take place at a meeting called for that purpose, of which at least one week s public notice has been given. Election of the Senior Pastor by the Church shall be by secret ballot, an affirmative vote of three-fourths of those present and voting being necessary for a choice. The Senior Pastor, thus elected, shall serve until the relationship is terminated by request of the Senior Pastor or the Church. The Senior Pastor shall preside at meetings of this Church and serve as Moderator in all business meetings in keeping with the rules of order authorized by the Bylaws. Lead Pastor Should the Senior Pastor become incapacitated for any reason and unable to perform his duties, the Personnel Committee shall select from the existing pastoral staff a Lead Pastor. The Lead Pastor shall perform assigned duties of the Senior Pastor until such time as the Senior Pastor is able to return to his duties. In addition, the Lead Pastor shall be responsible for making decisions and supervising staff during the interim period. This procedure will also be used to designate a Lead Pastor prior to the Interim Pastor Search Committee filling the pulpit upon a vacancy created by the departure of the Senior Pastor. B. Termination of the Senior Pastor When the Senior Pastor or the Church desires to dissolve the pastoral relationship, a notice of at least one month shall be given, or special arrangements may be made agreeable to both parties. Should the Deacons find, in the best interest of the Church, that the termination of the Senior Pastor is essential, they shall recommend such action at a meeting called for that purpose, of which at least one week s public notice has been given. Three-fourths of the secret ballots cast shall be necessary for termination. The Moderator for this meeting shall be 4

5 elected by majority vote and shall be someone other than the Senior Pastor, a Pastor or an Associate Pastor. Except in instances of gross misconduct by the Senior Pastor so excluded from office, the Church will compensate the Senior Pastor with not less than one-twelfth of his total annual compensation. The termination shall be immediate and the compensation shall be rendered in not more than thirty (30) days. C. Interim Senior Pastor Search Committee The Interim Senior Pastor Search Committee shall recommend an Interim Pastor to the Church. This Committee will be selected by the Deacons and will consist of five (5) members and one alternate. The Personnel Committee and Interim Senior Pastor Search Committee shall determine the compensation for the Interim Pastor. The Interim Pastor shall not be considered for the Senior Pastor of the church. D. Senior Pastor Search Committee The chairperson of the Senior Pastor Search Committee shall be a Deacon selected for nomination by the Church Nominating Committee. The Deacons shall select four (4) members at large and two (2) alternates representative of the Church Membership. Any Member has the privilege of making other nominations for the Senior Pastor Search Committee according to the policy established by the Church. The Senior Pastor Search Committee shall bring to the consideration of the Church only one candidate at a time. 2. Pastors, Associate Pastors and other full-time ministerial positions Pastors, Associate Pastors and other full-time ministerial positions shall be called and employed as the Church determines the need for such offices. A job description approved by the Personnel Committee shall be prepared when the need for another Pastor, Associate Pastor or other ministerial position is determined. Pastors, Associate Pastors and other ministerial positions shall be recommended to the Church by the Personnel Committee and called by Church action. At the time of resignation at least two weeks notice shall be given to the Church. The Church may vote to terminate the employment of personnel in such positions upon recommendation of the Personnel Committee, such termination being immediate. Except in instances of gross misconduct, 5

6 the Church shall compensate such terminated person with not less than one-twelfth of their total annual compensation. 3. Other personnel Other personnel, as determined by the Church, including part-time ministerial positions, shall be employed and/or terminated by the supervising Pastor in consultation with the Personnel Committee. With the exception of the Senior Pastor and full-time ministerial staff, other personnel, as determined by the Church, but not limited to parttime ministerial positions, non-ministerial positions, and temporary positions, shall be employed and/or terminated by the supervising Pastor in consultation with the Senior Pastor and the Personnel Committee. Formatted: Indent: Left: 0.25", First line: 0" 4. Deacons In accordance with the meaning of the Word and the practice of the New Testament, Deacons are to be servants of the Church. Their task is to serve with the Senior Pastor, Pastors, Associate Pastors and staff in performing the pastoral ministry tasks of: (1) leading the Church in the achievement of its mission; (2) proclaiming the gospel to believers and unbelievers; and (3) caring for the Church s Members and other persons in the community. There shall be elected a minimum of 26 persons to serve as co-ministers with the Church ministerial staff. A Deacon Screening Committee, consisting of five active Deacons, shall be selected by the Deacons and recommended to the Church for election. The Deacon body must approve the minimum examination requirements to be used by this Committee each year. A. Names of potential Deacons shall be recommended to the Deacon Screening Committee in writing by Members of the Church. This will be done by the use of a recommendation form made available in the worship center. In addition to this form, a list of Deacon qualifications also will be available. B. The Deacon Screening Committee shall review all recommendations, including a list of all ordained Deacons not currently serving, and conduct a preliminary examination of each person as to their qualifications based on applicable scripture and personal experience. C. The subsequent Deacon candidates, with their spouses (if married), shall appear before the Deacon Ordination Council composed of Senior 6

7 Pastor, Deacon officers, and chairperson of the Deacon Screening Committee to be questioned as to qualifications and charged with responsibilities concerning the office of Deacon. The Deacon Ordination Council will supervise the examination and training period for all Deacon candidates. D. The Deacon Ordination Council shall present those Deacon candidates to the Church for election who meet the scriptural qualifications and have either: 1) Previously served as Deacon at Thomasville Road Baptist Church with no more than a three year interruption in service and have completed all current Deacon training requirements; or 2) Previously been ordained as a Deacon at Thomasville Road Baptist Church and has been actively involved in a ministry as determined by a unanimous vote of the Deacons at a scheduled Deacons meeting; or 3) Successfully served as a yoke fellow or mentor (Deacon candidate) during an examination and training period of not less than six months immediately prior to presentation to the Church for election. E. The election of Deacons shall be at a business meeting. An election shall be held to fill vacancies and to add to the Deacons such numbers as the church size warrants. There shall be no obligation to elect a Church Member that has served as a Deacon in another church. If such individual is elected to serve as a Deacon, his ordination by another church of like faith and order may be accepted by this Church, provided the other requirements for Deacon are met. F. We believe the Deacon ordained and elected by the Church is accountable to the Church for his ministry and service. He should, unless providentially hindered, attend all Deacons meetings and participate in ministry as outlined in the Deacon ministry plans of Thomasville Road Baptist Church as adopted or revised by the Deacon body. Any Deacon unable or unwilling to perform these duties shall be counseled and encouraged by the Deacon body, and if necessary placed on inactive status by a two-thirds vote of the active Deacon body. The chairman of Deacons will give a summary report of Deacons ministry activities at each business meeting. 5. Moderator 7

8 The Senior Pastor shall serve as Moderator. In the absence of the Senior Pastor, the Chairperson of Deacons shall preside; in the absence of both, the Clerk shall call the Church to order and preside for the election of an acting Moderator. 6. Clerk The Church shall elect annually a Clerk as its clerical officer. The Clerk shall be responsible for keeping a suitable record of all official actions of the Church, except otherwise herein provided. The Clerk shall be responsible for keeping a register of names of Members, with dates of admission, dismissal, death, or erasure, together with a record of baptisms. The Clerk shall issue letters of dismissal voted by the Church, preserve on file all communications and written official reports, and give required notice of all meetings where notice is necessary, as indicated in these Bylaws. The Clerk shall be responsible for preparing an annual report of the Church to the association or convention as applicable. Some clerical responsibilities may be delegated to a Church secretary who will assist the elected Clerk. All Church records are Church property and shall be kept in the Church office when an office is maintained. 7. Treasurer The Church shall annually elect a Church Treasurer, who shall have the duty of receiving, preserving, and paying out upon receipt of vouchers approved and signed by authorized personnel, all money, or things of value paid or given to the Church, keeping at all times an itemized account of all receipts and disbursements. Church staff may be assigned some of the Treasurer s responsibilities. 8. Trustees/Corporate Officers The Church shall elect three or more Trustees to serve as legal representatives and corporate Officers for the Church. They shall hold in trust the Church property. Upon a specific vote of the Church authorizing each action, they shall have the power to buy, sell, mortgage, lease, or transfer any Church property. When the signatures of Trustees are required, they shall sign legal documents involving the sale, mortgage, purchase, or rental of property, or other legal documents related to Church-approved matters. Trustees shall be elected annually and shall elect a President/Chair, Vice President/Vice-Chair, and Secretary. 8

9 Section B. Church Committees The Committees of this Church shall be as stated in these Bylaws and such other regular and special Committees as the Church shall authorize. Unless otherwise specified within these Bylaws, all Church Committee members shall be recommended by the Nominating Committee and elected by the Church no later than the last quarterly business meeting of the calendar year to begin serving on January 1 of the following year. All Committee members shall be elected annually. Continued service on a primary committee shall be limited to six (6) years, after which the Member must be off for one (1) year before consideration for service on the same committee. As far as possible, Members shall be asked to serve on only one Committee annually. The Senior Pastor shall be an ex-officio member of each Committee. A Pastor shall be an ex-officio member of Committee(s) related to the job assignment. Congregational responsibility is delegated to committees in their areas: Formatted: Indent: Left: 0.25" 1. The Nominating Committee shall consist of a chairperson and four (4) members at large, nominated by the Deacons on or before March 1 of each calendar year, and duly elected by the Church. The Committee shall be active from April 1 to March 31 of the succeeding year. It shall be the duty of this Committee to nominate for action by the Church, not later than October 1 of each year, and then as needed during the year, suitable and well-qualified persons to serve in leadership positions for the ensuing year, and as soon as possible to nominate suitable persons to serve as workers in Church programs. The Nominating Committee coordinates the staffing of all Church leadership positions filled by volunteer workers, unless otherwise specified herein. Persons considered for any such positions shall first be approved by the Nominating Committee before they are approached for recruitment. The Nominating Committee shall present to the Church for election all who accept the invitation to serve. 2. The Stewardship Committee shall consist of five (5) members whose task will be to support Church ministries through planning, preparing, promoting, and managing the Church s operating budget. This Committee shall develop policies for sound financial accounting, and develop and oversee the financial matters of the Church. At least once every three (3) years, an independent review and agreed upon procedures of the Church shall be performed. An internal audit team would be appointed to perform periodic reviews at the direction of the Stewardship Committee. All checks shall be signed by two persons specified by the Stewardship Committee. 9

10 3. The Personnel Committee shall consist of five (5) Members of the Church at large, one of whom shall serve as the chairperson; plus the Stewardship Committee Chairperson and the Chairman of the Deacons. No member of this Committee may be related to any Church staff member. Relative is to be defined as husband, wife, mother, father, sister, brother, son or daughter. This committee shall: A. Establish or delete all full and part-time positions. B. Recruit and recommend, with the Senior Pastor, the calling of Pastors, Associate Pastors and other full-time ministerial personnel to the Church for action at a business meeting. Other personnel, except Senior Pastor and full-time ministerial staff, may be employed and terminated by the supervising ministerial staff in consultation with the Senior Pastor and the Personnel Committee. C. C. Verify that all new personnel being recommended for employment by the Church or by one of its ministries are provided with a copy of the 2000 Baptist Faith and Message and, prior to being approved for employment, certifies that he/she has read the 2000 Baptist Faith and Message, that he/she has obtained answers to any questions related to said document from a member of the Church s ministerial staff, and that he/she agrees with and will seek to abide by the doctrine and beliefs contained in the 2000 Baptist Faith and Message. Each prospective employee will also be provided an opportunity to identify any differences in beliefs or doctrines he/she has from those found in the 2000 Baptist Faith and Message, and these differences will be reviewed and evaluated by the supervising Pastor in consultation with the Senior Pastor prior to employment. Recommend to the Church at large that any member of the ministerial staff be dismissed; E.D. Prepare and keep current job descriptions for all employed personnel including the Senior Pastor; F.E. Be responsible for the development, implementation and coordination of personnel rules and regulations for the salaried Church staff, including the Senior Pastor. 11 G.F. Study and recommend the need for additional Church staff positions; H.G. Develop and recommend a salary program for the Church; I.H. Recommend compensation for all Church staff in consultation with the Senior Pastor; and J.I. Select a Lead Pastor as needed in accordance with Article II, Section A1(a), and determine the duties and responsibilities that will be assigned to the Lead Pastor. ARTICLE III. Our Church exists for worship, ministry, evangelism, fellowship and discipleship. Section A. Ministry Teams The vision and mission of the Church will be pursued by Ministry Teams comprised of individuals that God has called and gifted for ministry, who commit to serve in that area and whose Ministry Team has been approved by and is under the supervision of the Senior Pastor, Pastor or Associate Pastor. Ministry Teams will be formed by Members interest in Church life. A Pastor is an ex officio member of each Ministry Team and that leadership is to be recognized in them. Section B. Sunday School Small Group Ministry There shall be a Sunday School with classes for all ages and conducted each Sunday and at other times as needed. The Sunday School shall be under the direction of a Pastor assigned by the Senior Pastor. The task of the Sunday School shall be to: teach the Biblical revelations; reach persons for Christ and Church Membership; lead all Church Members to worship, witness, learn, and minister daily; and provide and interpret information regarding the work of the Church and the denomination. There shall be a small group ministry for all ages. The primary form of small groups at Thomasville Road Baptist Church are Bible study classes, which are conducted each Sunday. 12 ministries or at other specified times for the purposes of connecting persons to God and to others in a small group environment. The Small Group Ministry shall be under the direction of a Pastor(s) assigned by the Senior Pastor. The mission of the Small Group Ministry shall be to teach sound doctrine as found in Scripture for the purpose of reaching persons for Christ and Church membership, as well as for discipling those who are already Christ followers. The ultimate goal is to mature and equip Christ followers to worship, witness, learn, and minister daily; and provide and interpret information regarding the work of the church and the denomination. Likewise, small groups will provide training for leadership, deepening of Christian theology, application of Biblical truth to all areas of the individual s life, and provide a place of belonging and connection, to enable the individual to live life with others within the Church. Section C. Discipleship Ministries There shall be Discipleship Ministries for all ages to orient new Church Members, train Church leaders, and teach Christian theology, Christian ethics, Christian history, Church polity and other areas of the Christian faith. Discipleship Ministries shall also provide and interpret information regarding the work of the Church and the denomination. Throughout the life of the church, needs for specific ministries will present themselves. Some of these will be long term and age or place-in-life specific; others may be shorter lived and very specific in nature. As these occur, we will begin and develop ministries and ministry teams to fulfill those needs. These ministries will be established under the approval of the Senior Pastor and pastoral staff. Women s Ministries Formatted: Justified, Indent: Left: 0" There shall be Women s Ministries for all ages with such leadership as needed and conducted under leadership of a Pastor assigned by the Senior Pastor. Women s Ministries shall help women to know Christ and become what God created them to be while helping the Church fulfill the five purposes of worship, discipleship, evangelism, fellowship and ministry. Section E. Men s Ministries 12

13 There shall be Men s Ministries for all ages with such leadership as needed and conducted under leadership of a Pastor appointed by the Senior Pastor. Men s Ministries shall help men to know Christ and become what God created them to be while helping the Church fulfill the five purposes of worship, discipleship, evangelism, fellowship and ministry. Section DF. Worship Ministries Formatted: Indent: Left: 0" There shall be Worship Ministries with such leaders and organizations as needed and conducted under leadership of a Pastor. The task of Worship Ministries shall be to advance and conduct Godhonoring, life-changing worship in Biblically faithful ways; drawing the body of Christ to a close relationship with God and fellowship with believers, and allowing God s Spirit to lead in evangelizing and ministering to the world, including teaching music and hymnody; training persons to lead, sing and play music; providing music in the Church and community; and providing and interpreting information regarding the work of the Church and the denomination. Further, Worship Ministries shall provide opportunities for people of all ages to grow in their faith and in the stewardship of their talents through involvement in music and worship arts organizations, to proclaim Christ to the lost both in worship and in venues outside the Church campus, and to assist other ministries in fulfilling the purpose and mission of the Church. ARTICLE IV. CHURCH MEETINGS Section A. Worship Services The Church shall meet regularly each Sunday and other times as desired by the Church for preaching, instruction, evangelism, and for worship of Almighty God. These services shall be open for the entire Membership of the Church and for all others who may choose to attend and shall be conducted under the direction of the Senior Pastor or designee. Schedule of services may be changed upon approval of the Church. Section B. Regular Business Meetings 13

14 Regular business meetings shall be held quarterly on the third Wednesday night of the calendar quarter, unless changed by action of the Church in a previous or special business meeting or with a minimum of a two-week notice. Section C. Special Business Meetings A special business meeting may be called by the Senior Pastor, Church Moderator or Chairperson of the Deacons to consider special matters of significant nature. A one-week notice must be given for a special business meeting unless extreme urgency renders such notice impractical. The notice shall include the subject, date, time and place. Section D. Informational Meetings On occasion, informational meetings may be held. Informational meetings will be scheduled as needed and may be called by the Senior Pastor, Church Moderator, Chairperson of the Deacons, or by a consensus of Members shown at a regular business meeting or in a worship service. Informational meetings are for informational purposes only, as no vote will be taken at such meetings. A time of prayer will conclude each informational meeting and issues raised will be addressed at a future business meeting as necessary. Section E. Quorum A quorum consists of those Members who attend a business meeting, provided it is a stated meeting or one that has been properly called. Section F. Designated Gifts Designated gifts will be administered and expended by the Church in the manner the gifts are designated subject to the following exceptions. The Stewardship Committee may authorize and approve, through a majority vote of its members and with the approval of the Senior Pastor, the re-designation and expenditure of previously designated funds that have been held in church accounts for a period greater than or equal to one year from the date the funds were originally received by the church, if the specific original designation is determined by the Stewardship Committee to not be in accordance with the direction God Formatted: Indent: First line: 0" 14

15 is leading the church and if the church has a specific current need for use of the funds. If the Stewardship Committee determines that designated funds held in church accounts for a period of less than one year from the date the funds were originally received by the church are not in accordance with the direction God is leading the church and if the church has a specific current need for use of the funds, the Stewardship Committee may present a recommendation to the church at a regularly scheduled business meeting to approve, by majority vote, the re-designation and expenditure of the funds.
