1 CONSTITUTION AND BYLAWS CHRIST FELLOWSHIP BAPTIST CHURCH (D/B/A CHRIST FELLOWSHIP) INTRODUCTION A Church is a fellowship of people who have accepted Jesus Christ as Savior and Lord and are called to exalt the Savior, equip the Saints for the works of ministry and evangelize to the world. A Church, like a community or an individual, is always changing. Fundamental doctrines remain the same, but the methods of teaching these doctrines and obtaining objectives may change if the mission of the Church is to be accomplished. A Church constitution and bylaws document guides a Church to preserve democratic procedures. This instrument serves as the guide for members to follow in carrying out the work of Christ Fellowship. Basic theology, organizational structure, and Church policies are contained in a constitution. Bylaws, on the other hand, state the methods for expediting these principles and policies. Bylaws will usually be changed more often than the constitution. It should be emphasized, however, that both constitution and bylaws should be reviewed periodically by the Deacons and the Senior Pastor. As the size, influence, and structure of a Church changes, so must its rules of governmental procedure be brought up to date. The basic advantages of the constitution and bylaws are that it: 1. Furnishes members a written statement of Christ Fellowship s organization, fundamental guidelines, and theological beliefs. 2. Aids in preserving democracy and harmony since predetermined guidelines have already been established by the members. 3. Provides orderly procedures for guiding the transaction of Church business. 4. Serves as a basis for preventing problems before they arise. 5. Provides a basis and mechanism for change in the ministry of the Church to meet the needs of the Church according to the will of God. 1

2 CONSTITUTION PREAMBLE For the more certain preservation and security of the principles of our faith, and to the end that this body may be governed in an orderly manner consistent with the accepted tenets of the Southern Baptist denomination and for the purpose of preserving the liberties inherent in each individual member of this Church and the freedom of action of this body with respect to its relation to other Churches of the same faith, we do declare and establish this constitution. I. NAME This body shall be known as Christ Fellowship Baptist Church, Inc. (d/b/a Christ Fellowship) established in the community of Palmetto Bay, Florida: and will be referred to herein as the "Church." II. ARTICLES OF FAITH We subscribe and believe in the Articles of Faith found in the 2000 Baptist Faith and Message as adopted by the Southern Baptist Convention. III. CHURCH COVENANT Having been led, as we believe, by the Spirit of God, to receive the Lord Jesus Christ as our Savior, and on the profession of our faith having been baptized in the name of the Father, and of the Son, and of the Holy Spirit, we do now in the presence of God and this assembly, most solemnly and joyfully enter into this covenant with one another, as one body in Christ. We commit to connect to God by faithfully attending worship services, giving cheerfully and regularly to support the mission of the Church, and engaging in personal and family devotions. We commit to connect to others by walking together in Christian love and unity, and practicing the one another s of the Bible in the context of Small Groups. We further engage to watch over one another in brotherly love; to remember each other in prayer; to aid each other in sickness and distress; to cultivate Christian empathy in feeling and courtesy in speech; to be slow to take offense, but always ready for reconciliation, and mindful of the teachings of our Savior. We commit to connect to ministry by discovering and using our spiritual gifts to serve others within the body of Christ and our community at large. We commit to connect to the lost through personal evangelism and world missions, as we are zealous in our efforts to advance the Kingdom of our Savior. We commit to walk circumspectly in the world; to be just in our dealings, faithful in our engagements and exemplary in our conduct; to avoid all tattling, backbiting and excessive anger; and to abstain from addictive behaviors, so that we may be above reproach in our community. 2

3 We commit that when we remove ourselves from this fellowship, we will unite with some other Church, of like faith, where we can carry out the spirit of this covenant and the principles of God's Word. IV. CHARACTER SECTION I. POLICY The government of this Church is vested in the body of believers who compose it. The Church is autonomous, and it is subject to the control of no other ecclesiastical body. The Church is associated with the Southern Baptist Convention in doctrine and cooperates with Southern Baptist Churches in missions. SECTION II. DOCTRINE This Church acknowledges the Scriptures as its final authority in matters of faith and practice. Its understanding of Christian truth as contained therein is in essential accord with the Baptist Faith and Message. 4 BYLAWS ARTICLE I. MEMBERSHIP SECTION I. GENERAL 1) Christ Fellowship is a sovereign and autonomous Southern Baptist Church, under the Lordship of Jesus Christ. The membership retains unto itself the right of exclusive self-government in all phases of the spiritual and temporal life of this Church. 2) The membership reserves the exclusive right to determine who shall be members of this Church and the conditions of such membership. SECTION II. CANDIDACY 1) Any person may offer himself as a candidate for membership in this Church after completing the 101 membership class, an introduction to our Church covenant. Persons who complete the membership class may join by: (a) (b) (c) profession of faith, and by baptism according to the policies of this Church. the promise of a letter from another Church of similar faith and doctrine. a statement of prior conversion experience and subsequent baptism by immersion after salvation when no letter is obtainable. 2) Should there be any concern as to any candidate, the Pastors and/or Deacons may investigate and refuse membership to any individual. 3) Any person who practices or promotes sexual sin, such as, homosexuality or sexual cohabitation with a partner outside of marriage, shall not be granted membership (Ref. Article I. Section V. 1). SECTION III. MEMBERSHIP 1) Members are encouraged to complete the 201, 301, and 401 Connection Classes within a year of becoming a member. 2) Members are encouraged to join a Small Group or begin a Small Group so that they may grow spiritually, and receive the nurture and care from a community of believers. 3) Members are encouraged to utilize the talents and gifts provided by God to serve in a ministry of the Church. 4) Members are encouraged to invest their lives in people who are far from God and invite them to Christ. Members are challenged to Reach Beyond the walls of the Church in local, national, and global missions. 4

5 5) Members are encouraged to give financially and generously to the work of Christ through the Church. SECTION IV. DISCIPLINE 1) The Church will take every reasonable measure to assist any spiritually or morally troubled member. The Pastors and Deacons are available for advice and guidance. The attitude of all Church staff and members toward one another shall be guided by a spirit of love, humility, and a concern for redemption rather than punishment. 2) Should a condition exist which would cause a member to become a liability to the general welfare of the Church, the Pastors and the Deacons will take every reasonable measure to resolve the problem in accordance with Matthew 18. Should it become necessary to exclude a member, termination will be according to Article I. Section V. SECTION V. TERMINATION OF MEMBERSHIP 1) Membership may be terminated by the Pastors and Deacons for the following reasons: (a) death. (b) transfer to another Church of similar faith and doctrine. (c) erasure, upon becoming affiliated with a Church of another faith or denomination, or by request of the member. (d) lack of attendance over a two-year period. (e) the Pastors and Deacons may issue membership termination for habitual and sinful issues such as homosexual practices, disruptive or harmful behavior to the Church, and immoral behavior that harms the witness of the Church. SECTION VI. RESTORATION 1) Any person whose membership has been terminated for any reason may be restored by the Pastors and Deacons, after repentance and restoration have occurred. SECTION VII. RIGHTS 1) All members in full and regular standing, who give financially to the work of the Church in the course of a calendar year, may act and vote in the transactions of the Church that require a congregational vote. 2) All members in full and regular standing are eligible for consideration as candidates for elective Standing Ministry Team positions in the Church. 3) All members may participate in the ordinances of the Church as administered by the Church. 5

6 SECTION VIII. QUORUM 1) All members in full and regular standing present in any regular or special business meeting shall constitute a quorum, provided that, in case of special business meetings, the requirements set forth in Article VI. are met. 6

7 ARTICLE II. STAFF AND CHURCH OFFICERS SECTION I. GENERAL 1) This article covers all Ministerial and Professional staff members as defined by the Personnel Policies of the Church, as well as elected officers to include the Deacons, Church Treasurer, Church Secretary and Church Clerk. 2) All such staff members and elected officers must be members in good standing of the Church. In this context, "members in good standing" is interpreted to mean that staff and officers, to the best of their abilities, must: a) tithe their income. b) subscribe to the principles and practices defined in the Church covenant, as defined in the Church Constitution. c) submit to properly established authority. d) be faithful in attendance at Church services, e) support the Church and its ministries in word and deed. 3) Staff members must comply with the standards set forth for "overseers" in I Timothy 3:1-7. Likewise, Deacons must adhere to similar standards prescribed in I Timothy 3:8-13. SECTION II. SENIOR PASTOR 1) A Senior Pastor shall be chosen and called by the Church whenever a vacancy exists. His election shall take place at a meeting called for that purpose with at least two weeks' advance public notice provided by announcement from the pulpit, inclusion in Church communication pieces and by special mailing to the Church membership. 2) The qualifications for a Senior Pastor shall be based upon those established in Scripture, e.g. I Timothy 3:1-7, Titus 1:5-9 and I Peter 5:1-4. 3) A Senior Pastor Search Team to seek a suitable Senior Pastor shall be recommended by the Deacons, for election by the Church. The Senior Pastor Search Team's recommendation shall constitute a nomination. a) The Senior Pastor Search Team shall bring to the consideration of the Church only one man at a time. b) Elections shall be by secret, written ballot. An affirmative vote of threefourths (3/4) (75%) of those members present is required for the motion from the Senior Pastor Search Team to carry. The Senior Pastor, after accepting the call, shall serve until the relationship is terminated at his request or by Church action (Ref. Article II. Section II. 6, 7, 8). 4) The Senior Pastor is responsible for leading the Church to function in conformance with the principles established in the New Testament. The Senior Pastor is the leader of the congregation, the ministries of the Church and the Church staff. 7

8 5) Duties of the Senior Pastor are as follows: a) Pray for the people and vision/direction of the Church (Acts 6:4). b) Serve as the primary vision-caster/spokesperson for the direction of the Church (I Timothy 5:17). c) Prepare Biblical messages for the Church (Acts 6:4). d) Serve as the primary preacher/teacher in the Church s weekend worship services. e) Serve as the theological and doctrinal shepherd of the Church, ensuring that ministry, teaching, and operations are done according to the Word of God (I Peter 5:2, Titus 1:9). f) Provide Biblical direction and leadership through messages during worship services and other teaching venues in order to equip people for ministry (Ephesians 4:11-12). g) Oversee the staff directly or through other staff person(s) and work closely with him/them to ensure that the vision of the Church is being fully implemented. h) Function as Moderator for all Church meetings except as otherwise provided for in these Bylaws. He may delegate this to another staff person. i) Participate as an ex-officio member of all Teams of the Church, at his discretion. He may choose to delegate this responsibility to another staff member. The Senior Pastor, or his designee, shall be informed by the teams as to the time and place of all meetings. 6) The Senior Pastor may relinquish his office by giving at least two weeks written notice to the Church via the Personnel Ministry Team prior to the effective date of his resignation. 7) Retirement is mandatory for the Senior Pastor at age 70, unless three-fourths (3/4) of the Church membership present at a meeting called for that purpose, voting by secret ballot, agree to retain the Senior Pastor past the age of 70. a) Such a meeting must be called with at least two weeks advance public notice. b) A member of the staff or a Deacon shall act as Moderator for this meeting. c) The retention action described above must be renewed annually. 8) The Church may terminate the services of the Senior Pastor in the following manner: a) Such action shall take place at a meeting called for that purpose with at least two weeks advance notice to the Church. b) The meeting may be called by three-fourths (3/4) of the voting Deacons or by written petition signed by not less than one-fourth (1/4) of the members in good standing according to Article I. Section VII. 1. The Deacons shall select the Moderator for this meeting. c) The vote to terminate the Senior Pastor's services shall be by secret, 8

9 written ballot; an affirmative vote of three-fourths (3/4) of the members present being necessary to take this action. d) Except in instances of gross misconduct by the Senior Pastor leading to his exclusion from office, the Church will compensate the Senior Pastor with an amount determined by the Deacons to be not less than onetwelfth (1/12) of his total annual salary. The termination shall be immediate. e) At the time of his retirement, resignation or termination, the Church prayerfully requires that the Senior Pastor move his membership to another Church. An exception may be made by consensus of the Pastors and the Deacons. 9) In case of a temporary vacancy or incapacitation of a Senior Pastor: a) For a period of less than six months, the Deacons, acting through the Chairman, and the ordained and/or commissioned members of the Church staff will jointly develop and implement a plan to cover the duties and functions of the Senior Pastor. b) For a period of more than six months, the Deacons shall search for and recommend an interim Senior Pastor. The nominee must be approved by three-fourths (3/4) vote, first by the Deacons and then by the Church. The term of such an interim Senior Pastor shall end either when the existing Senior Pastor returns to duty or, after declaring the position vacant, the Church recruits and installs a new Senior Pastor. SECTION III. OTHER CHURCH STAFF 1) The Ministerial and Professional staff shall be called and employed in the following manner: a) Ministerial staff members are those who lead departments of the Church and of whom the Church requires evidence of a personal call from God. These staff members shall be recommended by the supervisor of the position to the Personnel Ministry Team for review, and to the Deacons for concurrence. For a Ministerial staff position that is localized to one particular campus, the Deacons of that campus will confirm the new Ministerial staff person. For a Ministerial staff position that is generalized to all the campuses, the Deacons at the Palmetto Bay Campus will confirm the new Ministerial staff person. After concurrence by the Deacons, an offer may be extended to the potential minister. b) Professional staff members, as defined by the Church Personnel Policies Manual, are individuals who are not ordained and serve in a leadership capacity. These staff members shall be recommended by the supervisor of the position to the Personnel Ministry Team for review. After concurrence by the Personnel Team, an offer may be extended to the potential staff person. c) Ministerial/Professional staff members may be terminated upon the recommendation of the supervisor and the Senior/Executive Pastor to the Personnel Ministry Team with concurrence by the Deacons of that campus. Such termination shall be immediate with severance pay of 9

10 one-twelfth (1/12) of their annual salary. 2) Non-Ministerial and non-professional staff members shall be employed as the need for their services is determined as follows: a) Ministerial/Professional staff members shall have the authority to employ and terminate services of budgeted non-ministerial/non-professional staff members. Such employment and termination of services shall be with the recommendation of the supervising staff member, the concurrence of the Senior/Executive Pastor and, as appropriate, the consultation of related ministry teams of the Church. b) Unbudgeted non-ministerial positions must be approved by the Personnel Ministry Team. Unbudgeted Ministerial and Professional staff members must be approved by the Personnel Team and Deacons of that campus. 3) Church staff members are required to provide at least two weeks written notice to their supervisor prior to the effective date of any resignation. At this point, the Church prayerfully requires that resigned Ministerial and Professional staff members move their membership to another Church, unless they are asked to remain by the consensus among the Senior Pastor or his designee and Deacons. 4) The Director of the Church s school shall be considered a member of the Professional Staff of the Church, under the authority of Pastoral Leadership (Ref. Article VII. Section III.). The Academy Director shall be recommended by the Pastoral supervisor and the Academy Trustees and then approved by the Personnel Ministry Team. QUALIFICATIONS SECTION IV. DEACONS 1) The qualifications for the position of Deacon are those found in I Timothy 3:8-12 and Acts 6:3 as interpreted prayerfully by the Senior and Executive Pastors, the Ministerial/Professional Church Staff and Deacons. a) It is the Church's prayerful understanding of I Timothy 3:8-12, that Deacons are to be men. Married men must be committed to a monogamous and pure relationship. Men who have been divorced in the past may be considered for the role by the Senior Pastor or his designee on a case-by-case basis. b) As the Church expands to multiple campuses, each campus will have its own group of Deacons. 2) Deacon nominees must be members in good standing of the Church according to Article II, Section I.2. Deacon nominees must have been members in good standing of the Church for at least one year prior to election. Deacon nominees must be actively serving in a ministry of the Church and must have completed all four Connection Classes. 10

11 3) There is no obligation to confirm a Deacon from a previous Church to serve as a Deacon at the Church. 4) Any member of the Church may recommend a member for consideration for election as a Deacon. Recommendations should be made to a Pastor or one of the Deacons. The Senior Pastor, or his designe, and the Chairman of the Deacons will discuss the recommendations. Relatives of Ministerial and Professional Staff are ineligible to be Deacons. The names of qualified candidates will be presented to the Church for election in accordance with Article IV. Section II. NUMBER 1) There shall be a minimum of eight (8) Deacons with as many additional Deacons as deemed appropriate per paragraph 4 above. TERM OF SERVICE 1) The Deacons elected shall serve for a term of three years. The terms of office shall be arranged so that, as nearly as possible, one-third (1/3) of the terms shall expire each year. In all references throughout these Bylaws, "Deacons" shall refer to those currently serving an elected term of office (as a "voting Deacon"). 2) After serving for a term of three years, no Deacon shall be eligible for re-election until the lapse of at least one year. ORGANIZATION 1) The Deacons, as soon as possible after the beginning of the calendar year, shall meet and elect, a Chairman, Vice-Chairman and Secretary. For this purpose, the Senior Pastor, or his designee, shall act as Moderator. The duly elected officers shall take office immediately after election and shall officiate at subsequent meetings of this body. If the Chairman is absent, then the Vice-Chairman shall preside. If both are absent, the Secretary shall call the meeting to order and the Senior Pastor, or his designee, shall appoint a Chairman for that meeting. If the Senior Pastor, or his designee, is also absent, the Secretary shall call the meeting to order and conduct an election to determine the Chairman for that meeting. DUTIES 1) In accordance with Scripture, as found in I Timothy 3:13 and Acts 6:1-7, Deacons are to be servants of the Church. They are to: a) Seek to meet the physical and spiritual needs of people in the Church. b) Set the example for the body in living out the purpose of the Church. c) Care for the Church's members. 2) The Deacons shall be available to minister to people in crisis. They serve as first responders to people who have experienced a tragedy. They also are available to counsel people, visit people in the hospitals, and comfort Church members in times of grief. 11

12 3) Deacons are to be zealous to guard the unity of the spirit within the Church in the bonds of peace. 4) They shall seek to know the spiritual, moral, and physical needs of the membership and to minister to them accordingly. The Deacons shall look for gaps in weekly ministry and seek to fill these gaps so the Church continues to function. The Deacons shall continually pray for the needs of the people in the Church. 5) In counsel with the Senior Pastor, or his designee, and by direction of the Holy Spirit, and the teaching of the New Testament (Matthew 18), they shall participate in the discipline of the Church. (Ref. Article I. Section IV.) 6) In any period, when the Church is without a Senior Pastor, the Deacons will arrange for the continuation of the ministry, as provided for in Article II. Section II. 9. 7) The Deacons may serve as a sounding board and Godly counsel to the Senior Pastor, or his designee, and other Pastors in regard to the direction of the Church. 8) The Deacons should meet no less than once per month at a time convenient to them. The Deacons may be called into a meeting by the Senior Pastor, or his designee, or Chairman, by making an earnest attempt to contact all Deacons. A majority of elected Deacons present at any meeting shall constitute a quorum. 9) Decisions requiring approval of the Church membership shall be presented to the Deacons of the Palmetto Bay Campus, and with their concurrence, then to the Church for approval. 10) The responsibilities of the Deacons shall be no more and no less than is described in these Bylaws or as authorized by a three-fourths (3/4) vote of the Church, at a previously called business meeting. 11) The Deacons may authorize unbudgeted cumulative expenditures of up to ten (10) percent of the total annual budget, as long as the decision does not take the Church into debt. Decisions that take the church into debt or exceed 10 (ten) percent of the annual budget require a Church vote. (See Article V. Section I. 5d) SECTION V. CHURCH CLERK 1) Each year the Church shall elect a Clerk as its clerical officer. The Clerk shall be responsible for ensuring that suitable records are kept of all official actions of the Church. Although specific tasks may be delegated to Church staff members, the Clerk is accountable for ensuring that the following are available in a comprehensive and timely manner: a) Membership rolls with names, dates of admission, transfer, death or erasure. b) Records of baptisms. c) Legal notice of all Church meetings where such notice is made 12

13 necessary by the terms of these Bylaws. d) Records of all Church business meetings and Deacon s meetings. e) Monthly membership reports. f) Annual letter of the Church to the Miami Baptist Association. 2) All Church records are Church property and shall be kept in the Church office or a safe deposit box under the signatory control of the Director of Business and Finance. SECTION VI. CHURCH TREASURER 1) Each year, the Church shall elect a Treasurer as its financial officer. 2) As detailed in Article V. the Treasurer is responsible for establishing appropriate financial procedures for the receipt, presentation, disbursement, record keeping, reporting, and oversight of all Church funds. 3) On a monthly basis, the Treasurer shall conduct an analytical review of all Church accounts and prepare a Treasurer's Report for submission to the Stewardship Ministry Team. 4) The Treasurer works in conjunction with the Director of Business and Finance to ensure the Church has proper knowledge concerning tax related matters. 5) All files, records, and accounts kept by the Treasurer shall be considered Church property. 6) The Treasurer shall be an ex-officio member of the Stewardship Ministry Team by virtue of the office. SECTION VII. CHURCH SECRETARY 1) The Church Secretary shall be the secretary of the Deacons, a position annually elected by the Deacons (Ref. Article II. Section IV. DUTIES 8). 2) The chairman and the secretary of the Deacons shall sign legal documents related to decisions that require a Church vote. SECTION VIII. CHURCH MODERATOR 1) The Senior Pastor, or his designee, shall be the Church Moderator unless otherwise provided for in these Bylaws. 2) The Senior Pastor may delegate this responsibility to another Pastor or Deacon. 13

14 SECTION IX. CHURCH MINISTRIES GENERAL 1) All Ministries of the Church shall be under the direction of the Church, administered by the Pastors and staff. 2) Small Group and Ministry Team Leaders or persons in roles of teaching and training shall be members of the Church in good standing. Non-teaching roles may be filled by persons who are not members. 3) Curriculum utilized in teaching must be approved in advance by appropriate Church staff. 14

15 ARTICLE III. STANDING MINISTRY TEAMS SECTION I. GENERAL 1) Certain Standing Ministry Teams are considered essential to the ministry of the Church and are therefore included in these Bylaws. Standing Ministry Teams execute their function across all of the campuses. Additional Steering Teams may be formed and dissolved according to the needs of the Church, as recommended by the Senior Pastor, or his designee. 2) The Standing Ministry Teams shall be the: a) Personnel Ministry Team b) Stewardship Ministry Team c) Missions Ministry Team d) Academy Trustees 3) The membership of Standing Ministry Teams, shall be elected annually according to Article IV. Section III. a) Standing Ministry Teams must have at least six members. 4) The Team Leaders for all Standing Ministry Teams shall be elected annually according to Article IV. Section III. a) Nominees for the Standing Ministry Teams may be determined by the Team Leader in conjunction with the Senior Pastor, or his designee. 5) The members of the Standing Ministry Teams shall serve for a term of three years, with the terms of office arranged so that, as nearly as possible, one-third (1/3) of the team s members' terms shall expire each year. 6) The Standing Ministry Teams are accountable to the Church and shall bring any motions that require a Church vote to the Deacons at the Palmetto Bay Campus. 7) The Standing Ministry Teams work alongside the appropriate Ministerial/ Professional staff members as recommended by the Senior Pastor, or his designee. SECTION II. PERSONNEL MINISTRY TEAM 1) The Personnel Ministry Team shall be responsible for matters relating to the employment of Church Staff, including approving appropriate candidates (as noted in Article II. Section III. 1), approving compensation structures, and reviewing Personnel Policies. As required by other sections of these Bylaws, decisions to call Ministerial staff shall be brought to the Deacons of the appropriate campus for confirmation. 2) The Personnel Ministry Team provides accountability and support to the Senior Pastor in regard to a mutually agreed upon understanding of his role as it relates 15

16 to teaching and leadership. This includes an annual review and salary increase for the Senior Pastor. 3) The Personnel Ministry Team serves as a sounding board to the Senior Pastor and Executive Pastor for future staffing and personnel related issues. 4) The Personnel Ministry Team works in conjunction with staff supervisors on Ministerial and Professional staff hiring and firing. 5) The Personnel Ministry Team prays for the staff and for the fulfillment of the direction/goals that God has given the Pastors/Directors of each department. 6) Members of the Personnel Ministry Team may not be related to any Church staff member. SECTION III. STEWARDSHIP MINISTRY TEAM 1) The Stewardship Ministry Team shall be responsible for reviewing the annual budget proposal presented by the Senior Pastor, Executive Pastor, and Director of Business and Finance. They shall recommend the budget to the Church. The team is responsible, in conjunction with the Pastors, to train and teach stewardship to the Church membership. 2) The Stewardship Ministry Team is responsible for reviewing the financial picture of the Church and making recommendations to the Director of Business and Finance and the Senior Pastor, or his designee, to ensure the Church is financially healthy. SECTION IV. MISSIONS MINISTRY TEAM 1) The Missions Ministry Team shall be responsible for evaluating, developing, promoting, and supervising the mission partnerships of the Church. 2) The Missions Ministry Team is responsible for recommending allocation of budgeted mission funds. 3) It is the responsibility of the Missions Ministry Team, in conjunction with the Mission s Pastors, to regularly report on missions programs to the Church. SECTION V. ACADEMY TRUSTEES 1) The Academy Trustees shall, along with the Director of the Academy, be responsible for fulfilling the Purpose of the Academy as described in Article VII. Section I. 16

17 ARTICLE IV. NOMINATION AND ELECTION OF CHURCH LEADERSHIP SECTION I. SMALL GROUP AND MINISTRY LEADERS 1) Church staff shall recruit, train, and develop, and, as necessary, remove leaders in their ministry departments. SECTION II. DEACONS 1) The Senior Pastor or his designee, and the current Chairman of the Deacons shall present to the Church for vote, a list of Church members recommended for service as Deacons for the coming year. Church members may submit names for consideration to the Senior Pastor or his designee and the current Chairman of Deacons. The list should be presented to the Church before the end of December of each year, with elected officers assuming their positions as of the first week in January. SECTION III. STANDING MINISTRY TEAMS 1) The Senior Pastor or his designee and the current Chairperson of the Standing Ministry Teams, shall present to the Church for vote a list of Church members recommended for service in the various teams (Personnel, Stewardship, Missions, and Trustees) of the Church for the coming year. Church members may submit names for consideration to the Senior Pastor or his designee. The list should be presented to the Church before the end of December of each year, with elected team members assuming their positions as of the first week in January. SECTION IV. CHURCH CLERK AND TREASURER 1) The Senior Pastor or his designee shall present to the Church for vote Church members recommended for service in the positions of Church Clerk and Treasurer for the coming year. The names should be presented to the Church before the end of December of each year, with the approved officers assuming their positions as of the first week in January. SECTION V. INTERIM VACANCIES 1) As individual vacancies in Church Officer positions (Deacons, Treasurer, and Clerk) arise, from time to time, the Senior Pastor or his designee, may place individuals in roles for an interim basis with approval from the Deacons, until the next general leadership election takes place. 17

18 ARTICLE V. CHURCH FINANCES SECTION I. FINANCIAL POLICIES AND PROCEDURES 1) Financial policies for the Church shall be developed by the Director of Business and Finance and Executive Pastor for approval by the Stewardship Ministry Team. 2) Financial procedures necessary for legal compliance, shall be developed by the Church Treasurer in conjunction with the Director of Business and Finance. These procedures must be approved by the Stewardship Ministry Team. 3) The Director of Business and Finance, in cooperation with the Church Treasurer, shall be responsible for the implementation, execution and compliance with financial policies and procedures on an ongoing basis. 4) All financial policies and procedures shall be documented by the Church Treasurer. 5) Approval by the Church shall be required for the actions listed below. Recommendations for such actions shall be made by the Stewardship Ministry Team and/or other appropriate steering teams with the concurrence of the Senior Pastor, or his designee, and Deacons. a) Adoption of the Church budget (majority vote of the Church). b) Modifications to the budget greater than ten (10) percent subsequent to its approval. The Senior Pastor and Deacons at the Palmetto Bay Campus, jointly may increase the budget in cumulative amounts, within any fiscal year, not to exceed ten (10) percent of the approved budget. c) Approval to purchase or sell real property (e.g. houses or land) or to mortgage or otherwise encumber or restrict the use of such property by the Church (three-fourths 3/4 vote of Church members present). d) Approval to borrow or incur lease obligations on real property, to guarantee or to otherwise obligate the Church for non-budgeted expenditures or payments greater than ten (10) percent of the annual budget (three-fourths 3/4 vote of the Church members present). SECTION II. FINANCIAL PLANNING 1) The Church fiscal year shall begin on January 1, and end on December 31. The Senior Pastor, or his designee, shall work alongside the Director of Business and Finance to provide direction to the Pastors and Directors of the Church for annual budget planning. The Senior Pastor, or his designee, along with the Director of Business and Finance shall recommend an annual budget to the Stewardship Ministry Team. 2) The Stewardship Ministry Team shall coordinate the Church's financial planning. Its duties shall include the presentation of a realistically attainable annual unified budget, which supports the Church's various ministries, meets its financial obligations and maintains a healthy financial condition for the Church. 18

19 3) As part of the annual financial planning process, the Personnel Ministry Team shall prepare and recommend a compensation budget for inclusion in the Church budget. a) The process of developing the budget and its approval shall be concluded prior to the beginning of the new fiscal year. 4) The Church, its officers, and staff, shall be committed to the principle of fiscal responsibility and sound stewardship. SECTION III. CONTROL AND OVERSIGHT 1) All funds shall be deposited in secure bank accounts as soon as possible after receipt. 2) All receipts, transfers, and disbursements shall be completely and accurately entered in the financial records of the Church on a timely basis. 3) The Church Treasurer shall review all financial records on a monthly basis to assure that all accounts are in order. 4) At the request of any Church member, with the following exceptions, the Pastors and Deacons may review any Church financial records necessary to respond to their concerns. a) Specific Pastors Fund disbursements. b) Individual giving records. 5) All funds received, both by regular offerings, as well as, any money received in tuitions, fees, and gifts to the Academy, are under the direct control of Christ Fellowship. SECTION IV. DESIGNATED FUNDS 1) "Designated funds" are designated by the donor(s) for specific purposes other than budgeted items. Acceptable purposes for designated funds might include, but not be limited to, scholarships, building funds, specific mission opportunities or debt reduction for the Church. Such donations may not be made for the benefit of the donor, directly or indirectly. Designated funds will not be accepted if they appear to be illegal, or a tax law violation, or for the benefit of organizations whose activities are not consistent with the mission of the Church. 2) Funds in designated accounts must be separately accounted for and reported in the Church financial records. 3) Designated funds may not be used for other than the designated purpose without the express consent of the donor(s) or by the majority vote of the Stewardship Ministry Team if the consent of the donor cannot be obtained due to death or incapacitation and it is not feasible to follow the donor's desire as to its original purpose. 19

20 SECTION V. SPECIAL OFFERINGS AND FUND RAISING 1) The Church's primary source of funds shall be tithing and offerings from the members. Special offerings may be sought in the interest of the Church or any of its organizations only with the approval of the Senior Pastor, or his designee. This does not preclude individuals from making special offerings at any time as the Spirit of God may move them. 2) Funds may not be raised by benefits, suppers, socials or sales of any articles or services in the name of the Church, unless plans for such activities have been approved in advance by the Senior Pastor, or his designee. 20

21 ARTICLE VI. MEETINGS SECTION I. WORSHIP, TEACHING, TRAINING, ORDINANCES 1) Public services for worship, teaching, and training shall be held weekly. 2) Other Church sponsored meetings, groups, and ministries may be scheduled by the Senior Pastor or other Ministerial staff members at their discretion. 3) The Lord's Supper shall be observed regularly, at such times as the Senior Pastor, or his designee, may determine. Anyone who has accepted Jesus Christ as Lord and Savior may participate in this ordinance. 4) The ordinance of baptism shall be observed regularly at the discretion of the Senior Pastor, or his designee, as candidates for baptism shall create the need. SECTION II. BUSINESS MEETINGS 1) At least once per year, an Annual Church Business Meeting shall be held. This should coincide with the finalization of the budget for the coming year, so that it may be discussed and voted on by the members of the Church. 2) The Senior Pastor, or his designee, may and shall when requested by the Deacons of the Palmetto Bay Campus, call from the pulpit special Business Meetings, the particular object of the meeting being clearly stated in a notice, which shall be made at any regular meeting of the Church at least one week preceding the called meeting. 3) Parliamentary authority for all Business Meetings shall be Robert's Rules of Order. 4) The Moderator may defer a Church vote, on any issue one time, for a period of no more than one week with an announcement to the membership at the next weekend Worship Services. 21

22 ARTICLE VII. CHRIST FELLOWSHIP ACADEMY SECTION I. PURPOSE 1) The general nature and purpose of this Academy shall be to provide a program of education, which upholds a standard of scholastic excellence in an environment characterized by Biblically based faith and principles. 2) The Academy shall be a ministry of the Church to the community, aimed at winning families to faith in Jesus Christ and strengthening families in the Lord. SECTION II. ACADEMY TRUSTEES 1) There shall be an Academy Trustees Ministry Team elected by the Church in accordance with Article IV. Section III. All Academy Trustees must be members in good standing of the Church. 2) Each elected Academy Trustee shall serve as described in Article III. Section I. 3) The Academy Trustees, along with the Senior Pastor or his designee, shall be responsible for overseeing the administration of the Academy, specifically acting to ensure the fulfillment of the Purpose of the Academy, and all other aspects of Article VII. Christ Fellowship Academy. SECTION III. ACADEMY DIRECTOR 1) The Director of the Academy shall be nominated by a team comprised of members of the Academy Trustees and Personnel Ministry Team and must be approved by the Senior Pastor, or his designee, in accordance with Article II. Section III. 2) The Director of the Academy shall be a Professional Staff member of the Church, subject to all responsibilities, expectations, benefits, and considerations applicable to other members of the Professional Church Staff. The Director's responsibilities and expectations, as a member of the Professional Church Staff, shall be provided in writing by the Academy Trustees in consultation with the supervisor of the position. The Director's compensation and benefits shall be recommended by the Academy Trustees in consultation with the supervisor of the position. GENERAL SECTION IV. ACADEMY STAFF 1) A primary qualification of all staff members shall be to have a personal relationship with Jesus Christ. Academy staff shall sign a statement of faith and ascribe to ideals of Christian morality as interpreted by the Church, especially in light of, but not limited to, the following Scriptures: Romans 12:1-2, I Corinthians 6:9-10, I Corinthians 6:18-20, and I Corinthians 10: a) All Academy staff members shall serve under terms of an annual 22

23 contract. b) All Academy staff must be recommended by his or her pastor before being hired, as well as, before any new contract is offered, for those already employed. 2) The race, gender, or ethnic origin of a person shall not be considered in the qualifications of a staff member. a) Any person who practices or promotes homosexuality or sexual cohabitation with a partner outside of marriage shall not be employed by the Academy. b) No person shall be retained as a staff member if the Biblical principle against homosexuality and sexual cohabitation with a partner outside of marriage is violated, while employed by the school. 3) Where two or more equally qualified people have applied for the same position, preference will be given to a member of the Church. The Church would prefer if members of the Academy staff were active members of the Church. TEACHING STAFF 1) It shall be the responsibility of the Director of the Academy to recruit and select teaching staff members. 2) All teachers shall be certified by the appropriate accreditation organization or association. 3) Compensation and benefits for teachers shall be determined by the Academy Trustees in response to the Director of the Academy s recommendations ADMINISTRATIVE STAFF 1) It shall be the responsibility of the Director of the Academy to recruit and select the Administrative Staff of the Academy. a) If an Associate Director of the Academy is required for the proper functioning of the Academy, it shall be the responsibility of the Director of the Academy to hire a person. The Associate Director of the Academy must be qualified according to the terms of Article II. Section I. b) All other Administrative Staff must be proposed by the Director of the Academy to the Academy Trustees for concurrence. 2) The Director of the Academy and Academy Trustees shall decide compensation and benefits for the Academy's Administrative Staff. OTHER STAFF 1) It shall be the responsibility of the Director of the Academy or designee to recruit, hire, and fire non-teaching, non-administrative staff members. Such staff members include, but are not limited to: Lunchroom staff, Extended Day Session 23

24 workers, Non-faculty Specialty Teachers, Classroom Assistants, etc. 2) Compensation and benefits for non-teaching, non-administrative staff positions shall be placed in the annual budget for the Academy. SECTION V. TUITION, FEES, AND FINANCES 1) The Academy shall prepare and operate from a budget independent of that of the Church. This operating budget must be approved by the Director of Business and Finance, Academy Trustees, and Senior Pastor or his designee. 2) All tuition and fees received by the Academy shall go directly to the operational expenses of the Academy, as well as, to the upkeep of the buildings being used by the school and in any other way as directed by the Church, relative to enrollment. 3) The Church will levy a monthly assessment of the Academy, renewable on an annual basis, to cover costs associated with the use of Church properties and facilities. The terms and conditions of this assessment are to be based on an annual agreement by the Senior Pastor or his designee, the Director of Business and Finance, and the Director of the Academy. The Senior Pastor or his designee shall have complete access to all Academy financial records. 4) The Academy shall accept no aid or assistance from any source that would compromise the ethical, moral or religious teachings of the Church. 5) The budget, tuition, and fees for the proper administration of the Academy are to be determined on an annual basis by the Director of the Academy, the Senior Pastor or his designee, and the Director of Business and Finance. The budget, tuition, and fees are then presented to the Academy Trustees for final approval. 6) Any requests for waiver of tuition and/or fees, as benefits to children of Church Staff, are to be presented to the Academy Trustees for approval after determining that the Academy can accommodate such concessions without undo hardships to the operation or the budget of the Academy. Every reasonable effort is to be made to accommodate such requests. SECTION VI. ADMISSIONS POLICIES 1) The Academy shall admit students of any race, gender or ethnic origin to all the rights, privileges, programs, and activities generally made available to students of the Academy. The Academy shall not discriminate on the basis of race, gender, or ethnic origin in administration of its educational policies, admission policies, athletic, and other Academy administered programs. 2) Requirements for admission and for dismissal shall be detailed in a Christ Fellowship Academy Parent/Student Handbook. 3) Academy teachers are not trained in Special Education and the Academy is not equipped to provide adequate educational and physical facilities for children with Special Education requirements. Therefore, the Academy may be unable to accept 24

25 mentally impaired children, children with severe learning disabilities, or with significant physical handicaps. Children who have been a serious disciplinary problem elsewhere shall be admitted only upon approval of the Director of the Academy. 25

26 ARTICLE VIII. AMENDMENTS 1) This Constitution and accompanying Bylaws may be amended by three-fourths (3/4) vote of the members present and voting at any regular Business Meeting of the Church or at a Special Business Meeting called for that purpose. Any proposed change(s) shall be laid before the Church in writing not less than one (1) month before the time of the proposed action. 2) At least every three (3) years, the Senior Pastor, or his designee, alongside an ad-hoc group of Deacons, will review the currency and adequacy of the document and to recommend appropriate revisions. After concurrence by the Senior Pastor, or his designee, and Deacons, review and approval of the proposed changes by the Church shall proceed as described above.
