1 MODEL RABBINIC CONTRACT Whereas the Board of Trustees of [Congregation Name] (hereinafter referred to as Congregation or the Congregation ), at a duly held election in accordance with the policies and by-laws of the Congregation, has expressed its wish to invite [Rabbi Name] (hereinafter referred to as the Rabbi ) to serve as its spiritual leader, the following Agreement is made between Congregation and the Rabbi on this day of, POSITION Congregation offers to retain the Rabbi and the Rabbi accepts such position, according to the following terms. 2. TERM The term of this agreement will be for a period of two years beginning, 20 and ending, 20 (the Initial Term ). Unless Congregation notifies the Rabbi in writing no later than nine (9) months prior to the expiration of the Initial Term that it will not renew this Agreement, this Agreement will automatically renew upon the expiration of the Initial Term, for an additional term of three years, beginning, 20 and ending, 20 (the Renewal Term ). Upon expiration of the Renewal Term, this Agreement will automatically renew for an additional term of five years, beginning, 20 and ending, 20 (the Second Renewal Term ), unless Congregation notifies the Rabbi in writing no later than one (1) year prior to the expiration of the Renewal Term that it will not renew this Agreement. Upon expiration of the Second Renewal Term or any further Renewal Terms, this Agreement will automatically renew for an additional term of five years, unless Congregation notifies the Rabbi in writing no later than one (1) year prior to the expiration of the Renewal Term that it will not renew this Agreement. No later than one (1) year prior to the expiration of any Term of this Agreement (unless mutually agreed upon by the parties), the parties shall in good faith negotiate economic terms for the next Term, consistent with Section 5(a) below, which economic terms shall be appended hereto as a Rider to this Agreement. If the Rabbi wishes to resign from his position at Congregation at any time or does not desire to renew his contract, he shall notify the Board as soon as practicable but in any event no later than six (6) months prior to his expected date of resignation or the expiration of the Term, as applicable, in order to provide Congregation sufficient time to locate a replacement for his position. 3. EMPLOYMENT The Rabbi shall devote such time as necessary for the performance of his duties described herein. The Rabbi recognizes that he is a representative of our community and thus, his external rabbinical activities are as much a reflection on himself as on the community. The Rabbi shall devote his full working time to the duties referred to herein, and shall not engage in any other employment without the express written consent of the President or his designee. This shall not

2 preclude the Rabbi from teaching or lecturing on a casual basis or from accepting occasional outside speaking engagements, but he shall inform the President of such engagements in advance. The Rabbi is to regularly attend Board meetings. The Board shall have the right to exclude the Rabbi from particular meetings where the Rabbi s attendance would be inappropriate given the topics to be discussed. The Rabbi shall also have regular interactions with committees of the Congregation and other strategic initiatives of the Congregation. 4. DUTIES OF THE RABBI [Drafter s Note: To be expanded or modified based on the Congregation s needs. More specific time allocation responsibilities can be agreed to in writing.] The Rabbi will be the halachic authority of Congregation and shall minister to the religious, educational, and pastoral needs of its members. The Rabbi shall: 1) reside with his family in the Congregation community. 2) endeavor to assist Congregation to attain its goals as set forth in the Congregation's mission statement or assist in creating one should Congregation wish to have one. 3) manifest exemplary interpersonal skills and inspire and motivate the members to a higher level of spirituality and observance according to each individual's level with Torah values as its core. 4) endeavor to develop personal relationships with the membership of the Congregation. 5) serve as the halachic authority for congregational matters and for individual psak when members seek such advice. 6) set policy for the kashrus of the Congregation kitchen facilities and of events sponsored by the Congregation. 7) have the freedom to say what he deems proper from the pulpit. No other person shall speak from the pulpit during services or any other time unless the Rabbi gives either his invitation or consent. Such consent shall not be unreasonably withheld. Should the Rabbi wish to invite a guest speaker during services at a time the Rabbi is expected to speak, the Rabbi shall consult with the Congregation President, and such consent shall not be unreasonably withheld. The Rabbi shall have the right, in the reasonable exercise of his discretion, to exclude outside religious officials requested by congregants from presiding over lifecycle events in the synagogue on the basis of religious or doctrinal beliefs not consistent with the Congregation s values. 8) be expected to attend daily services and attend and speak during the usual Shabbat and Yom Tov services, other than during authorized absences.

3 9) be expected to speak on other customary occasions such as Shabbat Shuva, Shabbat Hagadol, Tisha B av, Purim, first night of Slichot, before Kol Nidre, before Ne ila, at Congregation events, and at lifecycle events of Congregation members. 10) use his best efforts to participate in important lifecycle events of Congregation members, including birth celebrations, Bar and Bat Mitzvah celebrations, weddings, funerals, and shiva. Gifts bestowed upon the Rabbi as a result of his participation in such events belong to the Rabbi. 11) conduct shiurim on Shabbat as well as additional shiurim during the week, and shall use his best efforts to target various segments of the community in these shiurim, including youth, teens, men, women, and people of various learning backgrounds. 12) make reasonable efforts to be reachable by and to respond to telephone and at all times during the year, including for pastoral emergencies when he is absent from the community. 13) respond in a timely manner to any halachic questions relating to Congregation or to Congregation members. 14) be available and responsible for the selling of chametz prior to Pesach. Gifts bestowed upon the Rabbi as a result of his participation in such events belong to the Rabbi. 15) take an active role in the development of programs to enrich and invigorate the membership of Congregation. 16) counsel members on important personal issues when they seek such advice. The Congregation shall carry professional insurance and indemnify the Rabbi from lawsuits resulting from his good faith exercise of his role as a counselor. 17) make every reasonable effort, time allowing, to engage in productive and collaborative relationships with prospective members of the community, other Orthodox rabbis and Jewish organizations in the area, and if a local Vaad exists, he shall endeavor to be a member and be involved with communal oversight of Kashrut, Eruv, Mikvah, Chevra Kadisha, and any and all efforts of the Vaad. 18) participate, on the Congregation s behalf, in discussions and activities pertaining to the support and welfare of the State of Israel and the Jewish people. 19) not involve himself, directly or indirectly, with Congregation elections. 20) not be authorized to commit general Congregation funds, to permit use of Congregation facilities, or to negotiate or enter into agreements on behalf of the Congregation or in the name of the Congregation. 21) assist, upon request of the President or the Board of the Congregation, in fundraising activities of the Congregation.

4 22) foster positive relationships with the youth in the Congregation and work with the youth committee and/or youth director in formulating and implementing programming for the youth groups. 23) work together with the Board to create policies regarding the Rabbi s Discretionary Fund, in accordance with Rabbinic Council of America guidelines. [OPTIONAL: The Congregation and the Rabbi have discussed the role and expectations of the Rabbi s wife in a mutually satisfactory fashion and determined that.] The Rabbi s duties shall not be limited to the enumerated duties listed above, and the Rabbi shall undertake those activities that may be required by the Congregation consistent with the position of Rabbi. Should the Rabbi be asked to take on such additional responsibilities, it will be understood that his other responsibilities may be diminished accordingly. 5. COMPENSATION AND BENEFITS a) Salary. Congregation shall compensate the Rabbi with a base annual salary of $ in the first year, and $ in the second year. In any Renewal Term, the parties shall negotiate in good faith as to any increase to the Rabbi s annual salary provided, however, that the annual increase in salary shall not be less than the change in the Cost of Living Index (the Consumer Price Index for All Urban Consumers, U.S. City Average, published by the U.S., Department of Labor s Bureau of Labor Statistics or any successor thereto) for the relevant calendar year. The base salary shall be paid bi-monthly in gross. b) Housing. Congregation agrees to provide the Rabbi with usage of the house located at [address]. [OR Congregation shall pay, as parsonage, a rental allowance (within the meaning of Section 107 of the Internal Revenue Code) to the Rabbi, payable monthly, at an annual rate of $, which shall be treated as excluded from the Rabbi's gross income pursuant to Section 107 of The Internal Revenue Code, to the maximum extent permitted under the Internal Revenue Code and the regulations thereunder, provided however, Congregation will review upward adjustments to such amount in lieu of payment as compensation to the extent the same is permissible under applicable IRS Rules and Regulations.] Such rental allowance shall be deductible from base salary. [ADDITIONAL POTENTIAL LANGUAGE: Notwithstanding the foregoing, in the event that the Rabbi wishes to purchase a house, the Congregation will provide the Rabbi with a bridge loan for the amount of the down payment for such home until such time as the Rabbi is able to sell his existing house using best efforts to do so in an expeditious fashion. The Congregation will obtain such loan at its sole cost and expense. Additionally, if in connection with the purchase of a home in the community the Rabbi requests additional assistance from the Shul in the form of an interest free long-term loan, the President or his designee and the Rabbi will work on mutually acceptable arrangements to allow the purchase of a home that is appropriate for the Rabbi and his family.]

5 c) Benefits. Congregation shall provide the Rabbi with family coverage health and dental insurance, as well as a term life insurance policy in the amount of $1,000,000 and a long-term disability policy. d) Pension. During each year of the term of this Agreement, the Congregation shall contribute the amount of % of the Rabbi s base salary, which contribution will be paid at the end of the first full year and semi annually in the second year and quarterly thereafter, if still employed at each such time, into a qualified pension plan (e.g., the Rabbinical Council of America plan) approved by the Board of the Congregation. Rabbi acknowledges that Congregation does not participate in the Jewish custom of severance known as Chodesh L Shanah, and as such and in light of the aforementioned pension contributions and benefits set forth herein, except as otherwise provided in this Agreement, Congregation shall not be obligated to pay Rabbi any severance or other payments upon the termination of his employment by Congregation or him for any reason. [OPTIONAL: If no Pension Plan is established, the Rabbi shall receive Chodesh L Shanah as severance. The Congregation shall be responsible for paying the Rabbi the amount specified by the Chodesh L Shanah formula in the first year of the Rabbi s Renewal Term.] e) Car Allowance. The Congregation shall provide the Rabbi with a monthly car allowance of $ per month. f) Moving Expenses. The Rabbi will be reimbursed for reasonable expenses related to moving his family from to, up to a maximum of [$10,000]. g) Entertainment Expenses. Congregation will make available from the Shul budget an annual allowance of $5,000, payable monthly, to reimburse the Rabbi for the cost of entertaining members of the Congregation at the Rabbi's home on Shabbat and holidays and/or to attend members life cycle events. h) Reimbursement for Seminar Attendance. Congregation will pay for the Rabbi s attendance at up to 2 Rabbinical/Scholarly conventions per year, up to a maximum of $2000 per year in expense, subject to the President of the Shul and the Rabbi coordinating the scheduling of such attendance. i) Reimbursement for Organizational Membership. Congregation will pay for the Rabbi s annual membership fee to become and remain a member of the Rabbinical Council of America and of the Rabbinic Alumni Association of the Yeshiva that granted semicha to the Rabbi, up to a maximum of $750 per year. 6. COMMUNICATION a) To facilitate the membership's ability to communicate with the Rabbi at almost any and all times, Congregation will pay for and provide the Rabbi with: i) a telephone line with voice mail in the Congregation office;

6 ii) a laptop computer and a mobile telephone or blackberry type device with service, with the cost of monthly service paid by Congregation; iii) internet service from the Rabbi's home computer, with capabilities. b) The Rabbi s performance on all of the duties enumerated in section 4 above ( Duties of the Rabbi ) shall be evaluated every six months during the Initial Term, and thereafter on no less than an annual basis, by a Rabbi Liaison Evaluation Committee, which shall be appointed by the Board of Directors and which shall share its findings with and provide feedback to the Rabbi every six months (or no less than annually if after the Initial Term). The Rabbi shall be free to share concerns with the Rabbi Liaison Committee at quarterly meetings and the Committee will be responsive to the Rabbi s concerns. All discussions or deliberations between the Rabbi and the Rabbi Liaison Committee will be kept strictly confidential by all participants except to the extent necessary to facilitate solutions. 7. VACATION AND LEAVE a) The Rabbi will be allowed an annual vacation period of up to four weeks per year, provided however that not more than two weeks may be taken consecutively. The Rabbi shall consult with the President before scheduling vacation times. b) The Congregation recognizes the importance of the Rabbi maintaining a personal and family life, and, as such, the Rabbi shall be entitled to take a day off per week, other than Shabbat, but shall nonetheless be expected to attend daily services and be available for emergencies. c) The Rabbi shall be allowed to take off 2 Shabbatot per year in addition to regular vacation time, subject to section 7(d) below. d) The Rabbi shall notify the Congregation President in advance when he wishes to utilize his vacation or other leave, within a reasonable time frame, but not less than four weeks in advance. At no point may the Rabbi's vacation occur on Shabbat Hagadol, Shabbat Shuva, Shabbat Zachor, any Jewish holiday, or when he has reasonable advance notice of a lifecycle event of a community member. It will be the sole responsibility of the Board or its designee to inform congregants that, to the extent practicable, they are expected to inquire as to the Rabbi s availability before scheduling lifecycle events that otherwise require his participation. e) Should it be decided prior to the expiration of any Term that the Rabbi s contract will not be renewed and the Rabbi wishes to participate in prubbas (auditions for rabbinic positions) in other communities, such prubbas will be treated as vacation. Alternatively, if the community wishes to bring in a rabbi for a prubba and requests that the Rabbi not be present for that weekend, it shall not be treated as vacation, but rather as additional paid leave. f) In the case of unforeseen circumstances, the Congregation President must approve any additional leave periods. g) The Rabbi shall, to the best of his ability, remain accessible via phone and/or to Congregation members during his absence from the community for pastoral emergencies.

7 h) [OPTION: Sabbatical. After seven years of service, the Congregation will grant a Sabbatical leave for the purpose of allowing the Rabbi an opportunity to broaden his Torah knowledge and continue and intensify his Torah studies. The duration of such leave shall be determined through negotiation with the Board. During such Sabbatical leave, the Rabbi will continue to receive his base salary at the level of the prior year, together with benefits pursuant to paragraphs 5(b) (d).] 8. TERMINATION (a) Termination Upon Death. The death of the Rabbi (Heaven forbid) shall automatically terminate all rights under this Agreement, except for earned but unpaid salary. (b) Termination With Cause. Congregation shall have the right to terminate this Agreement, in its sole discretion, upon the occurrence of any one of the following events: (i) The Rabbi fails to reasonably perform his duties under this Agreement or otherwise breaches the Agreement, Congregation gives the Rabbi notice of his failure to perform, specifying in reasonable detail the nature of the default, and thirty days pass without cure; or (ii) The Rabbi engages in any conduct which, in the good faith discretion of the Congregation, constitutes serious unethical, immoral, or illegal behavior, otherwise reflects moral turpitude, or has an objectively adverse impact on the name or public image of Congregation; or (iii) The Rabbi is declared of unsound mind by an order of a court of competent jurisdiction, commits a felony or fraudulently or intentionally commits an act which is, in the sole discretion of Congregation, directly detrimental to the Congregation; or (iv) The Rabbi is (Heaven forbid) disabled. Disability, for purposes of this Agreement shall mean a condition resulting from any physical injury, or any illness, or a physical or psychological condition, which shall render the Rabbi incapable of performing the essential functions of his position without reasonable accommodation for a period of three consecutive months or for any four month combined period of time out of a twelve month annual period. In the event of a Termination with Cause, the Rabbi acknowledges that Congregation does not participate in the Jewish custom of severance known as Chodesh L Shanah, and as such will not receive any severance or other payments upon the termination of his employment under this section. (c) Termination Without Cause. Congregation shall have the right to terminate this Agreement at any time, upon six months written notice. In the event that the Rabbi has not completed his term with the Congregation, termination without cause will require the Congregation to pay to the Rabbi the full amount remaining of the contract 9. MISCELLANEOUS a) Entire Agreement. This Agreement supersedes any and all prior discussions and agreements between the Congregation and the Rabbi with respect to matters contained herein, and this

8 Agreement contains the sole and entire understanding between the parties hereto with respect to the subject hereof. b) Non-Modification. This Agreement shall not be altered or modified except by a subsequent writing signed by the Congregation and the Rabbi. Each of the provisions of this Agreement is for the sole and exclusive benefit of the parties hereto, and none of the provisions of this Agreement shall be deemed to be for the benefit of any other person or entity. c) Interpretation. Issues not addressed in this Agreement shall be brought to the President and/or Board of Directors of the Congregation for discussion and resolution. In the event of a disagreement between the Rabbi and the Board, or in the event that an issue arises that the parties wish to resolve in the presence and with the assistance of a third party, the parties designate Rabbi as a neutral third party for such matters. d) Arbitration/Beth Din. In the event that a dispute or disagreement arises under this agreement, and such dispute or disagreement cannot be resolved by Rabbi pursuant to paragraph 9(c), the parties designate the Beth Din of America as the sole arbiter and agree that they will abide by the decision of three impartial judges of the Beth Din of America and will not resort to secular courts for relief. Notwithstanding the foregoing, the Parties acknowledge and agree that nothing in this Section 9(c) and 9(d) shall limit, remove or affect the right of Congregation to terminate Rabbi s employment pursuant to Section 8 above. e) Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which taken together shall constitute one complete document and the delivery to a party by facsimile transmission of an executed original hereof and/or the retransmission of any executed facsimile transmission hereof shall be deemed to be the same as delivery of an executed original. It is understood by the parties that the successful relationship between a Rabbi and his Congregation depends almost entirely on the good faith of each party carrying out such party's respective duties in the spirit and letter of Jewish law.
