In the event that Mr. Suky is unable to immediately submit confirmation of the safety and the lawful operation of the asset, among other reasons, in connection with the proper functioning of the fire-extinguishing system and the validity of the insurance policy, then it is necessary to order that the hotel be closed down immediately, for a t emporary period, until such time as its operation in accordance with the provisions of the law is guaranteed. We wish to emphasize that there is no reason to delay the immediate closure of the asset, not even by one more day. The fact that for a protracted period of time, the asset has been operating without a fire-extinguishing system and in contravention of the law is sufficient to necess itate the joint company's decision on the i mmediate closure of the hotel (the renovation works may be performed during the period that the hotel is c losed, and not whilst it is operational). U-Trend is not willing for the joint company to bear any legal liability (not to mention any criminal liability), as a consequence of the condition into which Mr. Suky has let the asset deteriorate. Given that the continued operations of the hotel entail a safety risk and legal exposure as Mr. Suky himself pointed out in h is last letter then it would be appropriate to order the immediate closure of the asset. 2. In the ev ent that Mr. Suky shall provide, during the next meeting, wellgrounded explanations regarding the proper functioning and the safety of the continued operation of th e hotel, then the position of th e joint company should be that the continued operation of th e hotel must be done by an external, professional management company. 3. In the event that Mr. Suky should demand an injection of funds into the asset by the shareholders, then the position of the joint company should be that it has no intention whatsoever of ex amining an injecti on of funds into the

7 2 hotel, until after receipt of the financial data, in their entirety, with regard to the hotel's operations under Mr. Suky's management, and the reimbursement of the full amount of funds which he withdrew unlawfully.
