3 2003 PREAMBLE The Pastor, Deacons and Members of Shiloh Missionary Baptist Church declare and establish this constitution to preserve and secure the principles of our faith, and to govern the body in an orderly manner. This constitution will preserve the liberties of each individual church member and the freedom of action of this body in its relation to other churches. 9 ARTICLE I SECTION 1. 0 Name This corporation shall be known as Shiloh Missionary Baptist Church of Barrett Station Physical Address: Crosby Lynchburg Road Barrett Station, Texas Mailing Address: P.O. Box 3477 Barrett Station, Texas ARTICLE II SECTION 1. 0 Duration This period of duration is until the Second Coming of Christ. ARTICLE III SECTION 1. 0 Objectives The objective shall be to pursue missionary endeavors, provide Christian Education and practice benevolence. ARTICLE IV SECTION 1. 0 Faith The Holy Bible is the inspired word of God and is the basis for our statement of faith. We band ourselves together as a body of baptized believers in Jesus Christ, personally committed to sharing the good news of salvation to lost mankind. The ordinances of the church are Baptism and the Lord s Supper. ARTICLE V SECTION 1. 0 Relationships The government of this church is vested in the body of the believers who compose it. It is subject to the control of no other ecclesiastical body, but recognizes and sustains the obligations of mutual counsel and cooperation, which are common among Baptist churches. Revision.01 9

10 ARTICLE VI SECTION 1. 0 Covenant Having been led, as we believe, by the Spirit of God, to receive the Lord Jesus Christ as our Savior, and on the profession of our faith; having been baptized in the name of the Father, and of the Son, and of the Holy Ghost; we do now in the presence of God s Angels and this assembly, most solemnly and joyfully enter into covenant with one another as one body in Christ. We engage therefore, by the aid of the Holy Spirit, to walk together in Christian love; to strive for advancement of this church in knowledge, holiness, and comfort; to promote its posterity and spirituality; to sustain its worship, ordinances, discipline, and doctrines; to contribute cheerfully and regularly to the support of the ministry, the expenses of the church, the relief of the poor and the spread of the gospel through all nations. We also engage to maintain family and secret devotions; to religiously educate our children; to seek salvation of our kindred and acquaintances; to walk circumspectly in the world; to be just in our dealing, faithful in our engagements and exemplary in our deportment; to avoid all tattling, backbiting and excessive anger; to abstain from the sale of and use of intoxicating drinks as a beverage and to be zealous in our efforts to advance the kingdom of our Savior. We further engage to watch over one another in brotherly love; to remember each other in prayer; to aid each another in sickness and distress; to cultivate Christian sympathy in feeling and courtesy in speech; to be slow to take offense, but always ready for reconciliation; to be mindful of the rules of our Savior and to secure it without delay. We moreover engage that when we remove from this place we will, as soon as possible unite with some other church, where we can carry out the sprit of this covenant and the principles of God s Word. 12 ARTICLE OF INCORPORATION SECTION 1. 0 Articles of Incorporation The name of the corporation shall be Shiloh Missionary Baptist Church of Barrett Station, Physical Address: Crosby Lynchburg Road Barrett Station, Texas Mailing Address: P.O. Box 3477 Barrett Station. Texas ARTICLE II TYPE SECTION 1. 0 Non Profit Corporation The corporation is a non-profit corporation. ARTICLE III PURPOSE SECTION 1. 0 Purposes a) Said corporation organized exclusively for charitable, religious, educational and scientific purpose; including for such purpose, the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. b) No part of the net earnings of the corporation shall insure to the benefit of, or be distributable to its member s trustees, officers or other private persons. Except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose above. No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation. The corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Not withstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on. c) Said corporation is exempt from federal income tax under section 501 (c) (3), of the Internal Revenue Code; or the corresponding under section 170 (c), of the Internal Revenue Code; or the corresponding section of any future federal tax code. d) Upon the dissolution of the corporation or the winding up of its affaires, the assets of the corporation shall be distributed exclusively to non-profit organizations, foundations or corporations, which have exempt purpose similar to this corporation. The said non-profits must also qualify as tax-exempt organizations under the provisions of the Internal Revenue Code and its Regulations as they now exist or as they may hereafter be amended. 13 ARTICLE IV INITIAL REGISTER SECTION 1. 0 Initial Registered Office and Agents The street address of the initial registered of the corporation is Crosby Lynchburg Road Barrett Station, Texas Mailing address P O Box 3477 Barrett Station, Texas and the initial registered agents at said address are the Deacons of this Church. ARTICLE V DIRECTORS SECTION 1. 0 Board of Directors Those individuals holding the office of Pastor and Deacons in harmony with the standards of Scripture, the Confession of Faith and the church constitution shall automatically become Directors. The current Pastor and Deacons constitute the Board of Directors. Automatic qualification or disqualification of the individuals holding the aforementioned church officers may change the number. During the time, a church officer takes a leave of absence or a sabbatical from the duties of their church office that director shall automatically be relieved from voting and participating in corporate affairs. Accordingly, no change to this Bylaw is made for automatic change. There shall be a President, Vice President and Secretary whose term of office shall equal to the same term as Deacon Chairman, Assistant Deacon Chairman and Deacon Secretary. SECTION 1. 1 Duties of the Board of Directors President The position of Board of Directors President shall automatically be filled by the Deacon Board Chairman. Term of office will be three years with a maximum of two terms. Additional terms must be approved by the Board of Directors. The Board of Directors President responsibilities are to: a) Preside over Board of Director s meetings. b) Coordinating and supervising the work of the church, as requested. c) Direct the Board of Directors members in developing church objectives and plans for church goal priorities. d) Make certain that the business meeting agenda is reviewed jointly with the Pastor and Deacons prior to the business meeting. e) May sign with Board of Directors Vice President, Board of Directors Secretary in the name of the corporation and / or attest the signature of either to all contracts, conveyances, transfers, assignments, encumbrances, and executed for or on behalf of the corporation and affixes the corporate seal of the corporation thereto. f) In the event the Board of Directors President becomes vacant, the Board of Directors Vice President will assume all duties until that officer is replaced. g) Board of Directors President is under the authority of the Church. 14 SECTION 1. 2 Duties of the Board of Directors Vice President The position of Board of Directors Vice President shall automatically be filled by the Asst. Deacon Board Chairman. Term of office will be three years with a maximum of two terms. Additional terms must be approved by the Board of Directors. The Board of Directors Vice President responsibilities are to: a) Perform the duties of Board of Directors President in his absence or vacancy. b) Assist the Board of Director President coordinating and supervising the work of the church, as requested. c) May sign with Board of Directors President, Board of Directors Secretary in the name of the corporation and / or attest the signature of either to all contracts, conveyances, transfers, assignments, encumbrances, and executed for or on behalf of the corporation and affixes the corporate seal of the corporation thereto. d) Board of Directors Vice President is under the authority of the Church. e) In the event the Board of Directors Vice President become vacant, the Board of Directors Secretary will assume all duties until that officer is replaced. SECTION 1. 3 Duties of the Board of Directors Secretary The position of Board of Directors Secretary shall automatically be filled by the Deacon Board Secretary. Term of office will be three years with a maximum of two terms. Additional terms must be approved by the Board of Directors. The Board of Directors Secretary responsibilities are to: a) Shall keep the minutes of all Board of Directors meetings. b) Perform all duties incidental to the office of Board of Directors Secretary and such other duties as from time to time may be assigned to him by the Board of Directors President. c) Shall keep records of the board members entitled to vote. d) Shall attend to the giving and serving of all notices of Board of Directors meeting, letters and such other duties as from time to time may be assigned to him by the Board of Directors President. e) May sign with Board of directors President, Board of Directors Vice President in the name of the corporation and / or attest the signature of either to all contracts, conveyances, transfers, assignments, encumbrances, and executed for or on behalf of the corporation and affixes the corporate seal of the corporation thereto. f) In the event the Board of Directors Secretary become vacant. Board of Directors President will appoint a temporary Board of Directors Secretary replacement until that officer is replaced. g) Board of Directors Secretary is under the authority of the Church. SECTION 1. 4 Powers of Directors The activities and affairs of this corporation shall be conducted and all powers shall be exercised by or under the direction of the Board of Directors, and subject to church approval concerning all matter of Shiloh Missionary Baptist Church. SECTION 1. 5 Duties of Directors The Pastor and the Deacon Board shall automatically fill the positions of Board of Directors. It shall be the duty of the directors to: Revision.01 14

15 a) Perform any and all duties imposed on them collectively or individually by law, by the Articles of Incorporation of this corporation, or by the Bylaws b) Meet at such times and places as required by these Bylaws or as deemed necessary. SECTION 1. 6 Terms of Office Each Director shall hold their offices for the same term as their service as Pastor or Deacon. SECTION 1. 7 Compensation Directors shall serve on the Board without compensation ARTICLE VI DIRECTORS MEETING SECTION 1. 0 Regular Meeting Regular meetings shall be held whenever called by the President or designate, or by a simple majority of the directors. Notice of this meeting shall be made by any of the following means; public announcement, personal contact, telephone message, postal mail or . SECTION 1. 1 Quorum for Meetings A majority of active Board members physically present in a duly called meeting shall constitute a quorum. No Board of Directors business is considered official at which a quorum is not present. Exceptions to this must be provided in these Bylaws or in the Articles of Incorporation of this corporation. SECTION 1. 2 Voting Rules A quorum must be present to conduct all church business. The Pastor and Deacons present must constitute a minimum of fifty-one percent (51%) of the total Board of Director membership to transact all church business. Every act or decisions done or made by a minimum of 51% of those directors present, at a duly held meeting, at which a quorum is present, shall be regarded as the act of the Board SECTION 1. 3 Conduct of Meetings Meetings of the Board of Directors shall be presided over by the Director President, who is also the Chairman of the Deacon Board. In his absence the Director Vice-President who is the Assistant Deacon Chairman shall presided over the meeting. In his absence the Director Secretary who is the Deacon Board Secretary shall preside over the meeting. A chairperson may be chosen by a majority of the Directors present at the meeting in lieu of an absent Director President. ARTICLE VII DIRECTORS LIABILITY Revision.01 15

16 SECTION 1. 0 Non-Liability of Directors The Directors shall not be personally liable for the debts, liabilities, or other obligations of the corporation. ARTICLE VIII FINANCES SECTION 1. 0 Accounting All funds for any and all purposes shall be deposited in the appropriate account by the General Treasurer or the General Treasurer Assistant and properly recorded on the books of the church. The General and Assistant Treasurers shall be bonded. SECTION 1. 1 Bank Accounts The church shall maintain several checking and investment accounts as needed. Those accounts are: a) General - used for operation expense of the church and other church approved expenses. b) Building used for church improvements, maintenance and property acquisitions. c) Benevolent used to help those requesting financial aid from the church. d) Investment used to assist with further expenditures as needed for the church. SECTION 1. 2 General Account Disbursements Disbursements from all bank accounts shall be halted when the total collective balance of all accounts is $30,000 or less except in the case where the secretary has been instructed to make a disbursement as a result of an action from a stated business meeting. SECTION 1. 3 Audits Independent contracted auditor shall provide church financial audit every five (5) years unless church deem otherwise. ARTICLE IX RECORD KEEPING SECTION 1. 0 Membership Records The Church Secretary maintains a record of each member of the church. The records shall be organized to identify both active and inactive members. Each membership record shall also show the type of membership. The Church Secretary shall present the Membership record for all members to the Board of Directors annually. SECTION 1. 1 Financial Records The Church Secretary shall maintain a financial record for each member of the church. Individual Revision.01 16

17 financial records shall be issued to each member annually. The Church Secretary shall present the financial record for all members to the Board of Directors per request. The Church Secretary shall maintain a record of all of the church s receipts and disbursements. These records shall be audited annually by the Director of Business Administration and presented in an annual report. Revision.01 17

19 ARTICLE X CHURCH MEMBERSHIP SECTION 1. 0 Membership A member must be a redeemed person who has accepted Jesus Christ as Lord and Savior of ones life. Criteria Governing Official / Accepted Membership: a) Any individual who publicly, personally or by document makes a confession of acceptance and commitment of faith in Jesus Christ, consistent with, Part I Constitution, Article VI, Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. Receives the right hand of fellowship from the Pastor, or authorized minister, and the ordinance of baptism, Part III Bylaws, Article XXII, and Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. b) Any individual who publicly and personally presents a document of membership from another Baptist Church, consistent with Part I Constitution, Article VI, Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. c) Any individual who publicly and personally presents a document of membership from a Non-Baptist Church and complies with the membership criteria of Shiloh Missionary Baptist Church, consistent with Part I Constitution, Article VI, Section 1.0 and Part III Bylaws, Article XXII, and Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. d) Any individual under 16 years old are exempt from all membership criteria of Part II Articles of Incorporation, Article X, Section 1.0, including items A thru C. SECTION 1. 1 Candidacy Any person may offer themselves as a candidate for membership in this church. All such candidates shall be presented to the church at any regular church service for membership by profession of faith and baptism, transfer of membership by letter or by restoration upon a statement of prior experience and baptism in a Baptist church when no letter is obtainable. SECTION 1. 2 Membership Types There shall be four types of memberships, they are: a) Active 1. Any member, age 16 years or older, who attends a regular Shiloh Missionary Baptist Church service at least once within a semiannual (six month) period. Consistent with Part II Articles of Incorporation, Article IX, Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. Disabled and handicapped members are exempt. 2. Any member, age 16 years or older, who has made a financial contribution at least once within a semiannual (six month) period. Consistent with Part II Articles of Incorporation, Article IX, Section 1.0 in the Bylaws for the Shiloh Missionary Baptist Church. Disabled and handicapped members are exempt. b) Inactive Any active member who is not in compliance Article X, Sec. 1.2(a) active membership. c) Youth Any individual younger than 16 years old. d) Watchcare Any individual who is not a permanent resident. This is a temporary membership only. Individuals falling under the following conditions are not recognized as members of Shiloh Missionary Baptist Church. a) Any individual who makes a personal, verbal or written admission of membership in another Church that can be substantiated by testimony or written evidence. b) Any individual who is certified as a member of another Church by a clergyman. 20 c) Any individual with a verified request for transfer of membership (Church Letter) on file by the Church Clerk. SECTION 1. 3 Voting Voting rights are extended to all Active members who are 16 years of age and older. ARTICLE XI OFFICERS SECTION 1. 0 Officers * Detail description of each officer will be in the Church Operation Manuel Handbook. SECTION 1. 2 Vacancies Temporary vacancies can be filled by the chain of command with Pastor, Deacons (Board of Directors) approval. Permanent vacancies in any office shall be filled by recommendation of the Pastor, Deacons (Board of Directors) for approval by the church. SECTION 1. 3 Removal from Office Any office holder is subject to removal from office as a results of recommendation from: a) Nomination Committee, will forward recommendations to the Pastor, Deacons (Board of Directors) for Church Membership approval. b) Vacancy of the Nomination Committee, recommendations for the Pastor, Deacons (Board of Directors) for Church Membership approval. The Deacon Chairman responsibilities are to: a) Preside over Pastor and Deacons meetings. b) Assist the Pastor in coordinating and supervising the work of the church, as requested. c) Lead Deacon Board members in developing church objectives and plans for church goal priorities. d) Make certain that the business meeting agenda is reviewed jointly with the Pastor and Deacons prior to the business meeting. e) Access to and understanding of Church computer financial programs. f) Assign a Deacon to assist in counting of monies from Sunday services. The Deacons Secretary responsibilities are to: a) Shall keep the minutes of all Deacons meetings. b) Perform all duties incidental to the office of Deacon Secretary and such other duties as from time to time may be assigned to him by the Deacon Chairman. c) Shall keep an accurate record of the board members attendance. d) Shall attend to the giving and serving of all notices of Deacons meeting, letter and such other duties as from time to time may be assigned to him by the Deacon Chairman. e) Perform all duties of the Assistant Deacon Chairman in his absent or vacancy. f) In the event the Deacon Board Secretary become vacant. Deacon Chairman will appoint a temporary Revision.01 22

23 Deacon Secretary replacement until that officer is replaced. SECTION 1. 3 Deacons Deacon shall be filled through recommendations and approval as deemed by the Pastor and Deacons (Board of Directors). There is no term limit for this office. The Deacons shall conduct a monthly meeting with the Pastor on the Monday after the third Sunday. The Pastor and Deacons shall review all committee, staff, officer and individual request for appearing on the business meeting agenda. Upon completion of review, the Pastor and Deacons shall prepare the agenda for the business meeting. The responsibilities of the deacons are to: a) Serve as an exemplary Christian leader. b) Proclaim the Gospel to believers and unbelievers. c) Care for the church s members and other persons in the community. d) Build Christian Fellowship among church members. e) Support the Deacons and the Pastor in the work of the church. f) Open worship services, church services, and special services. g) Support the Pastor in performing the church ordinances. h) Assist in counting of monies from Sunday services. i) Review business meeting agendas and individuals, committee or staff requests prior to business meeting.. j) Develop and recommend to the church suggested church objectives and goals. k) Develop and recommend to the church plans for reaching church goals. l) Study, analyze, and coordinate suggested program plans from church officers, staff, auxiliaries, committees, and individual members. Synchronize and harmonize suggested programs of work. m) In the event the Deacon Chairman, the Assistant Deacon Chairman and Deacons Secretary positions become vacant. Deacons will appoint a temporary Deacon Chairman replacement until that officer is replaced. n) The temporary Deacon Chairman will appoint temporary Assistant Deacon Chairman and a Deacon Secretary to serve until those officers are replaced. The Deaconess Treasurer responsibilities are to: a) Keep an accurate record of all monies received. b) Prepare monthly reports of monies received. c) Prepare and submit report at each business meeting. d) Provide assistance to the Deaconess President as requested. e) Perform the duties of Deaconess Secretary doing her absence or vacancy. SECTION 1. 8 Deaconess The Deaconess shall be filled through an appointment of their husband as Deacon. The Deaconess responsibilities are: Revision.01 24

25 a) Serve as an exemplary Christian leader. b) Proclaim the Gospel to believers and unbelievers. c) Care for the church s members and other persons in the community. d) Build Christian Fellowship among church members. e) Support the Pastor and Deacons in performing the church ordinances (Baptism and Lord s Supper). This includes assistance in preparing Baptismal candidates for water submersion. Relative to the Lord s Supper, this includes table cloth maintenance, meal preparation, arm & head band maintenance and supper utensil upkeep. f) Provide assistance to the Deaconess President as requested. g) In the event the Deaconess President, Deaconess Vice President, Deaconess Secretary, and Deaconess Treasurer become vacant. Deaconess will appoint a temporary Deaconess President replacement until that officer is replaced. h) The temporary Deaconess President will appoint temporary Deaconess Vice President, Deaconess Secretary and Deaconess Treasurer until those officers are replaced. SECTION 1. 9 Sunday School Superintendent Sunday School Superintendent shall be filled through recommendations as deemed by the Pastor and Deacons. The recommendation can be waived in favor of an election upon approval from the Pastor and Deacons (Board of Directors). The Sunday School Superintendent shall work with the Pastor, Director of Education and the Sunday School Superintendent Assistant in establishing goals for Sunday school and Baptist Training Union. Additional responsibilities are: a) Presides over the Sunday School session on Sunday mornings. b) Make available equipment and other educational materials needed for the morning session of Sunday School. c) Ensure proper training program for Sunday School teachers. d) Prepare and submit financial report at each business meeting. e) Ensure a representative is present at each business meeting. f) Submit yearly budget proposal to Trustee Board for review. g) Obtain substitute for absent teachers. h) Provide recommendations to Pastor and Deacon Board for acquiring qualified Sunday School teachers. i) Sunday School Superintendent is under the authority of the Director of Education. j) The Sunday School Superintendent will be subject to a performance evaluation of that office by the Director of Education or Board of Directors. k) Perform duties of the Director of Education doing the absent or vacancy until that officer is replaced. SECTION Sunday School Superintendent Assistant Sunday School Superintendent Assistant shall be filled through recommendations as deemed by the Pastor and Deacons. The recommendation can be waived in favor of an election upon approval from the Pastor and Deacons (Board of Directors). Additional responsibilities are: a) Perform duties of the Sunday School Superintendent doing the absent or vacancy of that officer until that officer is replaced. b) Obtain substitute for absent teachers. c) Provide recommendations to Pastor and Deacon Board for acquiring qualified Sunday School teachers. d) Assist in preparing financial report for each business meeting. e) The Sunday School Superintendent Assistant will be subject to a performance evaluation of that office Revision.01 25

Baptist Training Union is divided into departments for all ages and conducted under the direction of a Baptist Training Union Director. The training union shall serve as the training organization for the Church. The Director of the Baptist Training department is to oversee all aspects of the Baptist Training for the Church. Responsibilities are: a) To orient and train new converts and members of our church. b) Train church members to perform and function in our church. c) Train church leaders. d) Teach the Baptist faith and why I m a Baptist. e) Teach Christian theology. f) Teach Christian and church ethics. g) Teach Christians our church history; church policy and organization structure. h) Teach the function and work of the church. i) Perform duties of the Sunday School Superintendent Assistant doing there absent. j) Prepare and submit financial report at each business meeting. k) Ensure a representative is present at each business meeting. l) Submit yearly budget proposal to Trustee Board for review. m) Baptist Training Union Director is under the authority of the Director of Education. n) The Baptist Training Union Director will be subject to a performance evaluation of that office by the Director of Education or Board of Directors. Vacation Bible School is divided into departments for all ages and conducted under the direction of a Vacation Bible School Director. The Vacation Bible School shall serve as one of the modes for the training for the church. Responsibilities are: a) Provide a curriculum that will accomplish the students learning and active participation for 1-2 weeks doing the summer months b) Make available equipment and other educational materials needed for the Vacation Bible School. c) Ensure proper training program for Vacation Bible School teachers. d) Submit yearly budget proposal to Trustee Board for review. e) Vacation Bible School Director is under the authority of the Director of Education. f) The Vacation Bible School Director will be subject to a performance evaluation of that office by the Director of Education or Board of Directors. 28 b) Advise the Trustees in managing church legal documents. c) Advise the Trustees in handling of the building and general funds according to the church budget and church authorization. d) Advise the Trustees in providing recommendations in regards to buying and selling of property according to church authorization. e) Schedule monthly meeting with the Trustees to review Church Business. f) Schedule quarterly meeting with the Pastor, Deacons for review of Church Business. g) Ensure a representative is present at each business meeting. h) Trustees President shall have computer access to Church finance programs to assist in generating monthly expenditure reports and yearly budgeting. Access will be in read only form. i) The Trustees President is under the authority of the Director of Business Administration. j) The Trustees President will be subject to a performance evaluation of that office by the Director of Business Administration or Board of Directors.
