3 Article I: Name of Organization The name of this organization shall be Denver Christian Bible Church. This organization was incorporated in the State of Colorado in the year of It will be referred to hereinafter as DCBC. Article II: Purpose of the Organization The purpose of this church is to glorify God, proclaim the Gospel and equip Christians through education and discipleship. Article III: Statement of Beliefs Come to Me, all you who labor and are heavy laden, and I will give you rest. Take My yoke upon you and learn from Me, for I am gentle and lowly in heart, and you will find rest for your souls. For My yoke is easy and My burden is light. Matthew 11:28-30 NKJV Scripture We believe that all scripture is inspired by God and it is profitable for teaching, for reproof, for correction, for training in righteousness. Therefore, it expresses truth without error and it is the supreme standard by which all human conduct, creeds, and opinions shall be tried. II Timothy 3:16-17; II Peter 1:19-21 True God We believe there is only one living and true God, an infinite Spirit, the Maker and Supreme Ruler of Heaven and earth; inexpressibly glorious in holiness, and worthy of all possible honor, confidence and love; that in the unity of the God- head there are three persons: the Father, the Son and the Holy Spirit, equal in every divine perfection, and executing distinct but harmonious offices in the great work of redemption. 4 Jesus Christ We believe in Jesus Christ, God's only begotten Son who himself is God incarnate, conceived by the Holy Spirit. We believe in His virgin birth, sinless life, miracles and teachings. We believe in His substitutionary atoning death, bodily resurrection, ascension into heaven, perpetual intercession for His people, and personal, visible return to earth. Isaiah 52:11-53:12; Matthew 3:16-17; Mark 9:35; Acts 1.9; Hebrews 1:1-4 Holy Spirit We believe that the Holy Spirit is a divine person; that with God the Father and God the Son, and of the same nature; that He was active in the creation; that in His relation to the unbelieving world He restrains the Evil One until judgment; that He bears witness to the Truth of the Gospel in preaching and testimony; that He is the agent in the New Birth; that He seals, endues, guides, teaches, witnesses, sanctifies, and helps the believer. John 14:16-17; Matthew 28:19; Hebrews 9:14; John 14:26 Devil or Satan We believe that Satan is the unholy god of this age, and the author of all the powers of darkness, and is destined to the judgment of an eternal justice in the Lake of Fire. Matthew 4:1-3; II Corinthians 4:4 Creation We accept the Genesis account of creation and believe that man came by direct creation of God and not by evolution. Genesis 1 & 2; Colossians 1:16-17; John 1:3 Fall of Man 4 Page We believe that man was created in innocence under the law of his Maker, but by voluntary transgression, fell from his sinless and happy state. Consequently, all mankind are now sinners, not only by constraint, but of choice, and are therefore under just condemnation without defense or excuse. Genesis 3:1-6; Romans 5:19; Romans 5:12; Romans 5:10-19; Romans 1:18; Romans 1:32

5 Virgin Birth We believe that Jesus was begotten of the Holy Ghost in a miraculous manner; born of Mary, a virgin; as no other man was ever born or can ever be born of woman; and that He is the only begotten Son of God. Genesis 3:15; Isaiah 7:14; Matthew 1:18-25; Luke 1:35; John 1:4; John 3:16 Atonement for Sin We believe that the salvation of sinners is by grace alone, through faith alone. Jesus, the Son of God, who by appointment of the Father, freely took upon Himself our nature, (yet without sin), and became obedient to the point of death, even the death on the Cross, and that by His death He made a full and vicarious atonement for our sins. His atonement was a voluntary substitution- the Just (Jesus) dying for the unjust (mankind). We believe in the bodily resurrection of Jesus, and that He is now enthroned in Heaven, sitting at the right hand of the Father, waiting for all enemies to be made His footstool. He is the only suitable, satisfying, and all- sufficient sacrifice. Ephesians 2:8; Acts 15:11 Grace in the New Creation We believe that in order to be saved, sinners must be born again; that the new birth is a new creation in Christ Jesus; that it is instantaneous and not a process; that in the new birth, the one dead in trespasses and in sins is made a partaker of the divine nature and receives eternal life, the free gift of God; that the new creation is brought about in a manner above our comprehension, soley by the power of the Holy Spirit in connection with divine truth, so as to secure our voluntary obedience to the Gospel; that its proper evidence appears in the holy fruits of repentance and faith and newness of life. John 3:3; II Corinthians 5:17; I John 5:1; John 3:6-7 Justification 5 Page We believe that we were condemned through our sin and Jesus justified us before God with His supreme sacrifice. Justification includes the pardon of sin and the gift of eternal life on principles of righteousness. It is bestowed, not in consideration of any works of righteousness which we have done, but solely through faith in the Redeemer's blood; His righteousness is imputed to us. Acts 13:39; Isaiah 51:11; Zechariah 13:1

6 Faith and Salvation We believe that faith in the Lord Jesus Christ is the only condition of salvation. However, this faith must be demonstrated and exercised through your works. Acts 16:31 Local Church We believe that the local church is a congregation of immersed believers associated by covenant of faith and fellowship in the Gospel; observing the ordinances of Christ; governed by His laws; and exercising the gifts, rights and privileges invested in them by His Word; that its officers are Pastors, Elders and Deacons, whose qualifications, claims and duties, are clearly defined in the Scriptures. We believe that the true mission of the church is the faithful witnessing of Christ to all men as we have opportunity. We hold that the local church has the absolute right of self- government, free from the interference of any hierarchy of individuals or organizations; that the one and only superintendent is Christ through the Holy Spirit; that it is scriptural for true churches to cooperate with each other in contending for the faith and for the furtherance of the Gospel; that each local church is the sole judge of the measure and method of its cooperation; that on all matters of membership, of polity, of government, of discipline, of benevolence, the will of the local church is final. Acts 2:41-42; I Corinthians 11:2; Ephesians 1:22-23; Ephesians 4:11 Baptism and the Lord's Supper We believe that Christian baptism is the immersion of a believer in water to show forth in a solemn and beautiful emblem our faith in the crucified, buried and risen Savior, with its effect in our death to sin and and resurrection to a new life. We believe that the Lord's Supper is the commemoration of His death until He comes and should be preceded always by solemn self- examination. Acts 8:26-39; John 3:23 Security of the Saints We believe that all who are truly born again are kept by God the Father for Jesus Christ. 6 Page Philippians 1:6; Romans 8:35-39; John 10:28-29

7 Righteous and the Wicked We believe that there is a radical and essential difference between the righteous and the wicked; that such only as through faith are justified in the name of the Lord Jesus Christ and sanctified by the Spirit of our God and are truly righteous in His esteem; while all such as continue in impenitence and unbelief are in His sight wicked and under the curse; that this distinction holds among men both in after death in the everlasting felicity of the saved and the everlasting conscious suffering of the lost. Malachi 3:18; Genesis 18:23, Romans 6:17-18 Marriage and Sexuality We believe that the Bible defines marriage as the covenant relationship between one man and one woman. We believe that God intends sexual intimacy to only occur between one man and one woman who are married to each other. We believe that God has commanded that no intimate sexual activity be engaged in outside of a marriage between a man and a woman. Genesis 1: 27-28; Genesis 2:24; Romans 1:27; Ephesians 5:22, 25; 1Peter 3:1-7, Hebrews 13:4 Civil Government We believe that civil government is of divine appointment for the interests and good order of human society; that magistrates are to be prayed for, conscientiously honored, and obeyed, except in things opposed to the will of our Lord Jesus Christ who is the only Lord of the conscience and the coming Prince of the Kings of the earth. Romans 13:1-7; II Samuel 23:3; Exodus 18:21-22; Acts 23:5 Resurrection and Return of Christ and Related Events 7 Page We believe in and accept the sacred Scriptures upon these subjects at their face and full value. We believe that our Lord Jesus Christ rose bodily from the tomb on the third day; that He ascended into Heaven; that He is now at the right hand of God the Father as our only sufficient mediator and advocate; in the personal, imminent, pre- millennial coming of Christ for the Church; the resurrection and physical glorification of the saints; the great tribulation; after which He will return with His saints to this earth where He will sit on the Throne of David and shall subdue all enemies and reign in righteousness for a thousand years; after this shall be the judgment of the Great White Throne when the unsaved dead shall be raised and judged, that this will result for them in eternal punishment in the Lake of Fire which is the second death; that the saved shall then enjoy eternal glory with God.

8 Article IV: Church Governance and Association Vital and vibrant ministry depends on effective governance. The governance of the Denver Christian Bible Church (DCBC) is vested in its members. The membership retains unto itself the right of exclusive self- government in all phases of its life and organization. It recognizes the needs for mutual counsel and cooperation, which are common among Christian, independent, locally led churches. So in Christ we who are many form one body, and each member belongs to all the others. Romans 12:5 (NIV) The authority for DCBC officials shall arise from scripture, these bylaws, and the DCBC body of active congregational members. However, as provided for in scripture DCBC shall function as an elder led local body of believers. Elders shall serve for the interests of the church body under the headship of the Lord Jesus Christ. Since the church exists to fulfill its commission of evangelism and discipleship, the officers will always keep in mind that their greatest obligation is to humbly disciple believers within the local church. This means that they need to strive to be duplicative. Duplication makes disciples; and disciples make more Disciples of Christ Jesus our Lord and Savior. Article V: Pastors, Elders, Deacons, and Trustees Section 1. Position/Role of Senior Pastor The Senior Pastor is responsible for oversight of the entire congregation and spiritually equipping the members and staff for service unto God and to walk in a personal relationship with God. Section 2. Duties The primary duties and responsibilities of the senior pastor are: 1). To pray for the congregation, 2). To prepare to preach the Word of God, 3). To protect the church from false doctrine, and 4). To share in the administration, oversight, and care of all church staff and members. In addition to the foregoing, the senior pastor shall: 8 Page Teach the Bible, proclaim the gospel, and equip people, helping and assisting them to carry out their ministry. Be accountable for and supervise the pulpit ministry of the church and provide for pulpit coverage when he plans to be absent or needs assistance. Conduct regular and special worship services, administer the ordinances, and minister to the spiritual needs of the Church and community. Be a voting member of the Elders and an ex- officio member of all organizations, departments, and committees of the church. Serve on, be accountable to, and report to the Elders. Direct and coordinate the activities and programs of and have overall authority and accountability for the Pastoral, Ministerial, and other church staff. Some or all of these activities may be delegated to other staff members, as appropriate. Oversee the selection of content and pedagogical approach of all teaching activities.

9 Section 3. Authority of Pastoral Staff In all matters, deference should be given to the Senior Pastor in accordance with Ephesians Chapter 4:13 and qualified unilateral decision making authority except as specified otherwise in this document or contrary to God s Word as expressed in scripture. In extenuating circumstances, elders, pastors, trustees, and deacons may exercise unilateral decision making authority. Section 4. Selection and Call In the event of a vacancy in the office of Senior Pastor, the Trustees shall seek out and recommend to the church a person from either inside or outside of the church whose qualifications have been examined and are found to fit the scriptural qualifications in 1 Timothy 3:1-7 and Titus 1:6-9, and which fit the responsibilities and needs of the church. To the extent possible, the search process must commence within 60 days of pastoral vacancy. After candidate confirmation by the Elders, the Trustees shall bring only one recommendation to the church at a time. The call of the Senior Pastor shall take place at a business meeting set aside especially for that purpose. The extension of a call shall be made upon an affirmative vote of 75 percent of the active congregational members present at the meeting and eligible to vote. The vote shall be by secret ballot. If the Trustees nominee fails to receive the required vote, the meeting shall be adjourned without debate. The Trustees will then seek out another candidate to recommend to the church. The duties and responsibilities, as well as salary and other compensation, of the Senior Pastor shall be set forth in a written employment agreement at the time of employment. The employment agreement shall be prepared by the Trustees. Section 5: Interim Leadership The Elders and Pastoral staff shall assume the duties and responsibilities of the Senior Pastor upon his effective resignation or dissolution of the employment relationship or they may select one or more Interim Pastors within the congregation in accordance with the procedures set forth in article V. Section 4. Interim leadership is effective until such time a Senior Pastor is hired. Section 6: Termination The Senior Pastor shall serve under a continuing call until the pastoral relationship is dissolved at the request of the Senior Pastor or of the Church. The Senior Pastor must give at least eight weeks advance notice in writing to the Elders of his intention to resign his position, unless otherwise mutually agreed. 9 Page If the Elders, by a majority vote, determines there is sufficient sentiment on the part of the Church membership and/or it is in the best interest of the Senior Pastor and the Church to consider dissolving the relationship, the Elders shall call a meeting for the purpose of discussing the matter and endeavoring to resolve the differences. If agreement cannot be reached, two- thirds of the Elders may call a church business meeting in order to recommend to the Church that the membership vote on whether to terminate the pastoral relationship. If 75 percent of the active congregational members present at this meeting vote to terminate the relationship, the pastoral call shall end in either eight weeks or some other period that is mutually agreeable. Section 7: Financial Support The Trustees in consultation with the Elders shall initially establish and continually review the Senior Pastor s financial support package. The Senior Pastor shall receive his support package information in writing before he comes to the church in view of a call. The Trustees in consultation with the Elders shall

10 also review the Senior Pastor s financial support package annually. Any change in his financial support package must be approved by the Elders and Trustees and given to the Senior Pastor in writing. Section 8: Assistant Pastor: Role and Duties The primary duties and responsibilities of the assistant pastor are: 1). To pray for the congregation, 2). To prepare to preach the Word of God, 3). To protect the church from false doctrine, and 4). To share in the administration, oversight, and care of all church staff and members. In addition to the foregoing, the assistant pastor s responsibilities shall include, but not be limited to: Teach the Bible, proclaim the gospel, and equip people, helping and assisting them to carry out their ministry. Be an ex- officio member of all organizations, departments, and committees of the church. Be accountable to the Senior Pastor and the Elders. Diligently carry out duties as assigned by the Senior Pastor. Section 9: Assistant Pastor Call and Termination Call and Termination of a paid Assistant Pastor will be based on the recommendation of the Senior Pastor, a majority vote of all the Elders, and a 75 percent affirmative vote of the votes cast at a properly called business/congregational meeting. Section 10: Pastoral Staff and Ministerial Staff (Excluding the Senior Pastor) The Church may employ as many pastoral and ministerial staff members as necessary to effectively support the ministry of the Church. Pastoral staff are men who are shepherds of the Church having general oversight of the Church. Ministerial staff are men or women servants of the Church called to minister in specific areas of the Church with specific abilities and spiritual gifts. The Senior Pastor shall appoint and supervise, in consultation with the Elders, any non- paid Pastor or Minister that He prayerfully believes God has called to serve at Denver Christian Bible Church. Paid Pastoral and Ministerial Staff must be hired in accordance with the procedures set forth in Article V. Section 4. Section 11: Ministry Staff/Director (paid and unpaid) Call and termination of a paid ministry staff/director will be based on the recommendation of the Senior Pastor and a majority vote of all the Elders. Call and termination of unpaid ministry staff/director will be based on the recommendation of the Senior Pastor and Elders. Section 12: Elder Position- Role of the Elder(s) 10 Page The New Testament scripture (1 Timothy 3:1-7) and (Titus 1: 6-9) is clear about those who have the responsibility of rule, oversight, and care of the church. These men are called Elders, Overseers, and Bishops. All three different titles are used to refer to the same spiritual office of leadership in the church and are interchangeable. Christ is the head of the church, but he mediates His rule in the church through the guiding of Elders. Section 13: The Authority of the Elders All decision- making authority of the church is vested in the elders, pastors, trustees, and deacons who guide the church. The objective of any and all decisions made shall be to do the will of God regarding the

11 matter at hand. In extenuating circumstances, Elders, pastors, Trustees, and Deacons may exercise unilateral decision making authority a. Decision- Making Process - Decisions shall be reached after prayerful consideration in a spirit of humility, with each elder regarding one another before himself. A simple majority is required to make a decision. Statement of Unity: Any decision made after following the agreed upon decision- making process will be a unified yes or no decision. All elders agree to be unified in the final decision, yes or no, in public and in private, even though it may not agree with their personal preference. b. Special Decisions - The elder body shall seek the formal affirmation of the congregation when the following decisions are being made: 1). The calling of or removal of the pastor or elder. 2. The church s annual budget. 3. Expenditures involving new property or new buildings and related indebtedness. 4. The selection of elders. 5. Any changes or amendments to the bylaws. c. Discipline- All disciplinary matters entrusted to the Elders are to be carried out following the biblical pattern as set forth in Matt. 18: 15-20; 1Cor. 5:2, Gal. 6:1;2, Thess 3:6; and Titus 3:10-11; and 2 John 7-11 and the procedure set forth in Article IX. Section 14: Congregational Input a. Purpose of congregational input - The purpose of input from the congregation, deacons or any other group of the church is the wisdom of seeking the godly counsel of many as taught in scripture (Proverbs 15:22). The Elders may solicit the input of the congregation at their discretion and for any reason. Section 15: Responsibilities of Elders a. To Spiritually Shepherd/Guide The Church 1. To teach God s Word 2. To pray 3. To maintain doctrinal purity in the church 4. To reprove, rebuke, and exhort the church with great patience 5. To be examples in the church. 11 Page b. To Govern And Oversee All The Affairs Of The Church 1. To establish policies and practices for the church that is consistent with scripture and the purpose of the Church. 2. To appoint officers and committees as needed to carry out the business of the church in an orderly and acceptable manner. Any officer or committee appointed by the elders is directly responsible to the elders and shall serve as long as the elders deem necessary. 3. To select a pastor in accordance with the selection process established in these bylaws. 4. To appoint elders for the church in accordance with the selection process established in these bylaws. 5. To appoint deacons for the church in accordance with the selection process established in these bylaws. 6. To maintain open communication with the church body. Section 16. Qualifications of Elders

12 a. Called By God - An elder must be a man who has been called by God into the gospel ministry. The evidences for such a call are as follows: 1. Confirmation of the call to the ministry by other believers. 2. Possession of the abilities necessary to serve (giftedness). 3. A deep desire to serve. 4. A lifestyle characterized by moral integrity. b. Active Membership - An elder must affirm and adhere to the membership covenant of this church. c. Biblical Qualifications - An elder must possess the qualifications described in 1Timothy 3:1-7 and Titus 1:6-9. He shall be: 1. Blameless as a steward of God; above reproach. 2. Husband of one wife. 3. Temperate, sober, vigilant, Sober- minded and prudent. 4. Given to hospitality, apt to teach; able to teach; he can exhort believers and refute false teaching. 5. Not given to wine, not violent; not pugnacious. 6. Patient, moderate, forbearing, gentle, not a brawler; not contentious; not soon to angry or quick- tempered. 7. Not covetous; not a lover of money; not greedy of base gain. 8. Rules his own household well. His children are faithful; not accused of rebellion to God. 9. Not a novice; not a new convert and has a good report or reputation with outsiders. 10. Not self- willed, Loves what is good. 11. Just, fair, Holy, devout, and Self- controlled Section 17. Selection of Elders 12 Page a. Initial Selection of Elders - Inasmuch as the pastor has the responsibility of the spiritual equipping and oversight of the entire congregation, and shall be the first among equals in the elder body, he shall present to the church body the initial group of men who make up the elder body. b. Elder Selection Process from Within the Congregation - The process by which elders are nominated and appointed to the body of elders is as follows: 1. The elders shall set aside men that they determine have met the qualifications and calling of the office of elder. Members may also recommend men whom they feel are qualified for the office of elder. They shall be declared as being under consideration. 2. The elders shall then make it known to the church that a particular individual is being considered as a candidate for the office of elder. 3. For a period of time, not less than thirty days, the congregation will have the opportunity to prayerfully consider the individual s qualifications for the office of elder. If members for any reason feel that the person may be unqualified, they should go to him in love with discretion and privately discuss their concerns. If after a discussion with the nominee, the members feel that their concern is unresolved, then they should approach the elders with their concern. During the time that a man is under consideration, there are several process options. Option 1: The man under consideration can withdraw himself from consideration and the process will cease. Option 2: The elders may deem the man unqualified for whatever reason and the process will cease. Option 3: The man and the elders agree that the process should continue. 4. After the time of consideration, the elders shall call a special meeting for the purpose of a formal affirmation of the congregation regarding the man under consideration. 5. After prayerful consideration of the counsel of the congregation, the elders shall vote and make known their decision regarding the

13 man. 6. Upon completion of preparation as elder in training and elder body approval, the man shall immediately assume his position as an elder. Section 18. Leadership Among the Elders First Among Equals As demonstrated in the scriptures, even among the leadership of the church there is a leader. Inasmuch as the pastor has the responsibility of the spiritual equipping and oversight of the entire congregation, of which each of the elders are a part, he shall be the first among equals in the elder body. As such, he shall serve as the chairman, moderator, and spokesman for the elder body to the church. He shall have but one vote in the elder body and in that way is an equal among equals. Section 19. Number of Elders The number of elders shall be as many as are qualified and needed to effectively carry out the ministry of elders in the church. The elder body shall prayerfully determine that number. Section 20. Term of Elders The term of office for an elder shall be seven years of service at which time an elder shall be eligible for elder emeritus status, an extended sabbatical, or resignation without the foregoing designations. Section 21. Removal of Elders Any elder may be removed from office if he becomes physically incapacitated, spiritually unqualified, or his inability to serve is established by the remainder of the elder body. Any accusation or action against an elder must be presented to the elder body in accordance with scripture. Section 22. Elder Body Meetings Meetings of the elder body shall be held on a regular basis as determined by the elders. Anyone desiring to approach the elders on any matter or need may feel free to arrange to meet with them. The pastor may call special meetings of the elder body as needed. Section 23. Deacons- Role of Deacon (to include women) New Testament scripture teaches that deacons were set apart by the church as servants to minister to the needs of the Body of Christ. This ministry allowed the elders and pastors to devote themselves to prayer and to the ministry of the Word. The office of deacon is one of a servant to the Body of Christ as described in 1Timothy 3: Romans 16:1 provides the scriptural basis for women serving as deacons. Section 24. Purpose of Deacons 13 Page The purpose of deacons in the church is as follows: 1. To work and serve alongside the elders to support, encourage, promote, and uphold the ministry of the church. 2. To exemplify spiritual leadership in the fellowship of the church, in their family, personal, and business relationships. 3. To be men and women of prayer and students of the Word of God. 4. To seek to lead the lost to the Lord Jesus Christ. Section 25. Qualifications of Deacons a. Active Church Membership - A deacon must be an active member of this church for one year prior to the time of election to the deacon body unless the elder body approves a shorter time.

14 b. Biblical Qualifications - A deacon must possess the qualifications described in scripture. He shall be: 1. A man of good reputation. 2. A man full of the Spirit and wisdom. 3. A man of dignity not doubled tongued, not addicted to wine, or fond of sordid gain. 4. A man who holds the mystery of the faith with a clear conscience. 5. A man beyond reproach. 6. A man who is the husband of only one wife. 7. A man who is a good manager of his children and his own household. 8. A man whose wife does not have a malicious tongue. Section 26. Deacon Selection Process The process by which deacons are selected is as follows: 1.The chair of the Deacon Board, in consultation with the elder board, shall determine if there is a need for additional deacons for the church. 2. When the elder board determines there is a need for additional deacons, it shall direct the deacon board and/or church to nominate from among the active membership men and women that meet the qualifications of the office of deacon. 3. Upon nomination by the deacon board and/or church the elder body shall prayerfully consider each person nominated and appoint those individuals that it determines are qualified for the office of deacon. Section 27. Deacon Officers The deacon body shall choose from among themselves men to serve in the leadership positions noted below. These men shall serve for a period of four years at a time. They are not to serve more than two consecutive terms in the same position. 1. Chairman of Deacons. 2. Vice- Chairman of Deacons. 3. Secretary. Section 28. Deacon Meetings The Deacons shall meet monthly at such a time and place suggested by the Chair. Church staff members may also attend by invitation of the Deacons. Special meetings may be called by the Chair, the Senior Pastor, or the Elders. Section 29. Term of Office The term of office for a deacon shall be as long as he/she is qualified, capable, and desirous of fulfilling the office and duties of a deacon. Section 30. Removal of Deacons Any deacon may be removed from office if he/she becomes physically or mentally incapacitated, spiritually unqualified, or his/her inability to serve is established by the deacon board and/or elders of the church. Section 31. Trustees- Role of Trustees 14 Page Section 32. Purpose of Trustees The Trustees of the Church serve as a lay leadership team elected by, and accountable to, the members. The Trustees are empowered by the members to ensure alignment of ministries with the Church s mission and vision, to give oversight to the ongoing operations of the Church, and to provide oversight, counsel, and support to the pastors. The Trustees serve as a liaison between the church and the church administrative staff and to integrate the total work of the Church. This includes but is not limited to establishing an annual budget, overseeing church facilities, property, and finances. Membership has

15 delegated and entrusted to the Trustees all governing authority for the Church not specifically retained by the members, Elders, Deacons, or these Bylaws. The Trustees are directly accountable to the Elders and should work closely with them on the foregoing matters. Section 33. Qualifications of Trustees In seeking to fill the office of Trustee, the Church s goal is to identify those persons who have demonstrated toward Denver Christian Bible Church and God s kingdom, the agape love described in I Corinthians 13. That is, Trustees are expected to have demonstrated toward the Church and its members patience, kindness, humility, and self- sacrifice. The Trustees lives are expected to reflect the fruit of the Spirit described in Galatians 5. In addition, a nominee must meet the following qualifications: a. Must have been a member of the Church for a minimum of one (1) year at the time his/her service begins. b. Reflect and have demonstrated spiritual maturity, godly wisdom, and a committed faith that evidences the lordship of Jesus Christ. c. Be an active participant in the Church and have demonstrated a commitment to the mission, vision, and values of the Church. d. Be willing to follow scriptural principles for conflict resolution, maintain confidentiality, and make decisions objectively without bias to particular areas of ministry. e. Demonstrate a high standard of Christ- like conduct and be free from behavior that would negatively affect the ministry of the Church. Agree with the principles of the Church s Statement of Faith in Article III. f. Immediate family members serving as a Trustee are limited to two. Section 34. Trustee Selection Process Any member of the Church may nominate a person in writing for service as a Trustee. Only those persons nominated by a member shall be included in the pool of nominees. Trustees eligible for a second term are automatically considered a nominee if the qualifications are maintained and if a simple majority of Trustees affirm the nomination. The Trustee chair with Trustee approval, shall name an ad hoc committee, consisting of Trustees, the deacon chair, and two other members of the Church to supervise the process of nominating Trustees and propose a slate of two (2) to four (4) names for each vacancy. The committee will report their selection of two (2) to four (4) nominees for each vacancy to the Trustees for approval and subsequent nomination to the Church. Church voting shall occur during the last quarter of the year preceding the year in which the term of office begins. Trustees not on the ballot and the deacon Chair or deacon representative shall count the ballots and promptly announce to the Church the results of the election. Trustees elected shall assume office on January 1 of the year following their election. 15 Page Section 35. Trustee Officers The Trustees shall elect a chair, secretary, and treasurer from among the Trustees. The Trustees membership shall be limited to seven active congregational members to include two Elders.

16 Section 36. Trustee Meetings The Trustees shall meet monthly at such a time and place suggested by the chair. Church staff members may also attend by invitation of the Trustees. Meetings will be announced to the membership through normal communication channels of the Church. Special meetings may be called by the chair, the senior pastor, the elders, or by one- third (1/3) of the Trustees with at least a two- day notice to all Trustees. Section 37. Term of Office Trustees shall be elected as needed by the Church to serve four- year terms. A Trustee may not serve more than two consecutive terms. The Elders may appoint a past Trustee Chairperson as an ex- officio member of the Trustees for a period of two years. Section 38. Removal of Trustees Any Trustee may be removed from office if he/she becomes physically or mentally incapacitated, spiritually unqualified, or his/her inability to serve is established by the Trustees or Elders of the church. Article VI: Membership But Jesus said, Let the little children come to Me, and do not forbid them; for of such is the kingdom of heaven. Matthew 19:14(NKJV) Any person desiring membership who believes in and has accepted the Lord Jesus Christ as his/her personal Savior, who is endeavoring to follow Him in his/her daily life, and who is in agreement with the DCBC Statement of Faith and Church Bylaws may become eligible for membership. Section 1. Qualification for Membership - Prospective members shall complete the New Members Class. This class will give the prospective member a full understanding of DCBC s vision, mission, beliefs and practices. The class will also provide a chance to reflect on each individual s spiritual journey, as well as learn more about our congregation. This requirement applies to all prospective members including former members seeking reinstatement of membership. Upon review and approval by the Membership Committee the prospective member shall become a Congregational Member of DCBC. Section 2. Acceptance and Presentation to the Congregation Each new member at DCBC must affix his or her signature to the Acceptance of New Membership and Acknowledgement of DCBC Bylaws. At a worship service, the names of the new members shall be read. New Members shall be presented to the congregation and thereupon be formally accepted into the fellowship of the church. 16 Page Section 3. Active Congregational Members - Active Congregational Members shall actively participate in the business affairs and ministries of DCBC. Active participation in the Church includes, in part: regular attendance at worship services and other activities; spiritual support of the vision, mission, and values; and financial contributions (Gen. 28:22) to support DCBC and its ministries. Fellowship with other congregational members, personal study of the Holy Bible, an active prayer life, personal evangelism of

17 non- believers, participation in communion and the use of one s spiritual gifts are also indictors of active congregational membership. (1 Cor. 14:12) And this stone which I have set as a pillar shall be God s house, and of all that You give me I will surely give a tenth to You. Genesis 28:22 (NKJV) Even so you, since you are zealous for spiritual gifts, let it be for the edification of the church that you seek to excel. 1 Corinthians 14:12 (NKJV) Section 3: Voting Members - All Congregational Members who are at least eighteen (18) years old and have been members of DCBC for at least 60 days shall have voting privileges on Church matters reserved for voting by the Voting Congregational Membership. Section 4: Non- Voting Members - All Congregational Members who are under eighteen (18) years old shall not have voting privileges and shall be deemed Non- Voting Congregational Members. Section 5. Membership Status 17 Page a. Inactive Congregational Members If a Congregational Member ceases to actively participate at DCBC and fails to show an active interest in the church for more than six (6) months, said Congregational Member may be contacted by the Membership Committee to encourage his/her participation and interest (Heb. 10:25). b. If the failure by such Congregational Member to actively participate and show an active interest in DCBC continues, the Membership Committee may recommend to the Elders to change the status of said member to Inactive. The Elders may at their discretion accept the change of status as recommended and the member will then be inactive by a simple majority vote of the church at any regularly scheduled leadership meeting. c. Inactive Congregational Members shall not have voting privileges. However, consideration is given to members who are unable to attend corporate worship and Bible study because of mitigating circumstances, such as military service, education, and personal health. 1. Non- attendance is not good for the members, for the church, and for the witness of Jesus Christ. Furthermore, Hebrews 10:25 which calls us to not neglect the assembling of ourselves together. 2. We have also considered the impossibility of upholding our Church Covenant if any member has not attended a worship service or Bible study at DCBC, identified financial support, defined a service contribution or shown interest for a period of six months or longer. 3. The member in question will be contacted by the Membership Committee of the impending action that will be taken. 4. Congregational Members upon notifying the Membership Committee of such desire to become inactive in writing shall also be deemed Inactive.

18 d. Reinstatement of Inactive Congregational Members Reinstatement shall be at the request of the Inactive Member; reviewed and approved by the Membership Committee. Not forsaking the assembling of ourselves together, as is the manner of some, but exhorting one another, and so much the more as you see the Day approaching. Hebrews 10:25 (NKJV) e. Removal When a Congregational Member is personally no longer in complete agreement with DCBC s Statement of Faith or is opposed to any of the biblical doctrines accepted and practiced by DCBC, or when a Congregational Member engages in unscriptural and/or egregious conduct and continues in such conduct even after the appropriate biblical procedures have been followed; said member may be suspended, disciplined or removed as a member from DCBC for scriptural reasons. All such cases shall be reviewed by the Membership Committee and voted upon by the Elders who shall provide the opportunity for a meeting with such member. Upon the affirmative vote of a majority of the Elders, the Congregational Member shall be removed from DCBC and shall no longer be deemed a Congregational Member. f. Termination of Congregational Membership Termination of Congregational Membership shall be accomplished in one of the following ways: 1. At the Member s request 2. By transfer of membership to another church 3. By determination of the Elders for good and sufficient cause Membership Committee The Membership Committee aids in the growth and development of our church body by helping both current and potential church members understand the purpose of our church s existence and its mission. The Membership Committee is selected by the Elders. The Committee s Roles and Responsibilities: o Arrange new member classes o Hosts receptions to welcome new members o Maintain records of Baptismal candidates o Shares with the Pastor and/or Elders information on visitors o The committee s larger projects include: Organizing the church s membership directory Maintaining membership rolls Encourage participation of absent members Make recommendations to Elders related to membership status 18 Page Section 6. Submission to Church Discipline The threefold purpose of church discipline is to glorify God by maintaining purity in the local church, to edify believers by deterring sin and promoting purity (1Tim. 5:20), and to promote the spiritual welfare

19 of the offending believer by calling him/her to return to a biblical standard of doctrine and conduct (Gal. 6:1) Those who are sinning rebuke in the presence of all, that the rest also may fear. 1 Timothy 5:20 (NKJV) Brethren, if a man is overtaken in any trespass, you who are spiritual restore such a one in a spirit of gentleness, considering yourself lest you also be tempted. Galatians 6:1 (NKJV) a. The Lord Jesus Christ has entrusted the local church with the authority and responsibility to discipline members for flagrant sin or serious doctrinal error, with the goal of restoring the offender. This discipline is entrusted to the Elders and is to follow the biblical pattern as set forth in Proverbs 13:24; Titus 3:10 11; and 2 John 7 He who spares his rod hates his son, but he who loves him disciplines him promptly. Proverbs 13:24 (NKJV) Reject a divisive man after the first and second admonition, 11 knowing that such a person is warped and sinning, being self- condemned. Titus 3:10-11 (NKJV) For many deceivers have gone out into the world who do not confess Jesus Christ as coming in the flesh. This is a deceiver and an antichrist. 2 John 1:7 (NKJV) b. Any Congregational Member of DCBC guilty of flagrant sin or serious doctrinal error which, in the judgment of the Elders, is opposed to the teaching of the Word of God; or is opposed to these bylaws; or is threatening to the testimony of this church; or is divisive to the body; shall, if persistent, be subject to church discipline. Discipline will normally occur only after following the said biblical pattern, and after diligent effort has been made to bring the individual to repentance. c. Discipline will normally involve exclusion from participation in ministry and communion, and may also include dismissal from the fellowship of DCBC. An individual may be disciplined by the Elders short of dismissal from the fellowship, as they deem appropriate for the specific circumstance (for example, an individual may, in certain circumstances, remain a member of this church but be denied the privilege of voting or serving in a particular ministry). d. The Congregational Members of DCBC agree that there shall be no action or appeal to any court of law because of church discipline or because of public statements made by the Elders to the congregation in respect of the process of discipline. If they deem it necessary, the Elders may advise other churches of the action taken. 19 Page

20 Article VII: Church Administrative Affairs. in the church God has appointed... those with gifts of administration. I Corinthians 12:28 (NIV) Effective church administration under the leadership of the Senior Pastor and the Elders motivates the members to see the vision, embrace the vision, communicate the vision, and impart the vision to others. Good administration is getting others to work together. It is critical that church administrators understand that church administration is a ministry centered on people, not techniques and paperwork. It is an art of management, not manipulation. It requires faith in God, sensitivity, integrity, timing, administrative skills, and resourcefulness. Failure to work as a ministry centered on people, only causes disarray in the church. Section 1. Order of Meetings The agenda of all DCBC congregational meetings shall include the following: opening and closing prayer, reading of selected scriptural text; proof of notice of meeting and quorum. A proper quorum for congregational meetings is defined as not fewer than 15% of the voting eligible congregational membership. All Congregational Members who are at least (18) years of age; and who have been members of the DCBC congregation for at least thirty (30) days shall be eligible to vote on all Church matters. Advance notice of the congregational meeting shall be considered furnished if notice is delivered via 5 days prior to the congregational meeting. When appropriate the meeting agenda will include reading of the minutes, disposition of business for which the meeting was called, reports and elections such as may be required by these Bylaws. Votes on resolutions and motions in a congregational meeting are to be expressed in terms of faith convictions as to the will of God. Congregational meetings will be conducted in accordance with the latest edition of Robert s Rules of Order, most recent edition. Section 2. Elder, Deacon, and Trustees Meetings DCBC Elders, under the leadership of the Senior Pastor who serves as a regular voting member of the DCBC Elders, assist with the spiritual oversight of the church and other ecclesiastical functions pertaining to DCBC. The Elder Board shall meet on a regularly scheduled basis as determined by the Elder Board and upon the call of any Elder Board member. 20 Page Deacons are responsible for the physical and material service needs of the church body. The Deacons shall meet on a regularly scheduled basis as determined by Chairman of the Deacon Board. Call meetings may take place when deemed necessary by the Chairperson of the Deacon ministry. The Trustees has charge of the real and personal property and administrative affairs of (DCBC) in accordance with these Bylaws. The Trustees of DCBC will work in consultation with the Senior Pastor and Elders to carry out the administrative affairs of DCBC. The Trustees will meet on a monthly basis. A

21 meeting may be called as deemed necessary by the Trustee chairperson as set forth in Article V Section 36. The relationship between the Elders, Deacons, and Trustees must be founded upon three basic principles: 1) A Biblical understanding of each other s role; 2) Good communication; and, 3) Good biblical human relationship principles. Meetings between Elders, Deacons, and Trustees will take place on a regular basis. Such meetings will be held as determined by the Elders, Trustees, and Deacons. Section 3. Determination of Job Descriptions, Conduct, Salaries The Trustees in consultation with the Senior Pastor and Elders shall determine the salary to be paid to each employee of DCBC. The Senior Pastor s salary shall be determined by the Trustees and the Elders (not including the Senior Pastor for this sole determination). Employees of DCBC who are Trustee Board members shall be excluded from the salary decision process. The Trustees in consultation with the Senior Pastor and Elders will determine the job descriptions for all paid church staff. The Trustees in consultation with the Senior Pastor and the Elder Board shall insure the performance of all functions necessary for the effective operation of the church. All church employees shall abide by the same standards of conduct as members of the body of believers of Denver Christian Bible Church. Section 4. Financial Transactions Specifically, the Trustees, in consultation with the Senior Pastor and the Elder Board will establish basic church administrative policy, provide general fiscal direction, to include the development of an annual church budget, provide for the administration and payment of all church expenses, maintain administrative church discipline, and participate with the church leadership team in the church planning process. Collectively and individually, the members of the Trustee Board shall, by prayer and supplication, seek the guidance of the Holy Spirit to accomplish God's Will for themselves and the church in all their deliberations. (John 16:13) The Trustees of DCBC will coordinate and provide oversight of all financial transactions for DCBC. The Trustees will develop a unified church budget for adoption by the DCBC congregation. The Trustees advise in the administration of the gifts of church members and others, using sound principles of financial management. The Trustees also prepare and present to the church the required reports regarding the financial affairs of the church. 21 Page Section 5: Church Property, Gifts and Governance The Trustees in consultation with, and under the guidance of the Senior Pastor and Elders serve as the church administrative body with responsibility to negotiate loans, prepare contracts, and arrange financial transactions in the name of Denver Christian Bible Church.
